Our Father, we thank you again for a wonderful day that you've given as a gift to us, to be an example of yours, Father, and to serve others. Father, we thank you for this moisture we've had. In these dry years, we thank you for this moisture. We asked that our residents and our family members, our neighbors remain safe. We thank you for that safety that you provided to us. Father, we just ask for the wisdom and the strength to do your will, to be examples of you and your son. And it's their his name that we pray this morning. Amen. of you and your son and his name that we pray this morning. Amen. Please join me in the pledges. I pledge allegiance to the flag of the United States of America and to the Republic of We're going to first go to our addendum item. I should say items item 16A and 16B on the agenda. 16A is adoption of a resolution in the pro of a business personal property tax abatement agreement between Dent County Texas and farmers brothers company. As recommended by Dent County Commissioner, precinct before and Brothers County as recommended by Denton County Commissioner precinct before and we can take 16 B at the same time that's the option of a resolution and a provover of real property tax abatement agreement between Denton County, Texas and State Highly 114 in the State Highly 35 W of Ventures limited as recommended by the Denton County Commissioner precinct for I think first we'll call on Commissioner Andy Eads. Well, good morning, judging and members. Today's a great day for Denton County. It's a great day for North Texas and also the state of Texas because we're very pleased to welcome a new corporate resident to Denton County into the town of North Lake. I would like to introduce our mayor Pete Dewey into the town of North Lake to first initial greetings and then we welcome some comments from the company and then I'll do some wrap up. Okay. Now you're doing. Good morning. Good morning, Peter Dewey and Mayor North Lake. Thank you, Andy, Judge, Commissioner, allowing me to speak. I think this is great cooperation between the local governments, the county and the state, as far as ensuring that we attract proper growth within the area, quality businesses. And I think this will be a win for the state overall and my region that I live in. Because it'll promote more jobs, it'll bring more jobs for Texans, plus be a catalyst for other businesses to bring up, to support this business and other businesses coming through. So if you have any questions, I'm here, but I am ecstatic. Thank you. Thank you, Mayor. All right. All right. Judge at this time, I'd like to welcome Mike from Cohen from Farmer Brothers to come address us. He is the CEO of Farmer, and we welcome him all the way from the state of California. Thank you for being here. Thank you very much. Thank you, Mayor. We're very excited to be here. With me today is our CFO, Mark Nelson. What we thought we'd do is maybe take 10 or 15 minutes and just tell you a little bit about farmer brothers We're a company you may not have heard of a company that's actually over a hundred years and doesn't make these kind of moves very often In fact, this would be number two in over that period so If you could help a little bit was scrolled down, okay, I don't know if you all can see it But I'll just speak through this and I promise not to drain every slide. But our plan is to move our headquarters from Torrance, California. You said either to Texas or Oklahoma, those have been the two that are on the board though clearly there's a first choice and a second choice there. What we really intend to do is build a world-class roastery there. So, it will be a headquarters. It will be a place where we roast coffee. I'll share with you a little bit later. We roast coffee for people like Target or McDonald's. Actually, we have some portions of the U.S. Congress. We're still working on that to get all of it. But we're very proud of the people we rose coffee for. We also plan this to be a training facility so we train in our industry. We also have scientific outreach through people like the Borlaug Institute, the Texas A&M, as part of World Coffee Research, a little bit about the company. We were founded in 1912. There were three Roy farmers who ran us for about 97 years. I'm the second outside CEO. So the farmer family still owns approximately 39% of the company. So while we're a public company and have been nasdaq traded since 1950, we still have a lot of the values that we believe come from an organization with that kind of commitment to loyalty and leadership throughout that. We service about 60,000 customers across the country and I'll show you what that looks like in employee about 1,800 people nationwide. Here you can see a little bit of our distribution network. So the trucks are large distribution centers. The smoke stacks are roasting facilities. Obviously the torrents facility will be closed out on the west coast. And then those little dots are branches. Branches are where we run coffee to local restaurants, colleges, so forth and so on across the country. So each of those little dots probably has six to eight. Routesales people who deliver coffee and tea and so forth to restaurants. We're about half a billion dollars. You can see most of that's coffee, but we also have tea. And other things you'd find in a restaurant. We have very nice spice business. Anything you think that a restaurant tour might want to serve coffee and tea, we are happy to help our customer sell. I'm gonna really move through this quickly. We've been very active recently. You might have read about us in the press. We've had two acquisitions. Actually a very high end roastery out of Portland, coffee bean international, also made some other acquisitions. So we're definitely a company that's growing right now, and I'll show you some more about that. And just a few slides. We're very active in the industry. We have leaders in the specialty coffee industry, Pacific Coast coffee industry, and assortment of other places. And believe it or not, coffee is really a large industry. We buy our coffee from about 25 to 30 different countries around the world and growing regions around the world. Recently, as Commissioner Marchett and I were talking, we've been upgrading our roasting capabilities, and we're very excited for the capabilities that are going to be in this facility. They truly will be world class. I won't go through this. This is the management team. I think they're pretty good and I'll just I'll just leave it that in the interest of time. I think we've already touched on this to accept to say beyond our coffee industry leadership, we're also very active with feeding America. We have many growing programs with farmers around the world. So giving back is part of that family DNA that goes back to the farmer family over 100 years ago. Recently, we're very proud of some of the awards we've won for sustainability, quality, service. You've seen some of these names. And we believe that the path forward is to just provide outstanding service. And that's how we'll continue to win. In terms of the financials, Mark, you want to just throw the couple slides? Morning, Levin. Good morning. I know how captivating the numbers will be, so I'll try and keep it brief. So our financial results, as folks have looked at, the performance recently, we went through a pretty significant dip in our profitability in the years of 2010 and 11. We've since come out of that dip. We've recovered quite significantly. A couple of factors contributed to that was the integration of the serially acquisition. And that was compounded by a very rapid spike in the commodity cost of coffee. And since then, we've integrated that acquisition and we've also put in place a very effective hedging program to eliminate those coffee spikes. So we think we've got a very predictable and now returned to profitable business model and you can see that in our recent financials. The move out of California really represents the next step for us in addressing and maintaining that profitability as a corporation. The business climate, one of the big attractions for the coming to the state of Texas. The quality of workforce is very strong here. We also see financial savings as our logistics for the inbound coffee comes through the port of Houston. That will be a benefit to us. There's benefits for consolidation of multiple locations. And so as we look to consolidate into world class coffee manufacturing facility, that will be a significant benefit, and also a reduction in the cost of production that we look forward to. The revenue growth this chart, I won't spend a lot of time on it, but since 2010, we've kind of been in the same state, this is post acquisition, and we've grown at about a 4% compound annual growth rate over those the last five years, which represents pretty healthy growth. We've had a much greater growth in the volume of coffee that we've produced, and some of the cost in pricing models don't show that we've had actually much greater volume growth than these revenue numbers. But, to say, it's been a return to real consistent growth for us. And if you look at that as a measure of EBITDA, which is really a proxy for cash flow, you can see that we've had a significant return to generation of cash. And so for us, it's the cash that we use to invest in projects like this, to reinvest in our people and our infrastructure and to continue to grow the business. And so with this, return the profitability and this production of cash, it allows us to continue to grow the business, which we look forward to doing. The stock has improved dramatically and this reflects the improving business performance that we've had since 2011 and 12 time period and we expect to have this reflection continue for our business in the stock market performance. And the final slide, some of the expected benefits, this is actually excluding the initial construction and local spending, but the lasting benefits are really the footprint of the people and the employees that we hire, roughly 300 plus employees, estimate of kind of the average all-in wage base, about $50,000. There will be significant vendor and inbound customer travel and benefits from this, number of vendor meetings and nights, roughly 240 meeting nights. We have a stockholders meeting, we'll have that annually, that will represent about 75 plus meeting nights. We have board meetings, continuous flow of our board members coming into the county, customer visits, McDonald's target, these folks will continue to come to our training center. Executive leadership team, sales leadership team meetings and also miscellaneous visits. So, he was to say there will be a lot of volume of travel that will come with this and we look forward to all the things that that will bring. So, that's all we had in summary. Thank you. I think that's a lot. I think it's great. I noticed that number one on their decision list of reasons for coming here was the business climate and our low tax rates? Absolutely. Exactly. Well, as a little bit of history, I actually used to work at Mintmay down in Houston and then with Dean Foods over here. So I have some personal experience with that as well. Yes, some personal experience with Texas. You can take this to any of the people that are coming from California to Texas to work in your facility. And here's the Texas pledge. they'll need to learn that. I must admit, I slipped a little bit on it, but we'll get on that. Well, welcome. We're very glad to have you here. Thank you very much. And this is a wonderful addition to the Dayton County family of wonderful corporations that we've got here. And we're just we're just really delighted to have you here. We are as well we've got a few more eyes to dot with the stream organization that's here but we're very confident we'll get that done relatively quickly and keep the process moving forward. Thank you so much for being here I know it's awfully early for you. You have plenty of coffee so we're okay. That's good. Thank you. Commissioner Ease, did you want to I'm going to be talking to you about the committee. I'm going to be talking to you about the committee. I'm going to be talking to you about the committee. I'm going to be talking to you about the committee. I'm going to be talking to you about the committee. I'm going to be talking to you about the committee. I'm going to be talking to you about the Mr. Mitchell, are there any questions or comments from any members? I've already visited with the gentleman and they know that I have a philosophical reason for not voting for tax evapments, which they understand since we have such a low yet in county tax rate, I feel that these corporations are doing themselves a favor by making the decision to come here. So I will be voting no, and no offense, I hope. We are we are believe me very glad they have you here. I'm sorry. Andy they're for sure coming right they're not just getting the the entitlement and then still deciding whether to come to them right. I'm not going to prenegotiate something. No, there's no negotiating. That was nearly the thing. We still have to complete our negotiations with string, but no, we other parties have to notify that this is our primary option moving forward. So there's nothing like that happening here. All right, thank you. And lastly, unless we're breaking up at the aisle here. Thank you. And last, let's, we're breaking up at the aisle here. I appreciate the question. Appreciate the question. I believe there is a commitment from all parties involved. And thank you, Mike. Before we take the vote here, I would just like to extend some comments of appreciation because a deal of this magnitude to Texas and to North Lake and to Ditton County does not happen without a lot of work. And I would like to thank our governmental partners. I'd like to thank the Commissioner's Court for your partnership in sharing our vision of attracting this wonderful legacy to company to Ditton County. And so I thank you members of the court for your participation as well. I'd like to thank Mayor DeWine and the town of North Lake City Council. From our district attorney's office, I'd like to thank Claire Yancy, Claire worked through the weekend and through the night to make sure all our documents were executed appropriately and ready for the judges, signatures. And our vote today, thank you Claire. I think Lori Fickling in our office who does a great job of working on our economic development programs for precinct for Bill Thornton from the Fort Worth Chamber and David Burzina. They introduced us to Mike and his team at Stream and the Fort Worth Chamber are great partners. And they do extend their service area up into Ditton County and they have been very, they've been through every step of the way they've been great partners. So Bill Thornton, I think he was going to try to be here this morning, but Bill, thank you and David Burzina and Kim Moore the consulted team on behalf of the applicant thank you Kim for your diligence and shepherd it through so anyway I just wanted I think it's important to say thank you to all those that make it happen that that that share our vision to get it done and actually focus on the execution so thank you and thank you Mike so I'll be I'll conclude my comments thank Thank you for doing that, because it is the combination of a lot of hard work for a long time. And with that, we'll call for the vote. And I'll have a motion of the second, I'll have a favor, please say aye. Aye. O.C.N.A. Motion does carry four in favor, one opposed. Do you all want to say anything or just have the proclamation? Okay, let me read this. Whereas today's society is finding more citizens taking part in motorcycle, and on the roads of our country, and whereas motorcycles are roughly unprotected, and therefore more prone to injury or death and a crash than other vehicle drivers, and whereas campaigns have helped inform riders and motorists alike on motorcycle safety issues to reduce motorcycle related risk injuries and most of all fatalities through a comprehensive approach to motorcycle safety and whereas it is the responsibility of all who put themselves behind the wheel to become more aware of motorcycles regarding them with the same respect as any other vehicle traveling the highways of this country. And it is responsibility of riders and motorists alike to obey all traffic laws and safety rules. Whereas and whereas we urge all citizens of our community to become aware of the inherent danger involving, involved in operating motorcycle and for riders and motors alike to give each other the mutual respect that we deserve.
