I1 In consideration of the mutual promises and conditions contained in this Agreement, the Parties agree as follows: 1. Services and Obligations of Consuitant 1I Scope of Services During the term of this Agreement, Consultant shall provide the services described in Exhibit "A", attached hereto and made a part hereof, which shall describe in detail the services to be provided and the compensation for pertormançe and completion of such services. 1:2Methodofi Performing Services Consultant shall determine the method, details and means of performing the services described in Exhibit "A." 1.3 Office Space and Support Staff Consultant shall be responsible for supplying its own office space but may perform services under this Agreement at or on premises supplied by the County at the County's request. Consultant will be: responsible for its own office support staff. Any and all personnel hired by Consultant, as employees, consultants, agents or otherwise (collectively, "Staff) shall be the responsibility of Consultant. 1.4 Expenses Consultant shall be responsible for all expenses incurred by Consultant unless approved by the County in writing prior to incurring the expenses. 2. Non-Employment Relationship between County and Consultant 2.1 Consultant Relationship Nothing in this Agreement shall be construed to create an employer-employee relationship between the Parties. This Agreement shall not render the County an employer, partner, agent of or joint venturer with Consultant for any purpose. Consultant shall have no claim against the County for vacation pay, sick leave, retirement, social security, workers' compensation, health or disability benefits, unemployment insurance benefits, or employee benefits of any kind whatsoever, The consideration set forth in the Consultant Service Agreement shall be the sole payment for services rendered, 1 Contract No. 2025 - 2.2 Withholding Taxes and Benefits Consultant will be responsible for withholding, accruing and paying all income, social security and other taxes and amounts required by Iaw for the Consulting Fees and all payments to Staff, if any. Consultant shall also be responsible for all statutory insurance and other benefits required by law for Consultant and Staff and all other benefits promised to Staff by Consultant, if any. Consultant shall provide the County with a completed W-9 form. 2.3 Confidentiality The Parties agree that during the term of this Agreement, the Parties may disclose confidential. information to the other Party, Parties agree not to discloseany. confidential information to third Parties without the express permission oft the other Party. Information designated as confidential information shall remain confidential until the Parties designate it otherwise or until the information becomes public through no fault oft the other Party. 3. Warranties 3.1 Consultant Warranties Consultant warrants that it has the right and authority to enteri into this Agreement and that this Agreement does not violate the terms of any agreement between Consultant and any third party. If a license is required, Consultant warrants that they are licensed to perform the agreed-upon services enumerated in this Agreement, and covenants that Consultant shall maintain all valid licenses, permits and registrations to perform the agreed-upon services and on behalf ofits employees and subagents. Further, Consultant warrants that it possesses the required expertise to render the services required by this Agreement. 3.2 Competent Work Consultant shall perform all services in a competent fashion in accordance with the applicable standards oft the profession. 3.3 Representations and Warranties Consultant will make no representations, warranties, or commitments binding the County without the County's prior written consent. 2 Contract No. 2025 - 4. County Prohibitions to Create a Safe Work Environment 4.1 Drug/Alcohol Free Workplace Consultant and all Staff, ifany, shall not bei in possession of or use ofa controlled substance or marijuana during the performance of this Agreement, Consultant, and all Staff, if any, shall also adhere to the County's policies which prohibit the use of any alcohol products while on the premises. 4.2 Prohibition on Unlawful Discrimination and Harassment Consultant does not discriminate on the basis of race, color, national origin, sex, age, religion or disability in any employment policies and practiçes, Consultant prohibits unlawful discrimination or harassment, including sexual harassment. Consultants and Staff, -if anys shall-not- engage in- unlawful harassment or discrimination while on the premises of the County. 5. Term and Termination 5.1 This Agreement shall be effective as of the date first set forth above. The term of this Agreement shall be for (1) year ("Term") from the date of this Agreement unless terminated as provided below. 5.2 Termination by Either Party Either Party may terminate this Agreement without cause with written notice to the other Party with 30 days written notice. Upon termination, Consultant shall return all data and property of the County to the County. The County shall pay Consultant all earned fees, if any. 5.3 Merger This Agreement shall not be terminated by the merger or consolidation oft the County into or with any other entity. 6. Notices All notices required or permitted to be given under this Agreement shall be in writing (the "Notice") and deemed given when (a) hand delivered by the sender and properly receipted for by a responsible person of the receiving party, (b) deposited in the United States Mail, properly addressed, with sufficient postage affixed, via first class mail, return receipt requested, (c) via Federal Express, UPS or similar national overnight courier service with delivery charges prepaid; or (d) via facsimile with a copy sent that same day via (a), (b) or (c). Any such waiver must be in writing in order to be effective, and no such waiver or waivers shall serve to establish a course of performance between the Parties contradictory to the terms in this Agreement. 10. Assignment Consultant shall not assign or subçontract the whole or any. part of this Agreement without County's prior written consent. 11. Force Majeure Neither Party shall be liable for any loss or damage suffered by the other Party, directly or indirectly, as a result of the first Party's failure to perform, or delay in performing, any of its obligations contained in this Agreement (except any obligations to make payments hereunder), where such failure or delayi is caused by circumstances beyond the first Party's control or which make performance commercially impracticable, including but not limited to fire, flood, storm or other natural disaster, explosion, accident, war, riot, civil disorder, government regulations or restrictions of any kind or any acts of any government, judicial action, power failure, acts of God or other natural circumstances. 12. Applicable Law This Agreement shall be governed by the laws of the State of Georgia. 4 Contract No. 2025 - 13. Publicity Consultant and County shall not release, without prior written approval, from the other Party, any publicity regarding the program or services provided herein, including but not limited to notices, information pamphlets, press releases, research, reports, signs and similar public notices prepared by or for either Party, identifying either Party receiving goods or services under this Agreement. 14. Time is of the Essence Time is of the essence with regard to performance of any services under this Agreement, unless the Parties agree otherwise in writing. IfCounty postpones or cancels any services, it is the responsibility of the County to reschedule those services. 15. Ownership All ideas, plans, improvements, or inventions developed by Consultant during the term of this Agreement shall belong to Consultant. 16. Gvemingltaramtyeunte This Agreement shall be governed by the laws of the State of Georgia. Venue shall be in any court of competent jurisdiction in Rockdale County, Georgia. 17. Certain Rules of Interpretation Except where the context or use otherwise requires, words importing the singular number shall include the plural number and vice versa, and the masculine, the feminine and the neuter shall include all genders. Reference to a Section number shall be construed to be a reference to the designated Section number of this Agreement unless the context or use clearly indicates another or different meaning or intent. 18. Tifles, Captions and Headings The titles, captions and paragraph headings are inserted for convenience only and are in no way intended to interpret, define, or limit the scope or content of this Agreement or any provision hereof. 5 Contract No. 2025 - 19. Counterparts This Agreement may be executed in separate counterparts. This Agreement shall be fully executed when each Party whose signature is required has signed at least one counterpart, even though no one counterpart contains all of the signatures of all the Parties to this Agreement. A scanned and/or photocopy of this document carries the same validity of an original agreement. 20. Amendment This Agreement may not be modified or amended except by agreement in writing signed by the Parties hereto. 21. Exhibits All exhibits attached to this Agreement are incorporated by reference into and made a part of this Agreement. 22. Severability Ifany provision oft this Agreement is held as a matter oflaw to be unenforceable or illegal, the remainder of the agreement shall be enforceable without such provision 23. Entire Agreement The Parties acknowledge that this Agreement sets forth the entire agreement and understanding between the County and Consultant and fully supersedes any and all prior agreements or understanding among the Parties pertaining to the same subject matter. The County and Consultant affirm that the only consideration for their agreement to execute, and their execution of the Agreement, are the terms as stated herein, and that there are no other promises or agreement of any kind which have caused them to exeçute this Agreement. This Agreement and the covenants and conditions contained herein shall be binding upon and in use to the benefit of each of the Parties hereto and their respective successors, assigns and successors in title. The Parties further acknowledge that they fully understand the meaning and intent of this Agreement, including but not limited to its binding effect. The Parties acknowledge that they have had the benefit of consulting an attorney before executing this Agreement. 24. The following public facility categories will be addressed: Parks and Recreation Fire Protection Services Library Services Law Enforcement / Jail Road and Bridge improvements Specific services include the following tasks, with Task 1 addressing the State-mandated Annual CIE Update report that is required of all communities that collect impactfees. Itis identified as Task 1 due to the need for it to be adopted by the Board of Commissioners no later than October 31, 2025. This deadline is prescribed by DCA and must be met for the County's Qualified Local Government (QLG) status to be extended for another year. Please note there is not a DCA-mandated deadline for undertaking a complete update to an Impact Fee Program; this comprehensive endeavor will be addressed beginning under Task 2 of this proposal. Task 1: Annual CIE Update Report The following steps and schedule are proposed for preparation of the Annual CIE Update that meets all legal and administrative requirements: 1. Data collection of pertinent financial and Community Work Program (CWP) information from County staff. 2. Preparation of a complete Annual CIE Update report acceptable to DCA under their Development Impact Fee Compliance Requirements. The report will be based on the County's most recently adopted CIE (December 10, 2019), and will contain thei following: a. Afinancial reportfor the last completed fiscalyeart thati includes impactfee collections, expenditures, funds on hand, and interest accrued, reflecting data supplied by the County from the last completed annual audit. b. Revisions or replacements to all public facilities listed in the project tables to reflect those now listed in the adopted CIE. C. A five-year Community Work Program (CWP) extending the CWP by adding one future year and deleting the past year, and replacing all public facility projects listed to conform to the adopted CIE. Only impactf fee projects will be shown, per direction from DCA. 3. Preparation of a draft transmittal resolution, public notice language, and suggested meeting agenda language for the Transmittal Public Hearing. The hearing is required prior to transmittal oft the Draft Annual CIE Update to the Atlanta Regional Commission (ARC), who will initiate the formal review process. 4. Attendance at the Board of Commissioners meeting for the Transmittal Public Hearing. 5. Response to any comments received from DCA during their review of the Annual CIE Update. p.2 Proposal: Rockdale County Impact Fee Program Update 6. Preparation of an adoption resolution template following DCA review, for final formatting and use by the County Clerk. We anticipate that County staff will handle scheduling and posting notice of the Transmittal Public Hearing, will transmit the draft and final adopted reports to ARC (via email), and will attend the Board of Commissioners meeting to adopt the DCA-approved Annual CIE Update (note - no public hearing is required to adopt the document). Task 2: Impact Fee Program Update initiation Task 2.1: Data Collection After an initial internal kick-off meeting with key County staff members to review the proposed project schedule and coordinate staff and consultant responsibilities, the Consultant will obtain copies of all relevant plans, studies, data and documents needed to perform the scope of work. Data to be gathered include, but are not limited to: Status of each outstanding SPLOST 2017 and 2023 project (pertaining to Parks & Rec, Sheriff/Jail, Fire/911, Library, and Roads) Latest CapitalAssets Listings - value and year built or acquired of each facility, vehicle or other capital item on the County's books (only for the public facility categories being addressed in the Impact Fee Study). Debt payment schedutes for outstanding bond issues or loans relating to the identified public facility categories. The number of employees from the Business License datasets by each business category for the current and past ten years. Inventories of all existing communityfacilties pertinent to the impact fee study, including land, buildings, permanent facilities, and rolling stock that has a service life of at least 10 years. Any adopted plans that address the public facility categories (such as a Parks and Recreation Master Plan, Fire Station Coverage Plan, Comprehensive Transportation Plan, etc.) or other departmental service plans/projections. A list of local capacity-adding road and bridge projects, including the before and after Level of Service and traffic counts. Anyrecent study or calculations prepared for the Countythat contain population, employment, and/or housing forecasts. A list of impact fee eligible projects (based on the 2019 CIE that is currently in effect) that are currently underway or projected to start in 2025. Task 2.2; Impact Fee Advisory Committee The Consultant will advise County staff on the creation of an Impact Fee Advisory Committee in accordance with the requirements and restrictions imposed by the Georgia Impact Fee Act (DIFA). The committee will be appointed by Board of Commissioners and will have the responsibility of providing input on thei fee schedule prior to adoption ofthe amended Development Impact Fee Ordinance (which will include the final fee schedule). An initial orientation meeting with the Committee will be held to detail their role, the study process, and state law provisions. p.3 Proposal: Rockdale County Impact Fee Program Update Task2.3: Impact Fee Informational Meeting While a formal public hearing is not required at the outset of the process to amend an impact fee program, we suggest a meeting be scheduled at a Board of Commissioners Work Session to provide an overview of the process and allow Commissioners to ask questions. Summary of Task 2 Deliverables: Meeting with all affected departments regarding project overview, data needs, planned capital projects, status, etc. (this is proposed as a groupmeetingto occur aftert the initialinternal "kick- off" with key County staff). Meeting #1 with the Impact Fee Advisory Committee. Informational presentation before Board of Commissioners. Task 3: Capital Improvements Element (CIE) Hatley Plans will prepare a draft Capital Improvements Element (CIE) that will ultimately replace the 2019 CIE. Itwilli include the following: Population, employment, and housing forecasts for the county to 2045 (or other year established in the County's latest Comprehensive Plan update). Level of Service (LOS) standards for each of the public facility categories, based on existing facilities and/or future plans and either the pertinent day-night population or number of households served (as appropriate to each public facility category). Calculations toi dentiylong-range captalimprovements (for Parks & Recreation, Fire Services, Library Services, and Sheriff's Office/lail) needed to serve future growth over the coming decades. A complete list of capacity-adding Road & Bridge Improvement projects will also be provided, based on available data provided by the Rockdale County Department of Transportation (RDOT). Based on the long-range capital needs list, near-term projects will be excerpted and reflected in a Five-Year Community Work Program (CWP), as required by State guidelines. The Consultant will facilitate a required public hearing before the Board of Commissioners to receive public input and for authorization to transmit the CIE to the Atlanta Regional Commission (ARC) to initiate review by DCA as a future amendment to the County's Comprehensive Plan. Upon approval by DCA and adoption by Board of Commissioners, the CIE will automatically amend the Comprehensive Plan, with the CIE acting as an appendix to the Plan. Summary of Task. 3 Deliverables: Virtual meetings with County staff to confirm and finalize data and calculations for each publicfacility category. Draft Capital Improvements Element in PDF format containing all data required by DCA; pertinent technical appendices will be included. Recommended formats for the public hearing notice and the Transmittal Resolution for the transmittal public hearing. Briefing PowerPoint summarizing the Capital Improvements Element (CIE) for Board of Commissioners presentation. p.4 Proposal: Rockdale County Impact Fee Program Update Attendance at the required public hearing before the Board of Commissioners regarding transmittal of the draft CIE to ARC and DCA. Review of comments from DCA on the CIE (if any) and appropriate responses and/or revisions. Task 4: Impact Fee Calculations Hatley Plans will calculate the maximum impact fees that could be charged as a revenue source toward funding the projects identified in the CIE. A maximum fee will be calculated for each public facility category, resulting in a total fee for each land use that cannot be exceeded; this is the ceiling above which the County cannot go. Itis necessaryto establish this ceiling since Georgia law provides that new growth and development cannot be charged more than their fair proportionate share of the costs of the capital improvements needed to serve them. This task will include calculations of revenue and project credits against impact fees that are needed to avoid potential situations of "double taxation" by new growth, who will pay impact fees as well as other local revenue sources used to payi for capital projects. Summary of Task 4 Deliverables: Maximum impact fee calculations for each land use category in each public facility category : the actual fees to be charged will be decided by the Board of Commissioners as part of the Development Impact Fee Ordinance task (see Task 5). Compilation of comparative fees in other jurisdictions, relative to the County's current and new maximum fees, to aid in fee-setting discussions under Task 5. Task 5: Impact Fee Ordinance Task 5.1 Impact Fee Ordinance Amendments To expedite implementation of the impact fee program, any proposed text amendments to the current Development Impact Fee Ordinance will be prepared for review by the County Attorney during the 60- day ARC/DCA review process on the CIE. The Ordinance will ultimately include the final fee schedule prior to adoption (see Task 4.4.) Task 5.2 Advisory Committee Meeting #2 The draft Ordinance will be presented to the Advisory Committee for discussion, and for the Committee's input- - particularly on potential exemptions and the actual impact fees to be adopted. Task 5.3 Board of Commissioners Work Session Hatley Plans will first meet with County staff to discuss the fee schedule (including any recommendations from the Advisory Committee). Following this meeting, the Consultant will prepare additional briefing materials as needed for discussion with Commission members regarding appropriate levels of impact fees to be charged and exemptions from impact fees as allowed under state law. Task 5.4 Fee Schedule for Adoption After confirming the impact fees the Board of Commissioners wishes to charge, the Consultant will prepare a final impact fee schedule to be included in the County's Development Impact Fee Ordinance. p.5 Proposal: Rockdale County impact Fee Program Update Summary of Task 5 Deliverables: Submittal of the draft Development Impact Fee Ordinance text in Word format, for review and comment by the County Attorney. Submittal of the final Development Impact Fee Ordinance text in Word format reflecting comments or changes recommended by the County Attorney. Meeting #2 with Impact Fee Advisory Committee to discuss the draft Ordinance and the potential fee schedule. Attendance at one Board of Commissioners workshop to discuss the draft Development Impact Fee Ordinance text and to set the final fee schedule. Task 6: Impact Fee Program Update Adoption Task 6.1 Ordinance and CIE Adoption Hatley Plans will attend the two state-mandated public hearings for adoption of the amended Development Impact Fee Ordinance and will be prepared to answer any questions that may arise. It is anticipated that CIE adoption will coincide with the second public hearing on the Ordinance. Summary of Task 6 Deliverables: Recommended templates for the public notice language to be published for the two public hearings regarding adoption of1 the Ordinance. Attendance at the first public hearing of the Board of Commissioners regarding adoption of the Ordinance. Attendance at the second public hearing of the Board of Commissioners to adopt the Development Impact Fee Ordinance and Capital Improvements Element. Submittal of the as-adopted CIE in digital format for transmittal by the County staff to the ARC for their records. Task 7: implementation Assistance Our services will include preparation of an Excel-based fee schedule for the County's use in updating their impact fee assessment and collection system with the new fees, as well as an updated Administrative Procedures Manual to assist with administration oft the Impact Fee Program. Summary of Task 7 Deliverables: Final fee schedule in an Excel spreadsheet, formatted in a manner to facilitate needed updates to the current fee assessment and collection system by County staff. Updated Procedures Manual for administrative processes. Following adoption and implementation of the updated Impact Fee Program, Hatley Plans will stand ready to answer questions, provide explanations and otherwise provide continuing advice to the County staff as questions or issues arise for a period of one year at no cost to the County. This assistance will be advisoryin nature and delivered by telephone or email as appropriate to the inquiry. p.6 Proposal: Rockdale County Impact Fee! Program Update Proposed Schedules The first schedule outlines the steps needed to achieve Task 1. The second presents the sequence of tasks required to fully update an impact fee program (Tasks 2 through 7).
