Kirschner, Commissioners Fredd "Glossie" Atkins, Suzanne Atwell, and Terry Turner, City Manager Robert J. Bartolotta, and Deputy City Auditor and Clerk Karen McGowan Sarasota County Public Hospital Board: Chair Gregory Carter, First Vice Chair Marguerite Malone, Second Vice Chair Gerald Phillips, Treasurer Richard Merritt, Assistant Treasurer Richard Donegan, Secretary Robert Strasser, Members Teresa Carafelli, and President and Chief Executive Officer Gwen MacKenzie ABSENT: Sarasota City Commission: Mayor Richard Clapp, at the Florida League of Cities Conference, City Auditor and Clerk Billy E. Robinson and City Attorney Robert M. Fournier Sarasota County Public Hospital Board: Assistant Secretary Thomas Kelly and Member Thomas Towler The meeting was called to order by Sarasota County Public Hospital Board Chair Carter at 1:00 p.m. in the Waldemere Plaza Auditorium, 1921 Waldemere Street, Sarasota, Florida. Members of the Commission and Board introduced themselves and their affiliation. 1. INTRODUCTION RE: SARASOTA MEMORIAL HEALTH CARE SYSTEM (AGENDA ITEM I-1) Chair Carter introduced the Chairs of the five Committees of the Sarasota Memorial Health Care System (SMHCS) who provided an overview of the activities of the five Committees as follows: Finance Committee - Secretary Strasser stated that the Finance Committee reviews all expenditures over $500,000; Mission and Planning Committee - Chair Carter stated that the Mission and Planning Committee reviews the operations, construction, strategic planning; Quality Committee - Treasurer Merritt stated that the Quality Committee meets in closed session and reviews physician appointments, reappointments, the core measures of the SMHCS, and reçeives updates on all quality and infectious disease issues in the SMHCS; Governance Committee Second Vice Chair Phillips stated that the Governance Committee plans Board Members' development, including orientation, education, Board self-evaluation, recommends necessary updates of Board policies and procedures, amendments to the by-laws, goals and objectives for the Board, provides educational opportunities outside the hospital, hears an annual report from the corporate Compliance Officer, and oversees the Audit Committee, which monitors and reviews all of the SMHCS operations; and Human Resources Committee Chair Carter stated that the Chair of the Human Resources Committee, Member Towler, unable to attend due to another commitment and the Human Resources Committee oversees the development of all the human resources programs, conducts the performance evaluation of the Chief Executive Officer (CEO), recommends the CEO's compensation, reviews the senior executives' development, competencies for patient care providers, the customer service programs, and employee surveys Chair Carter stated that the five Committees help establish the five pillars of SMHCS of: Caring and Compassion Excellence Teamwork and Trust Mutual Respect and Recognition Cost Effective/Ethical Behavior Chair Carter stated that SMHCS has one of the busiest Emergency Rooms on the west coast of Florida and is an important part of the City of Sarasota. 2. PRESENTATION AND DISCUSSION RE: THE SARASOTA MEMORIAL HEALTH CARE SYSTEM: AN UPDATE (AGENDA ITEM I-2) Ms. MacKenzie introduced members of the Sarasota Memorial Hospital Health Care System (SMHCS) present in the audience as follows: Chief Operating Officer Michael Harrington, Chief Financial Officer David Verinder, Chief Financial Officer Chief Medical Officer Dr. Parlane Reid, Marketing Executive Peter Taylor, and SMHCS Attorney Dan Bailey; thanked the City Commission for its support of SMHCS, particularly for approval of the bed tower addition; and gave a computer-generated presentation of SMHCS's role as the Regional Referral Center, as the provider of comprehensive medical services, and as the safety net for the residents of the community. 3. TOUR OF THE OPERATING ROOMS OF THE SARASOTA MEMORIAL HEALTH CARE SYSTEM) Ms. MacKenzie took the Commission and Board on a tour of the hospital operating rooms and Staff of the Sarasota Memorial Health Care System provided an explanation of the various operations being performed and the functions of various medical equipment utilized. 4.
