PRESENTED BY: Karen Souther, Mayor FINANCIAL IMPACT: N/A LEGAL REVIEW: N/A ATTACHMENTS: See Attachments STATE OF TEXAS MEMORANDUM OF UNDERSTANDING CITY OF GUNTER AND COUNTY OF GRAYSON GUNTER INDEPENDENT SCHOOL DISTRICT This Memorandum ofUnderstanding (hereinafter referred to as "MOU") is made and entered into by and between the City of Gunter ("City"), whose address is 105 N 4th Street, Gunter TX 75058, and the Gunter Independent School District ("ISD"), whose address is 213 N Preston Road, Gunter TX 75058. City and ISD my be referred to herein as the "Party," or collectively as the "Parties." RECITALS WHEREAS, the City and ISD have entered into an agreement for the purchase of an approximately one acre tract of land located in the territorial limits of the City near the downtown area; and WHEREAS, the City's future land use plans include growth of the downtown area for mixed use type development including residential and retail uses; and WHEREAS, the ISD installed and is responsible for maintenance for a sanitary sewer lift station near the current elementary school located at 200 W Elm Street, Gunter, Texas, and more particularly described on the Map Recording Sheet, Instrument 3631, Supplementary Addition Replat, City of Gunter, Map Vol 18, Page 34, Lot 1R, Blocks 36 & 37; and WHEREAS, the Parties desire to allow future developers to access and use the sanitary sewer lift station as may be necessary for downtown development; and WHEREAS, while the terms of such access and use of the sanitary sewer lift station are impossible to know at this time, the Parties wish desire to formally document their initial agreement as to such use. NOW, THEREFORE, the Parties hereto agree as follows: 1. Purpose. The purpose of this MOU is to establish guidelines for use the ISD's sanitary sewer lift station as described in the Recitals herein and to further establish each party's responsibilities related thereto. 2. Term of MOU. This MOU is effective upon the day and date last signed and executed by the duly authorized representatives of the parties to this MOU and shall remain in full force until terminated as provided herein. MOU City of Gutner and Gunter ISD RE: Lift station 1 3. Responsibilities of the City ofGunter. a. The City of Gunter or the operator of the sanitary sewer system serving the City (the "Operator") will determine if and when use of the lift station is necessary for the proper operation and maintenance oft the sanitary sewer system serving the City. b. If the City or Operator determines additional use of the lift station is necessary for proper operation oft the sanitary sewer system, the City or Operator will evaluate the then current capacity and condition of the lift station. C. If: future development in the City requires increased capacity of the lift station, the City or the Developer will pay all costs associated with increasing such capacity and a proportionate part of the maintenance costs for the lift station after the capacity has been increased. d. If the then current capacity is sufficient to serve both the new development and the ISD, then the City or Developer will contribute its proportionate share of maintenance of the lift station once the new development begins use of the lift station. 4. Responsibilities of ISD. a. ISD agrees to provide the access to the lift station for the purpose of evaluation of the lift station current condition and capacity prior to access and use by the City, the Operator or Developer. b. ISD agrees to make all necessary repairs to the lift station identified by the City or Operator for use and operation of the lift station at the then capacity of the lift station and pay all costs associated therewith. C. Ifi increased capacity is necessary to serve the needs of the new development, ISD will provide access and if required easements to the lift station for the City, Operator and/or Developer to install all necessary infrastructure, parts, equipment, or other machinery or tangible things necessary for use the lift station. 5. General Provisions a. Recitals. The above recitals, having been found by the Parties to be true and correct in all respects are incorporated into this MOU by reference. b. No Waiver of Immunity. No provision of this MOU shall affect or waive any sovereign or governmental immunity available to either Party under federal or state law nor waive any defenses or remedies at law available to either Party and/or its elected officials, officers, and agents under federal or state law. Applicable Law. The construction, interpretation and enforcement of this MOU shall be governed by the laws ofthe State ofTexas. f. Entirety of Agreement. This MOU represents the entire and integrated understanding between the Parties and supersedes all prior negotiations, representations, understandings, and agreements, whether written or oral. g. Severability. Should any portion of this MOU be judicially determined to be illegal or unenforceable, the remainder of the MOU shall continue in full force and effect, and either Party may renegotiate the terms affected by the severance. h. Signatures. In witness whereof, the parties to this MOU through their duly authorized representatives have executed this MOU on the days and dates set out below, and certify that they have read, understood, and agreed to the terms and conditions ofthis MOU as setforth herein. i. Effective Date. The effective date of this MOU is the date of the signature last affixed to this page.
