No. 3076 Matters Presented by the Chair Mr. Hiltzik Mr. Hilztik reported that the Board met in closed session prior to the meeting during which time they reviewed the minutes from July 21, 2016, reviewed legal matters and discussed contract negotiations related to an acquisition of a real estate interest. Annual Schedule of Meetings Mr. Hiltzik moved, upon the recommendations of the Nominations Committee, that the Board ofTrustees adopt the attached public meeting schedule for the Academic Year 2016-2017. The motion was seconded and approved unanimously. No. 3077 3 Appointment of] Board Standing Commitees/Chairs for AY16-17 Mr. Hiltzik then announced the following appointments to the Board's standing committees for fiscal year 2017. In accordance with the Board's S bylaws, the Board Chair and the President serve as ex officio, nonvoting members of every committee. The Executive Committee: Francis Cuss, Thomas Maguire, Ralph LaRossa, and John McGoldrick. The Academic Affairs & Facilities Committee: Mr. Maguire as Chair, Ms. Cali as Vice Chair, Mr. Inserra, Mr. Mullen, and Mr. Council as the non-voting student Trustee. Faculty Representative Professor Adams sits on this committee. The Audit, Finance & Investment Committee: Dr. Cuss as Chair, Mr. LaRossa as Vice Chair, Mr. Kennedy, and Mr. Clement as the voting Student Trustee. Matters Presented by the President - Dr. Susan A. Cole Dr. Cole reported enrollment for academic year 2016-2017 was very strong, with an expected enrollment of 20,970. The inaugural School of Nursing class enrolled 54 students, which was 35% above the first year enrollment goals. The University's Dance program was named one oft the top five programs in the country by OnStage Magazine. Dr. Cole introduced several new members of the faculty and student body to the Board of' Trustees. Union Report Professor Wolfson spoke on behalf of AFT Local 1904. Professor Wolfson urged the administration to fill faculty positions earlier in the year, as opposed to utilizing emergency contracts. Professor Wolfson asked for additional information regarding the proposed contract awards. Lastly, Professor Wolfson asked the Trustees to work towards providing raises and increments that have been frozen during the collective bargaining with the State ofNew Jersey. Personnel, Compensation, Nominations and Governance Committee Ms. Cali stated that the Personnel, Compensation, Nominations and Governance Committee reviewed a list of new hires anticipated before the Board's next meeting and received an annual review of employment trends at the University. Cole Dr. Cole reported that Kay Consales, a major benefactor and friend ofl Montclair State University's College of the Arts, passed away on October 11 at the age of91. Ms. Consales gifted $6 million in honor ofher husband Gene ('50) to establish an endowed faculty chair in the College ofthe Arts as well as three endowed scholarship funds for students studying vocal music and musical theatre. On October 15, the University celebrated the 10th anniversary oft the John J. Cali School of Music in the Kasser Theater. 2016, 3 Over 350 music school students performed. Homecoming was a spirted and successful event, with over 650 families attending the pancake breakfast. The Feliciano School of Business Center for Entrepreneurship hosted Women's Entrepreneur Week. The event had over 200 attendees and included Lieutenant Governor Gaudagno as well as female executives from ADP, Wyndham Resorts speakers and Realogy. Levine served the University for forty-four years, and developed and taught numerous courses in Spanish Peninsular literature, women's literature, and film, directed graduate theses and served on numerous thesis committees, and Whereas: She held various leadership positions, including Chair ofthe Spanish and Italian Department; participated actively in many departmental, college and university committees; was one of the founders and directors ofthe Women's Studies Program and Major; and Whereas: Professor Levine received the Outstanding Faculty Award, the Montclair State University Distinguished Teacher Award, and the Dean's Recognition Award for Scholarship, and her extensive research produced many books, critical editions, and articles on Spanish and Latin American writers. PROFESSOR DEL ALAMO Whereas:. Professor Elizabeth Valdez del Alamo has retired from Montclair State University, College ofthe Arts, Department of Art and Design, and Whereas: Professor del Alamo served the University for twenty-six years, and she contributed substantially to the Department of Art and Design and to the University as Advisor to the B.A. students in Studio Arts and Art History; served as the Head of Art History and as Chair of the Departmental Academic Affairs Committee, College of the Arts Curriculum Committee, and the Sub-committee of the University Undergraduate Curriculum Committee and was an active member oft the Honors Program faculty; and Whereas: She is a scholar of Spanish art of international repute; and her 2012 book, Palace of the Mind: The Cloister of Silos. and Spanish Sculpture ofthe Twelfth Century, is the recognized authoritative work on the subject. She has published numerous articles and given papers at international conferences in English, Spanish, and French; she is the recipient of The Howard Foundation Fellowship among others, and she served on the Advisory Board ofthe International Center of Medieval Art in New York City, and is also an advisor for the conferences on Romanesque art convened by the British Archaeological Association; and was recognized as the 2014 University Distinguished Scholar, and 8 PROFESSOR WILLIAMSON.JR. Whereas: Pursuant to Montclair State University personnel policies, the Board of Trustees, upon recommendation of the President, may provide emeritus status for a retired professor should it desire to recognize meritorious performance, and Whereas: Professor Thomas Edward Williamson, Jr. has retired from Montclair State University, College of Science and Mathematics, Department ofMathematical Sciences, and Whereas: Professor Williamson served the University for forty-five years, and taught a wide variety of courses in the Department of Mathematical Sciences, both at the undergraduate and graduate level; served at certain times as Deputy Chair and Acting Chair of the department and Assistant Dean of the College of Sciences and Mathematics; helped found the MathLab for Basic Skills courses; contributed to the creation of the Department of Computer Sciences and the creation ofthe Faculty Scholarship Incentive Program; and Whereas: He published numerous mathematical papers in prestigious journals including Proceedings ofthe American Mathematical Society; and Now, therefore, be it Resolved: That Professors Carl Gottschall, Linda Gould Levine, Elizabeth Valdez Del Alamo, and Thomas Edward Williamson, Jr. be designated Professor Emeritus of Montclair State University with all the rights, duties, and privileges thereunto appertaining. University Senate Report Professor David Trubatch introduced himself as the newly elected president of the University Senate. Professor Trubatch congratulated the members of the faculty upon whom emeritus status was confirmed and congratulated the University on successes of the Cali School of Music 10th Anniversary celebration and Homecoming. Professor Trubatch noted that this was an important time for the University because the Middlestates self-study report was. being drafted and part of the University planning process should include the. concept ofs shared governance and how it can continue to aid the University's growth. Student Representative Report Student Representative Christopher Clement stated that the students were into the mid-term period and, while. it may be a stressful time for students, he has seen a decline in student complaints over the past two years. The University has increased the quality ofits academic facilities, the quality of students admitted continues to get better, and the administration has taken steps to address concerns over the shuttle bus schedule. Mr. Clement said he looked forward to the rest oft the semester. Cole Dr. Cole reported that the Board will consider approving a PhD in Clinical Psychology, the University's gth which would be the University's gth doctoral program. Dr. Cole thanked the entire Psychology Department, and in particular, its chair, Dr. Ken Sumner, for their hard work in bringing this program to fruition. Dr. Cole stated that the University's first winter commencement ceremony will be held on January 23, 2017 in the Prudential Center, when it is expected that over 1,200 August and January graduates will have their dgrees conferred upon them. Bach student will be individually recognized during the ceremony. The School ofCommunications and Media and the School ofNursing/Graduate School buildings are proceeding on tie and on budget, and both will be open to students and staff this coming January. The School ofNursing has exceeded its enrollment targets for the inaugural cohort. The enrollment for upcoming academic year is expected to be quite strong, both in terms of numbers and the quality of student. Union Report Professor Wolfson spoke on behalf of AFT Local 1904. Professor Wolfson congratulated the professional staff members and faculty tenure track re-appointments. Professor Wolfson made special mention oft the 21 faculty that will be considered for tenure, which is the capstone of a successful academic career. Professor Wolfson took no position on the contract awards, but asked for additional information regarding the proposed awards. Professor Wolfson concluded by wishing everyone a happy holiday season and a safe New Year. The University's annpal scholarship dinner will be held on March 4, 2017. 3 Union Report Professor Wolfson spoke on behalf of AFT Local 1904. Professor Wolfson congratulated the nine faculty appointments, 82 professional staff reappointments, and 21 second year faculty reappointments. Professor Wolfson thanked the Provost for granting 29 of the 40 sabbatical requésts submitted. Professor Wolfson sought additional information regarding the contract awards and sought clarification regarding the rights and privileges of specialists. No. 3104 Tuition Hearing Executive Director of Budget and Planning David Josephson provided an overview related to State appropriations, the budget, and comparative tuition and fee data. Mr. Josephson reported that the State of New Jersey operating support would fund less than 20% oft the University's FY 2018 operating budget. He noted that the University would again increase financial aid for merit and need based students. The University has increased need and merit based financial aid offered to students by 85% since 2011-12. James Anderson, Director of Financial Aid, provided an overview of financial aid programs, noting the increasing percentage of University funds devoted to need-based grants. He reported that 7,500 students received the maximum grant in both the Pell Grant and Tuition Aid Grant programs in FY 2017. Montclair State's student loan default rate is 3.2%, which is among the lowest in New Jersey and well below the national default rate of 11%, which is a strong indicator that our students are gainfully employed post-graduation and are not overburdened by their loans. Matters Presented by the President - Dr. Susan A. Cole Dr. Cole reported that the University will hold Commencement on May 22nd and May 25th. The University has received over 11,000 completed applications from students seeking admission as first-time freshmen. This is an increase of 15% over last year and 4% over 2015. This year's Accepted Student Days have seen record sign ups, with more than 1,200 students indicating their interest in each of the two events-an increase of 19% compared to last year. She indicated that the Middlestates accreditation review went very well. The final report issued no recommendation or requirements. Dr. Cole expressed her appreciation for Provost Willard Gingerich, Associate Provost Joanne Cote-Bonanno, Professor Joan Besing, and Acting Director of the School of Communications and Media Christine Lemesianou for spearheading this incredibly important initiative. The University will be hosting a reception on April 24th honoring faculty members who have received grants this year. The University continues to grow in this arena, having received $10.1 Million in grant awards this year in an increasingly more competitive environment. The University is about to file another 170 grant applications, one of which will the University's first Title 5 grant application. The $2.2 million grant application was made possible by the University's Hispanic Serving Institution designation by the United States Department of Education. Professor Wolfson stated he was proud of the students who addressed the Board of Trustees during the tuition hearing and that he wished more students would have attended the hearing. Professor Wolfson stated that he knows the Board sympathizes with the students and makes every effort to continue to keep the University affordable. Professor Wolfson asked for greater transparency regarding student fees and tuition costs. Professor Wolfson applauded the new tenure track hires and the 54 professional staff reappointed to multi-year contracts. No. 3108 University Senate Report University Senate President Professor David Trubatch urged the Board of Trustees to work toward a tuition and fee structure that will keep the University affordable and support a growing enrollment and ensure they understand what the student fees would be utilized for, as well as the impact the reduction in course fees would have on instruction. Professor Trubatch reported that the University Senate appreciated the University accepting the Senate's recommendations regarding the tobacco free campus policy. Professor Trubatch congratulated the University on an outstanding Middlestates accreditation review process and asked that shared governance continue to be reviewed. Cole Dr. Cole expressed the sorrow of the community in learning that Mary DeFlllipis, who served the University for 24 years, most recently as an Academic Advisor in the Feliciano School of Business, was tragically hit by a car the previous night and died. Matters Presented by the Chair Mr. Hiltzik Mr. Hilztik reported that the Board met in closed session prior to the meeting during which time they reviewed the minutes from April 20, 2017, received an update on legal matters, and discussed contract negotiations. Matters Presented by the President - Dr. Susan A. Cole (cont'd) Dr. Cole reported that the University conferred over 5,000 degrees this year. The Graduate School held its commencement at the New Jersey Performing Arts Center, during which an honorary degree was conferred upon ADP CEO Carlos Rodriguez. The undergraduate commencement was held at the Prudential Center, during which honorary degrees were conferred upon the Mayor of the City of Newark, Hon. Ras J. Baraka, and world renowned tap dancer Savion Glover. Enrollment for Fall 2017 is promising. The University currently has registered over a 1,000 more students than by the comparable date last year, which is indicative that the University registration system and efforts have been more successful than in years past. The University continues to be busy over the Summer, offering approximately 1,000 summer classes while facilities is improving or renovating a number of buildings, including Bohn Hall, the Village, Mallory Hall, College Hall, Hawks Crossing, Calcia Hall, and Sprague Library. The Fall term will be quite active, as we are planning a ribbon cutting for the School of Communication and Media, an event for the 20th anniversary of the Graduate School, Homecoming, and many other exciting events. The University is saying goodbye to Dean Robert Prezant, who, after 16 years of dedicated service to the University and the College of Science and Math, will become the Provost at Southern Connecticut State University. We wish him great success. Union Report Professor Wolfson spoke on behalf of AFT Local 1904. Professor Wolfson congratulated the new tenure track faculty joining the University in the Fall, as well as those members receiving promotions or multi- year contracts. Professor Wolfson urged the University work toward providing instruction and clinical specialists with new contracts as quickly as possible. He sought clarification as to where the AFT offices would be moved once the College Hall renovation began. Professor Wolfson took no position on the proposed contract awards and asked to be provided greater detail regarding the awards. No.3113 Union Report Professor Wolfson spoke on behalf of AFT Local 1904. Professor Wolfson reported that there is a tentative agreement between the Union and the State of New Jersey, and the Union is pleased that the negotiations are completed. Professor Wolfson stated that he was pleased the State of New Jersey had designated Montclair State University a Public Research University, and he hoped that the faculty would receive the appropriate recognition. Professor Wolfson extended his congratulations to Dean Daniel Gurskis for receiving tenure, requested additional information regarding the annual budget, and urged the Board to approve the managerial raise pool. In closing, Professor Wolfson asked that be given prior information regarding any Board action on Dr. Cole's compensation. Audit. Energy Sales Agreement Change Order Ms. Cali moved that the President and Vice President for Finance and Treasurer of the University are authorized and directed to execute and deliver a Change Order to the ESA in substantially the form submitted to the Board with such changes, omissions, insertions and revisions as shall be approved by the President or Vice President for Finance and Treasurer of the University, and to do and perform such other acts and to execute such further documents and certificates and to take such other actions as may be necessary, required, appropriate or convenient to implement the purposes of the ESA as amended. No. 3118 Agreements with Non-Collegiate Organizations Ms. Cali moved that the Board of Trustees hereby authorize Montclair State University to offer college credit bearing courses in conjunction with or under contract with non-collegiate organizations and directs the President and/or the Provost and Vice President for Academic Affairs to do and perform such acts and take such actions as may be necessary or otherwise required in connection with same. No. 3123 Motion to Amend the Agenda Mr. McGoldrick moved to amend the agenda to include a resolution regarding Presidential Compensation. Presidential Compensation Mr. McGoldrick moved that, in recognition of President Susan A. Cole's continuing outstanding leadership, performance, accomplishments, and service to the University, the Board of Trustees approves, effective July 1, 2017, a salary of $440,000 and a performance bonus equal to 10% of her FY 2017 salary. No. 3124 Matters Presented by the Chair - Mr. Hiltzik Mr. Hiltzik reported that the Trustees met closed session prior to the meeting during which time they reviewed the minutes from June 8, 2017, received an update on legal matters, and discussed contract negotiations and met in Executive Session regarding the President' S annual performance evaluation. Matters Presented by the President = Dr. Susan A. Cole Dr. Cole took note of the superb new facility for the School of Communication and Media in which the Board meeting was takin place, thanked Dean of the College of the Arts Daniel Gurskis for his continued leadership to the College, and noted the faculty contribution to the design and planning for the School of Communication and Media building. Dr. Cole also recognized Vice President for University Facilities Shawn Connolly and Vice President for Information Technology Candace Fleming for their roles in bringing the building to fruition. Dr. Cole announced that effective July 21, 2017, the University had been designated a Public Research University by act of the New Jersey Legislature and acknowledged the contributions of the University community to the University's growth and success, which ultimately led to the University receiving the designation. Dr. Cole also thanked Director of Government Relations Shivaun Gaines for her tireless efforts in ensuring that the legislation would be passed and Trustees LaRossa and Mullen for their efforts. Dr. Cole announced that the University had received the Middle States Accreditation Final Report, which was extremely positive. The University's next accreditation review will take place in 2025-26. The Council for the Accreditation of Counseling and Related Educational Programs also reaccredited the University's four counseling programs for another 8 years. Dr. Cole congratulated Dean Tamara Lucas and her entire team. Dr. Cole welcomed Acting Dean of the College of Science and Mathematics Dr. Lora Billings, who returns to the University from her time at the National Science Foundation, and announced that Dr. Kenneth Sumner, the former chair of the Psychology Department, has been appointed as Acting Associate Provost. Finally, the President indicated that enrollment for Fall 2017 is very strong, with registration exceeding last year's s numbers at the same point in the year by approximately 1,000 students.
