Work. Contractor shall furnish, deliver, and pay for all labor, equipment, services, and materials necessary to perform the work reasonably described and depicted in contractor's written quotation for services presented to owner ("the quote") which is hereinafter referred to as "the work". 2. Amount. For the performance and completion of the work, the owner agrees to pay the contractor the amount stated in the quote ("contract amount") as follows: one-half of contract amount payable upon execution and balance due upon completion. Interest is payable on unpaid amounts accruing to the right of 1.5% per month (18% per annum). 3. Changed or additional work. The owner agrees to pay the contractor all costs associated with any additional or changed work, whether it's expressly ordered by owner or constructively required by work site conditions or owner's failure to fulfill any obligations hereunder, plus 15%. The contract amount assumes contractor can perform all excavations by hand without either subsurface obstruction or power equipment. Ifa a contractor encounters subsurface conditions such as large rocks, boulders, foundations, or other conditions requiring jackhammers or other extraordinary activation efforts, the amount payable hereunder shall be increased commensurately. The contract amount is further based on material prices as of the date of the agreement. Material price increases of 10% or more following execution of the agreement shall be considered a change in condition as herein described. In the event of additional or changed work, the contractor and owner will execute a written modification indicating the costs resulting from such additional or changed work. 4. Owner's duties. Owner shall clear all personal property and otherwise make the area surrounding the work accessible by contractor SO that contractor's work is not impeded in any respect including, but not limited to, providing adequate space for on-site storage of materials and equipment. If required due to the unique characteristics of the owner's property or the work, the owner shall secure permission fori ingress and egress from adjacent landowner(s). Prior to the time that contractor begins its work, owner shall locate and mark, with flags and/or spray paint, thel boundaries and rights of owner's property including all applicable easements. Owner shall identify and hold contractor harmless from and against all claims and damages, including attorney fees, resulting in whole or in part from inadequate access, any omitted marking or otherwise incorrect marking of utilities, and/or any omitted marking or otherwise incorrect marking of property rights. 5. Clean up. Contractors shall remove all construction trash, waste and debris created by or arising out of the work. Lawn damage due to wet or natural conditions shall be the owner's responsibility. 6. Warranty. Contractor warrants the work (materials and workmanship) by and through it's written limited warranty which is incorporated by reference and made a part hereof as exhibit a. 7. Safety. Contractor shall cause its work to comply with all safety measures, policies, and standards required or recommended by governmental or quasi-governmental authorities having jurisdiction over the work. The foregoing notwithstanding, contractor is an invitee on owner's property and owner shall have the sole responsibility to make its property fit for contractor to enter and perform the work needed. 8. Notice of lien rights. Owner understands that as part of the work hereunder, contractor will furnish supervision, labor, equipment and/or materials in furtherance of improvements to owner's real property and, as a result, the law confers certain rights to contractor regarding owner's real property by way of mechanics liens should owner fail to pay contractor all amounts due for work hereunder. 2 of 4 pages 35. The owner shall purchase and maintain search liability insurance to protect the contractor from claims which may arise from the performance of the owner's obligations under this agreement or the owner's contact during the work. 11. Time. Work will proceed on a first come, first served basis. It is expected that the work will commence within 30 days of the execution of the agreement, workload depending, and completed within 10 business days thereafter. The contract price assumes the contractor will be able to complete the work without interruption. If any failure of owner hereunder causes interruption necessitating contractor's de-mobilization and re-mobilization, delays will result, and owner shall be responsible for all resulting costs. 12. No assignment. The owner may not assign its agreement with contractor, and whole or part, without contractor's prior written consent. 13. Choice of law. This agreement shall be construed, enforced, and performed in accordance with the laws of the state of Georgia. 14. Termination. Disagreement may be terminated by contractor and then event of any of the following: (a) owner fails to make any payment hereunder; or (b) owner fails to fulfill any obligation hereunder. In the event of termination, the contractor is entitled to all costs incurred up to the time of termination including any de-mobilization, equipment charges, restocking fees, and, if applicable, material charges for specially manufactured goods. Contractor delivers material to owner in anticipation of payment. If the owner fails to make any payment required by this agreement, the contractor shall have the right to remove all materials from the site previously delivered regardless of whether the material has been installed or modified in any aspect. In addition to the foregoing, the contractor shall have the right to terminate this agreement without calls and without prior notice to the owner. In the event of a termination without being caused by contractor, owner shall have no further obligations to contractor. 15. Dispute resolution. Any claim, dispute, or other matter in question between owner and contractor shall be resolved through arbitration before a single arbitrator in accordance with the construction industry arbitration rules of the American arbitration association then in effect. The award of the arbitrator shall be final and binding upon the parties without the right to appeal to the courts. Judgment may be entered upon it in accordance with the applicable law by any court having jurisdiction thereof. The foregoing notwithstanding, contractor shall have the right to enforce any mechanical line or seek required injunctive relief in a court of competent jurisdiction without waiving this agreement to arbitrate. Should court intervention be required to enforce this agreement to arbitrate, the prevailing party shall recover all attorney fees incurred in the process of enforcing such agreement. 16. Jointly drafted. The parties expressly agree that this agreement was jointly drafted, and they both had the opportunity to negotiate its terms and to obtain the assistance of counsel in reviewing its terms prior to execution. Therefore, this agreement shall be construed in a neutral manner. 17. Entire agreement. These terms and conditions, and the quote come together to form the complete and full agreement between the two parties.
