ADJOURNMENT Shenandoah County Board of Supervisors RULES OF PROCEDURE (Adopted January 7 January-3,20254) Introduction These rules of procedure were designed and adopted for the benefit and convenience of the Shenandoah County Board of Supervisors. Their purpose is to help the Board conduct its affairs in a timely and efficient manner. The: rules of procedure do not create substantive rights for third parties or participants in proceedings before the Board. Further, the Board reserves the right to amend the rules of procedure whenever ai majority of the Board decides to do SO. The failure of the Board to comply with the rules of procedure shall not invalidate any action of the Board. To the extent that there has been a deviation from the rules which follow, if there has been no objection by a Board member despite ai reasonable opportunity to object, any such deviation shall be deemed consented to all members, and the rule in question shall be deemed suspended in that single instance. SECTIONI-PURPOSE AND BASIC PRINCIPLES Section 1-1. Purpose of Rules of Procedure A. To enable the Shenandoah County Board of Supervisors (hereinafter referred to as "the Board") to transact business fully, expeditiously and efficiently while affording every opportunity to citizens to witness the operations of government; B. Toj protect the rights of each individual Board member; C. Toj preserve a spirit of cooperation among Board members; and D. To determine the will oft the Board on any matter. Section 1-2. Basic Principles Underlying Rules of Procedure A. The business of the Board should proceed in the most efficient manner possible; B. The Board's rules of procedure should be followed consistently; C. The Board's actions should be the result of a decision on the merits and not a manipulation oft the procedural rules; D. Only one subject may claim the attention ofthel Board at one time; E. When and Where Regular Meetings are Held The time and place of regular meetings of the Board shall be established at each organizational meeting. Unless otherwise decided by the Board, regular mMeetings shall be held in thel Board Room, on the first floor ofthe county government center, as follows: The second Tuesday of the month at 4:00 p.m. and the fourth Tuesday of the month at 7:00 p.m., except, there will be no regular meetings on the second Tuesday of July and on the fourth Tuesday ofl December, and the only December meeting shall be at 7:00 p.m. Ifthe Board subsequently desires tol hold any other regular meeting the Board shall pass a resolution at ai regular meeting oft the Board as to such additional regular meeting day, place, and time. The Board shall cause a copy ofsuch resolution tol be posted on the door oft the courthouse, on the door of the Board Room, and inserted in a newspaper having general circulation in the county or municipality at least seven days prior to the date of such additional regular meeting. Section 2-2. Special Meetings A. The Board may hold such special mcing-tR-nMs#eNNe y and itmay adjourn from time to time. A special meeting of the Board shall be called pursuant to Section 15.2-1417 and 15.2-1418 of the Code of Virginia, as amended. B. Special meetings may be called by the Chairman of the Board, or any two members of the Board in writing to the Clerk oft the Board for the purpose stated in the notice of the special meeting. No matter not specified in the notice of special meeting shall be considered at such special meeting unless all members are present or sign a waiver, as required by Section 15.2-1418 oft the Code of Virginia, as amended. The Clerk shall forthwith notify the members of the Board of the time and place designated and the purpose oft the special meeting. Notice of the special meeting shall be-provided in accordance with Section 15.2-1418 oft the Code of Virginia prior to the special meeting to each member of the Board. Notice to the public of any special meeting shall be given contemporancously with the notice provided to the members of the Board, the County Attorney, County Administrator and thei media. Section 2-2.1: Remote Participation in Board Meetings Members of the Board are hereby approved to participate in a meeting of the Board through electronic communications from a remote location that is not open to the public as provided in (1) A supervisor wishing to participate from a remote location in a meeting of the Board shall notify the Chairman on or before the date of a meeting that the supervisor is unable to attend the meeting due to (i) a temporary or permanent disability or other medical condition that prevents the supervisor's physical attendance, or (ii) a medical condition of ai member of the supervisor's family requires the supervisor to provide care that prevents the supervisor's physical attendance, or (iii) is a caregiver who must provide care for a person with a disability at the time the public meeting is being held thereby preventing the supervisor's physical attendance or (ivi) the supervisor's principal residence is more than 60 miles from the meeting location identified in the required notice for such meeting, or (iv) a personal matter, provided that the supervisor identifies with specificity (2) Ifp participation by a supervisor through electronic communication means is approved, there shall be recorded in the minutes the remote location from which the supervisor participated; however, the remote location need not be open to the public and may be identified in the minutes by a general description. If participation is approved pursuant to subdivision 1(i) or (ii), the minutes shall include the fact that the supervisor participated through electronic communication means due to a (i) temporary or permanent disability or other medical condition that prevented the supervisor's physical attendance or (ii) a family member's medical condition that required the supervisor to provide care for such family member, thereby preventing the supervisor's physical attendance. If participation is approved pursuant to subdivision 1 (iri), the minutes shall include the fact that the supervisor is a caregiver who must provide care for a person with a disability at the time the public meeting is being held thereby preventing the supervisor's physical attendance. Ifparticipation is approved pursuant to subdivision 1(iv), the minutes shall include the fact that the supervisor participated through electronic communication means due to the distance between the supervisor's principal residence and the meeting location. If participation is approved pursuant to subdivision 1 (iv), the minutes shall include the Code of Virginia S 2.2-3708.3, subject to the following requirements: the nature oft the personal matter. specific nature oft the personal matter cited by the supervisor. (3) If the absent supervisor's remote participation would violate this policy, such remote participate is disapproved and the absent supervisor shall not be allowed to participate. The reason for such disapproval shall be recorded in the Board's minutes. For purposes of determining whether a quorum is physically assembled, a supervisor who is a person with a disability as defined in $ 51.5-40.1, and a supervisor who is a caregiver for a person with a disability, either or both of whom uses remote participation. counts toward the quorum as ifthe individual or individuals are physically present. (6) The Clerk shall make arrangements for the voice oft the absent supervisor to be heard by all persons in attendance at thej primary or central meeting location. Section 2-3. Legal Holiday When any regular meeting is scheduled to be held on a legal holiday, the meeting shall be held on the following business day, with no additional notice required, unless the meeting is canceled by a majority vote oft the Board. Section 2-4. Adjourned or Recessed Meetings A. A meeting of the Board is "Adjourned" when the Board has finished its business and has brought the meeting to a close, with the intention of1 holding another meeting at a later date. Generally, when a meeting of the Board is Adjourned, the next meeting of the Board is preceded by opening ceremonies. A meeting of the Board is "Recessed" when the Board takes a break between sittings and after the recess business isi resumed where it left off. B. A properly-called regular or special meeting may be Recessed or Adjourned to a time and place certain by a motion made and adopted by a majority of the Board in open session during the regular or special meeting. The motion shall state the time and place when the meeting will reconvene. No further notice need be given of such a Recessed or Adjourned session ofaj properly called regular or special meeting. Section 2-5. Continued Meetings A regular meeting shall be continued to the time and place of the next regular meeting if the Chairman, or Vice Chairman, if the Chairman is unable to act, finds and declares that weather or other conditions are such that it is hazardous for Board members to attend the regular meeting. Such finding shall be communicated to the Board members and the press as promptly as possible. All hearings and other matters previously advertised shall be conducted at the continued meeting and no further advertisement is required. Section 2-6. Organizational Meeting A. The first meeting in January shall bel known as the organizational meeting. B. Following the election oft the Chairman, he or she shall preside during the election ofthe Vice Chairman. D. Following the election oft the Vice Chairman, thel Board shall: 1.1 Establish the dates, times and places for regular meetings; and 2. Adopt its Rules of] Procedure. Section 2-7. Procedure for Election of Chairman and Vice Chairman A. The Chairman elected at the previous year's Organizational meeting shall preside initially during the meeting at which the Chairman is elected. Following the election of the Chairman, he or she shall preside during the election oft the Vice Chairman. 1. The presiding officer shall call for nominations from the Board. 2. Any Board member, after being recognized by the presiding officer, may place one or more names in nomination and discuss his or her opinions on the 3. The Chairman and Vice Chairman shall serve until the next organizational meeting and until their successor is appointed and qualified. SECTION3- OFFICERS Section 3-1. The Vice Chairman serves in the absence of the Chairman. In the absence from any meeting of both the Chairman and Vice Chairman, the Board members present shall choose one of their members as temporary presiding officer. Section 3-2. Clerk The Clerk of the Board shall be the County Administrator appointed by the Board. (For purposes of Va. Code, $ 15.2-1538, the Board's adoption of these rules shall constitute the appointment oft the Clerk.) He or she shall prepare the agenda for Board meetings, shall attend all Board meetings, and shall keep an accurate record of the proceedings. The Clerk may act through one or more deputies or assistants. Section 3-3. Parliamentarian The County Attorney shall serve as the Parliamentarian for the purpose of interpreting these Rules of Procedure and the Code of Virginia. If the County Attorney is unavailable, the County Administrator shall serve as the Parliamentarian. Section 3-4. Preservation of Order A. At meetings of the Board, the presiding officer shall preserve order and decorum. Thej presiding officer shall have the following powers: 1. To rule motions in or out of order, including any motion not germane to the subject under discussion or patently offered for obstructive or dilatory purposes; 2. To determine whether a speaker has become disruptive by exceeding reasonable standards ofc courtesy in his or her remarks and to entertain and rule on objections from other members on this ground; 3. To call al brief recess at any time; 4. To adjourn the meeting. B. A decision by the presiding officer under any of the powers listed above may be appealed to the Board upon motion of any member. Such a motion is in order immediately after a decision under those powers is announced and at no other time. The member making the motion need not be recognized by the presiding officer, the motion does not require a second, and the motion, ift timely made, may not bei ruled out oforder. The Clerk of the Board shall prepare an agenda for the regularly scheduled meetings conforming to the order of business specified in Section 5-1 entitled "Order of Business." B. Any two Board members may request that items be placed on a meeting agenda by contacting the Clerk by noon six days prior to the Board meeting for which they wish the item scheduled. C. All items which are requested to be placed on the agenda and which have not been submitted within the prescribed deadline shall be placed on the following regular agenda for discussion or consideration. D. Nothing herein prohibits the Board from adding items to the agenda, provided that E. Furthermore, paper copies of agenda documents will be provided upon request in the Administration Office. Nothing in this section, however, authorizes public disclosure of materials marked "confidential" under $ 4-2. Use language which insults or demeans any person or which, when directed at ap public official or employee is not related to his or her official duties, however, citizens have the right to comment on the performance, conduct, and qualifications of public figures; 3. Make non-germane or frivolous statements; 4. Interrupt other speakers or engage in behavior that disrupts the meeting including but not limited to applause, cheers, jeers, etc.; 5. Engage in behavior that intimidates others; 6. Address the Board on issues that do not concern the services, policies or affairs ofthe County. B. The presiding officer shall preserve order and decorum at Board meetings. After consulting with the County Attorney, he or she may order the expulsion of any person for violation of these rules, disruptive behavior, or any words or action which incites violence or disorder, subject to appeal to the Board. Any person SO expelled shall not be readmitted for the remainder of the meeting from which expelled. Expulsion is an extreme remedy and should not bei taken lightly. Section 5-5. Public Hearings A. This section of the agenda shall be for public hearings as required by County, State, or Federal law, or as the Board may direct. B. The presiding officer shall conduct all public hearings. The order of public hearings is generally as follows: 1. The presiding officer shall open the public hearing. C. 2. Hearings will typically begin with a brief presentation from a staff member and/or representative from the applicable board, authority or commission. There shall be a time limit ofthree minutes for each individual speaker. 4. Speakers are not permitted to donate time to other speakers. 5. Upon the conclusion of public comments, the presiding officer shall close the public hearing. D. When a public hearing has been closed by the presiding officer, no further public comment shall be permitted. Board members, however, may direct questions to the applicant, the representative of the applicable board, authority, commission, committee, to a speaker, or to as staffi member for clarification prior to taking any vote, ifa vote isi in order. Section 5-6 Closed Meetings A. No meeting shall become a Closed Meeting until the Board takes an affirmative record vote during the open meeting. 1. The motion shall state specifically the purpose or purposes which are the subject of the closed meeting and reasonably identify the substance of the matters to be discussed. The motion shall make specific reference to the applicable exemption(s) under the Freedom of Information Act which authorize the Closed 2. No resolution, ordinance, rule, contract, regulation or motion considered in a Closed Meeting shall become effective until the Board reconvenes in an open meeting and takes a vote of the membership on such resolution, ordinance, rule, contract, regulation or motion which shall have its substance reasonably identified in the open meeting. C. At the conclusion of a Closed Meeting, the Board shall reconvene in open meeting immediately thereafter and shall cast a vote certifying that to the best of each member's knowledge: 1. Only public business matters lawfully exempted from open meeting 2. The failure of the certification to receive the affirmative vote of the majority of the members present during the Closed Meeting shall not affect the validity or confidentiality of the Closed Meeting with respect to matters considered therein in compliance with the Freedom ofInformation Act. E. The Board may permit non-members to attend a Closed Meeting if their presence would reasonably aid the Board in its consideration of an issue. F. Individuals attending a Closed Meeting should respect the Board's decision that the subject matter is too sensitive for public discussion and should treat the Closed Meeting discussion as confidential. SECTION 6-1 RULES OF PROCEDURE FOR BOARD MEETINGS Section 6-1. Quorum A. As provided by Section 15.2-1415 of the Code of Virginia, a majority of the members of the Board must be present to conduct business, except as provided in Section 2-2.1. A quorum is ai majority oft the entire membership of the Board, including any vacant seats. B. Quorum refers to the number of members present at ai meeting, not the number of members voting on an issue. Ifno quorum is present or if a quorum is lost, the Board can only (i) Adjourn, (ii) Recess, or (ii) take steps to obtain a quorum. C. If the Virginia Conflict of Interests Act prevents some of the members of the Board from participating in an item of1 business, Sections 2.2-3112 and 15.2-1415 oft the Code of Virginia provide that a majority of the remaining members of the Board shall constitute a quorum. Section 6-2. Priority in Speaking on the Board When two or more members of the Board wish to speak at the same time, the presiding officer shall name the one to speak. Section 6-3. Action by the Board, Tie Votes Items of business will be considered and dealt with one at a time (except for those on the consent agenda), and a new proposal may not be put forth until action on the preceding one has been concluded. A tie vote with respect to any rezoning or conditional use permit shall constitute adenial ofsuch rezoning or conditional use permit. Section 6-5. Motions A. Informal discussion ofa subject is permitted while no motion is pending. B. Any member, including the presiding officer, may make ai motion. C. Members are required to obtain the floor before making motions or speaking, which they can do while seated. D. An member may make only one motion at ai time. E. Except as otherwise stipulated in these rules of procedure, all motions require a second and ai motion dies for lack ofa a second. Section 6-6. Main Motions A. A main motion is any motion that deals with the merits of an item ofl business and B. A main motion is out oforder while another main motion is pending. iswithin the Board's legal powers, duties and responsibilities. Section 6-7. Procedural Motions A. Procedural motions are those motions that the Board may use to "act upon" a main motion by amending it, delaying consideration ofit, and sO forth. Procedural motions are in order while a main motion is pending and at other times, except as otherwise noted. B. In addition to main motions, only the following procedural motions, and no others, are in order. Unless otherwise noted, each motion requires the floor and a second, is debatable, may be amended, and requires a majority of the votes cast, a quorum being present, except as provided in Section 2-2.1, for adoption. Procedural motions are listed below in their order of priority.
