Town Council voted in July 2023 to allow OMS to lease the space. At that time, al lease price was not established. Margie Labadie supports the approval from Town Council oft the OMS lease Thelma Gillespie supports the approval from Town Council of the OMS lease John Morrison supports the approval from Town Council of the OMS lease Priscilla Hart -I Ms. Hart supports the efforts of OMS and thinks they are doing agreatj job. She was not: aware they are required to have downtown office space. After touring the space, she realized the lease agreement allows access to almost half of the square footage oft the building including the conference room. The lease allows OMS to rent the conference room to other entities on an hourly basis. Ms. Hart stated OMS should pay at least the rent they were paying at HOS. She does not: agree with the current terms oft the lease. Bill Kretzer - Mr. Kretzer stated the OMS initiative has helped immensely and he supports the approval from Town Council of the OMS lease. terms. terms. terms. The publichearing closed at 7:14 PM. At the October meeting, the town council requested an updated RFP for at full building analysis. Two firms were not available to submit al bid. The third firm stated to provide this type of bid, an architect is required, and their firm does not have one on staff. C. The major grants are the Virginia Tourism Commission Marketing Leverage Program and the Virginia Tourism Micro Business Grant which help promote businesses in the shoulder season. Lastly, the Virginia Main Street Downtown Investment Grant that supports Onancock's vision for revitalization. Councilmember Marino asked for a copy of the survey results recently conducted by OMS. Historic Onancock: School (HOS) (Sarah Nock) - The search for an Executive Director is continuing. The Oyster tasting and Champagne event was sold out. The school will have seventeen artists participating in for the Artisans Guild Studio Tour which is the Friday and Saturday after Thanksgiving. Other upcoming events: Wednesday, December 4, 2024- - Wine Wednesday Saturday, December: 14, 2024- Christmas in Onancock Artisan Market from 10:00 AM-3:00 PM. This event will host indoor and outdoor vendors. d. Planning Commission (Fletcher Fosque) - Mayor Fosque reported five members of the Planning Commission resigned. Currently, there are two members. This lease must be adopted by a quorum oft the Town Council of the Town of Onancock and was adopted on December 16, 2024, with a majority vote. The Agreement exists between the TOWN OF ONANCOCK, VIRGINIA (the "Town") and ONANCOCK MAIN STREET, a' Virginia non-stock, non- profit corporation ("OMS"). RECITALS The Town owns the building located at 38 Market Street (Tax ID #85A2-A-75), which is more particularly described Suite as 1,484 square feet fronting Market Street with ai front door entering from Market Street, an office in the northwest corner with exterior access, three exterior entrance public restrooms, and a rear door to access Office Suite C. The Town is amenable to OMS leasing Office Suite C, and OMS wishes to occupy Office Suite C. Office Suite Cis described as approximately 739 square feet ini the rear of the building at 38 Market Street. Iti is accessible by a rear door (south side) oft the building and consists of a 550- square-foot conference room, storage closet, and an approximately 117-square-foot office. The Suite also includes unfettered access to an interior restroom measuring 72 square feet. OMS's mission is to ensure the historic preservation and economic vitality of Onancock's historic downtown. The Town and OMS wish to enter this lease, in which the Town will lease Office Suite C1 to OMS to fulfill its stated mission and Memorandum of Understanding between the Town and Onancock Main Street. AGREEMENT Lease; Term. 1. The Town agrees to lease Office Suite Ct to OMS commencing from the date in paragraph one herein for three (3)y years unless otherwise terminated according to 2. Should Tenant fail to make repairs within [specified time, e.g., 30 days] of receiving written notice from Landlord, Landlord reserves the right to make necessary repairs. Tenant agrees to reimburse Landlord for all associated costs, including labor, materials, and administrative fees, within [specified period, e.g., 60 days) of receiving an itemized invoice. The landlord shall be solely responsible for repairing and maintaining any building mechanical equipment and exterior spaces noti included within the leased premises, with no financial responsibility falling to the Tenant for such areas. 7. Liability Insurance. OMS: shall maintain for its own and the Town's protection, and ati its own expense, a comprehensive public liability insurance policy providing minimum coverage of $1,000,000.00 for liability and medical expense and at least $250,000.00 coverage for property damage, a copy of which policy shalli be furnished to the Town, naming the Town as an additional insured, and including evidence of the payment of annual premiums, therefore. The Town suggests renter's insurance but does not require 8. Utilities. This Lease Agreement includes electric, water, sewer, heating, air conditioning, and Wi-Fi at no additional charge. If Wi-Fi service is inadequate for OMS needs, it shall secure its own ISP, including installing a wire into the building, excluding the room. 9. Signs. OMS may erect and attach such signs on/to the premises as they may comply with applicable laws, regulations, and ordinances in al location acceptable to the Town. 10. Assignment and Subletting. OMS agrees not to sublease or share Office Space Suite C with any other entity or person. OMS may: sublease the conference room Suite hourly but shall bear all responsibility and liability for such sublease arrangements per the (a) Inspection. This indemnification obligation shall survive the termination or expiration of this lease, except where such claims, liabilities, or damages result from the indemnified party's gross negligence or 17.
