CALLTO ORDER President Gandy called the meeting to order at 5:04 PM. Daniel Duckworth gave the invocation and Amy Gandy led the pledge ofallegiance to the US and Texas flags. 2) PUBLIC COMMENTS Public comments are welcomed. by the LHEDC. Board. Individuals who wish to. speak must complete aPublic Comment Form and present thej form to the City Secretary before the meeting is called to order. Individuals will be allowed to speak) for up to three (3) minutes. Public Comments related to posted agenda items may be submitted. by email to sponellaelisgor before 3:00. PM the day of the meeting, for comments to be read at the. 5:00 PMI meeting by the City Secretary. There was no formal Treasurer's report. There was no formal action taken. 4) REPORTS At this time, the Board ofDirectors will consider regular reports which do not require action. Regular Reports could be reports from the Cross Communications Group or the Liberty Hill Chamber of Commerce. A They may be written or presented at the meeting. a) Financial Reports. (T. McCord) Terry McCord explained that there will be some changes to the format and content, hopefully,ofth these reports, after the end oft the year is done. There was a discussion ofreconciling some items on the revenue over expense report. Additional 'Report' Kelly with the Chamber of Commerce briefly gave a report oft the success that the Chamber had with the September Gala. She then explained that the Chamber will be working with the PTO at the schools to host an upcoming 5K fun run. Iti is hoped that it can bel held on the same day as the City's Christmas Fest. There was no official action taken on the Reports. 5) REGULAR. AGENDA a) Discussion, consideration, and possible action regarding the meeting minutes from the LHEDC Regular Meeting on August 21,2024. (A. Vaughan/E. Simpson) Liberty Hill EDCI Meeting minutes October: 16, 2024 Page 2of6 Motion: Motion by Secretary Vaughn, seconded by Director Duckworth to approve the meeting minutes from August 21, 2024, as presented. Vote on the motion: Motion carried unanimously by a vote of6-0. b) Discussion, consideration, and possible action regarding the meeting minutes from the/LHEDC Motion: Motion by Secretary Vaughn, seconded by Director Hutton, to approve, as presented, the LHEDC Regular Meeting minutes from September 18, 2024. Vote on the motion: Motion carried Regular Meeting on September 18, 2024. (A. Vaughan/E. Simpson) unanimously by a 6-0 vote. c) Discuss, consideration and possible action on the Liberty Hill EDC Bylaws. (A. Vaughan) The Directors followed along on the red-lined handout copy of the proposed bylaws. It was discussed that this version of the proposed bylaws is based on standardized bylaws for Economic Development Corporations across the State. The subcommittee has customized them. There was a discussion oft the prohibition in these bylaws for any member oft the City Council to serve as a permanent member oft the LHEDC. This makes these draft bylaws in conformity with the city's Executive Director Christian Kurtz provided guidance to the Board on formulating these by laws based There was a discussion oft the hiring and reporting structure for the Board's employees, the Executive Director, and the Economic Development Coordinator. As it stands, the Executive Director answers to the City Manager. Under this version of the bylaws, the LHEDC Board of Directors will hire (with proper notice and consultation with City Council), and will terminate the Exec. Director, and will perform the annual performance review. They will provide a copy oft the performance review to the City They then discussed Financial Management. The Board will wish to continue review of the other parts With regards to Board Elections, it was noted that the City Council will continue to appoint the Directors oft the Corporation. The Directors will then elect their own officers including President, Vice- Motion: Director Stillwell moved to adopt the bylaws version (red-lined), as presented, with the following changes: Change Article 2., Section 2, and have the City Secretary deliver Notice of Regular Uniform Boards and Committees Ordinance #2023-0-003. on his years of experience. They discussed that a large complex project may not be the best idea for this area. So, they arei now looking at ai more phased' approach for developing downtown. President Gandy reconvened the Regular / Open Meeting at 7:15 P.M. 6) CONVENE TO EXECUTIVE SESSION The LHEDC Board President will convene the EDC Board to Executive Session pursuant to Texas Government Code $551.071 - Consultation with Legal Counsel and Texas Government Code $551.087- Economic Development Negotiations. No action will be taken in Executive Session. a) Pursuant to Texas Government Code Section 551.087 (Economic Development discussions) the LHEDC Board will meet in Executive/Closed session to discuss Project Whale" updati. b) Pursuant to Texas Government Code Section 551.087 (Economic Development discussions) the LHEDC Board will meet in Executive/Closed session to discuss Project Redo'. 7) RECONVENE TO REGULAR SESSION The LHEDC Board President will reconvene the EDC Board to Regular Session following Consultation with Legal Counsel pursuant to Texas Government Code $551.071 and Texas Government Code $551.087 - Economic Development Negotiations. Council will entertain discussion related to the matters outlined below. a) Pursuant to Texas Government Code Section 551.087 (Economic Development discussions) the LHEDC Board will meet in Executive/Closed session to discuss 'Project Whale" update. b) Pursuant to Texas Government Code Section 551.087 (Economic Development discussions) the LHEDC Board will meet in Executive/Closed session to discuss 'Project Redo'.
