RECITALS:  Whereas, the Parties entered into an Agreement for Emergency Medical Services Between Whereas, the Parties entered into that certain First Amendment to the Original Agreement, effective May 31, 2015, which, among other things, amended Section 3.2 and  Kaufman County, Texas and CareFlite in March, 2015 (the "Original Agreement");  Attachment 1 oft the Original Agreement (the "Original Amendment"); and  Whereas, the Parties entered into that certain Emergency Medical Services Agreement, effective August 10, 2015, that supersedes the Original Agreement and Original Amendment (the "Current Agreement" or "Emergency Medical Seryices Agreement");  Whereas, the Parties now wish to further amend the Current Agreement pursuant to Now, therefore, in consideration of the promises set forth above and the mutual promises and covenants set forth in this Amendment, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties hereby agree as follows: 1. Section 1.2. Section 1.2 is hereby deleted ini its entirety and replaced with the following:  the provisions set forth herein.  "1.2 Term. The Parties agree the term oft this Agreement shall be for a period of five (5) years commencing on the Effective Date. Thereafter, the Agreement shall automatically renew for an additional successive five (5) year terms unless either Party provides notice ofi its intent not renew by providing written notice no later than ninety (90) days prior to  the end oft the then current term."  2. Section 1.3. Section 1.3 is hereby deleted ini its entirety and replaced with the following:  "1.3 Territory of County. "Territory of County" or "territory of County" means all of Kaufman County except for municipalities that have opted or opt out of this Agreement. As of the October 15, 2024, the cities of Kaufman, Terrell and Mabank have opted out of this Agreement and are not considered part oft the Territory of County for purposes of this  Agreement."  00145901-2  Page 1    3. County will pay to Provider $1 per year, which is payable without offset in annual payments of$1 due on the first day ofeach year ofthis Agreement, for EMS Services under this Agreement. Provider shall not be required to invoice County to receive payment but will provide confirmation of  payment ift requested by County.  4. Section 3.14. Section 3.14 is hereby deleted ini its entirety and replaçed with the following:  3.14 Air Medical Services. The Parties agree that the "most appropriate aircraft" shall be used when Provider or a first responder on the scene determines that a particular patient requires air medical transport. All requests for air medical service shall be communicated tol Provider's Communications Center which shall assign the "most appropriate aircraft." The Parties further agree that the "most appropriate aircraft" is defined as the aircraft having the shortest elapsed time from its call to its estimated arrival, as determined by 5. Attachment #1.
