BACKGROUND The Florin Hill Partnership is the owner of premises on the north side of West Main Street and east side of the Mount Joy Borough/Mount Joy Township municipal boundary, within Mount Joy Borough, Lancaster County, Pennsylvania, as more specifically described in a deed recorded at Document No. 5655591 in the Office of the Recorder of Deeds in and for Lancaster County, Pennsylvania, and FH Properties II, LP is the record owner of an undeveloped lot in Mount Joy Borough, Lancaster County, Pennsylvania, as more specifically described in a deed recorded at Document No. 6588900 in the Office of the Recorder of Deeds in and for Lancaster County, Pennsylvania (collectively the Property"). Developer filed an application for conditional use approval to authorize a development known as Florin Hill as a traditional neighborhood development ("Florin Hill"). Florin Hill was approved by a conditional use decision of Borough Council issued September 13, 2004, which was subsequently amended by written decisions dated September 11, 2006, February 4, 2008, August 4, 2008, and August 4, 2009 (collectively the "Decisions"). The Decisions were rendered under a Zoning Map and Zoning Ordinance which have since been repealed. The Decisions approved the Revised Master Site Plan for Florin Hill prepared by First Capital Engineering with a date ofrevision ofl March 27, 2006 (the "Revised Master Plan"). The Revised Master Plan proposed the development of 462 residential units, 220 of which would be single family detached dwellings, and 247,567.42 square feet ofcommercial area. Developer filed the Final Subdivision Plan Phase 1 Florin Hill which was recorded at Subdivision Plan Book. J-224, Page 131, int the Office ofthe. RecorderofDeeds: in and forl Lancaster County, Pennsylvania, and the Revised Final Subdivision Plan Phase 1 Florin Hill recorded at Subdivision Plan Book J-228, Page 61, in the Office of the Recorder of Deeds. Developer subsequently filed the Revised Final Subdivision & Land Development Plan - Phase 11 Florin Hill which was recorded at Subdivision Plan Book J-233, Page 34, in the Office of the Recorder of #1680858v3 Deeds. The portions of the Property proposed for development by the plans identified in this Paragraph shall be referred to as "Phase 1". Developer filed the Final Subdivision & Land Development Plan - Phase 2A Florin Hill which was recorded at Document No. 5838924-J in the Office of the Recorder of Deeds and thereafter filed the Final Subdivision & Land Development Plan for Phase 2B & Revised Phase 2A Florin Hill recorded at Document No. 2012-0086-J in the Office of the Recorder of Deeds. The portions of the Property proposed for development by the plans identified in this Paragraph shall be referred to as "Phase 2". Hereafter all of the above-referenced recorded plans shall be referred to as the "Recorded Florin Hill Plans". The Recorded Florin Hill Plans were approved under a Zoning Ordinance, Zoning Map, Subdivision and Land Development and a Storm Water Management Ordinance which have since been repealed. Developer made revisions to the storm water management facilities shown on the Recorded Florin Hill Plans by the Post Construction Stormwater Management (PCSM) Plan for Florin Hill prepared by Kurowski and Wilson, LLC (K & W") dated May 12, 2012, last revised April 10, 2014, Sheets 1 - 19, and Infiltration Facility D Plan dated February 24, 2022, Sheets 1 -2 (collectively the "Stormwater Plans"). The Revised Master Plan for Florin Hill included a third residential phase and each ofthe Recorded Florin Hill Plans indicated a future phase of residential development at the northwest portion oft the Property ("Phase 3") and development of commercial buildings at the area bounded by Route 230, North Melhorn Drive and the Mount Joy Township municipal boundary ("Commercial Unit A"). Developer has taken the position that the Pennsylvania Municipalities Planning Code ("MPC") authorizes Developer to file plans, obtain approval of, and construct Phase 3 and Commercial Unit A under the Ordinances in effect in 2004 when the initial Decision was rendered. The Borough disputes this contention and believes that the Borough can require development oft the remaining portions oft the Property in accordance with governing Ordinances as they exist on the date of this Agreement. Developer and the Borough have elected to settle this dispute through the execution oft this Agreement. Developer shall perform the Corrective Stormwater Measures to the satisfaction of the Borough Engineer. The Borough Engineer shall determine what capacity is available in the constructed storm water management facilities for the draining of storm water from Phase 3 and Commercial Unit A of Florin Hill. 4. The Phase 3 Plan and the Unit. A Plan shall meet all ofthe following requirements: a. In the design of the stormwater management facilities for Commercial Unit A, Developer's consultants shall consider a "point of interest," i.e. the point at which peak rate of discharge and the volume of discharge of stormwater is calculated, to be the outlet structure discharge pipe from the stormwater basin located on 25 South Melhorn Drive owned by the Borough ("BMP 125"). The peak rate of discharge and the volume of discharge of storm water at each Point of Interest shall not exceed the rate of discharge for all design storms (2, 5,1 10, 25 and 100 year storms) and the volume of discharge for the two year storm prior to the date of recording of the first plan for Florin Hill. The parties agree that the peak rates of discharge at thel Point ofInterest related tol BMP 125 fort the design storms listed above are as follows: (1)2 year: 2.30 cfs; (ii) 5 year: 2.63 cfs, (iii) 10 year: 2.82 cfs; (iv) 25 year: 3.03 cfs; and (v). 100 year: 19.42 cfs providing that the combined peak rates of discharge through the existing railroad culvert doi not exceed the following: (vi)2y year: 5.29 cfs; (vii) 5year: 5.52 cfs; (vili) 10 year: 5.65 cfs; (ix) 25 year: 5.78 cfs; (x) 100 year: 6.20 cfs. d. Developer acknowledges that BMP 125 has been impacted by the development approved by the Recorded Florin Hill Plans and completed by Developer. The Borough acknowledges that, as built, BMP 125 does not currently meet the 4 requirements ofthe) Borough's stormwater: management ordinance because it does notl have capacity to completely manage stormwater during the 100-year storm event. If, after consultation with Developer, the Borough undertakes any project to improve or retrofit BMP 125i in order for it tomeet the requirements ofthe Borough'ss stormwater management ordinance, then (i) the parties shall revisit thej peak rates of discharge at the Point ofI Interest related to BMP 125 set forth in Section 7(c) above to determine what they would be after taking such project into account, and (ii) Developer shall pay 75% of the construction costs ofsuch project, up to ai maximum of$100,000, within 45 days after the date of an invoice for such costs. As] part ofthei invoice for such construction costs, thel Borough shall provide Developer with an itemized breakdown of the costs incurred to improve or retrofit BMP 125. Developer for itself and all successor owners ofthe Property, expressly waives all time periods within which the Borough is required to act upon any application for any permit or any approval under the Pennsylvania Municipalities Planning Code, Zoning Ordinance, UCC, Pennsylvania Construction Code Act, or any other applicable statute, ordinance or regulation until the owner oft thel Premises isi in full compliance with this Section 7(f)t. Developer, for itself and all future owners of the Property, hereby waives all claims of deemed approvals, vested rights or estoppel or claims that a refusal by the Borough to issue permits under the UCC or the Zoning Ordinance or a certificate ofu use of occupancy or certificate of occupancy fori failure to pay such contribution to which Developer has agreed herein waives any claims that such action violates the Pennsylvania Construction Code Act, the MPC, the UCC, the Zoning Ordinance, or any other applicable statute, law, ordinance, rule or regulation. g. If Developer proposes the use of any infiltration beds or trenches within individual units of Phase 3, Developer shall coordinate with the Borough Engineer to monitor construction, installation, and infiltration testing to ensure compliance with the Storm Water Management Ordinance, and provide a means for the Borough Engineer to conduct post-construction inspections such as installing cleanouts/observation ports for each infiltration facility. i.If Developer proposes the use of any infiltration beds or trenches within individual units of Phase 3, Developer shall take all action necessary to confirm that the Florin Hill Neighborhood Association, Inc. (the "Association") shall assume the responsibility to maintain the individual infiltration facilities. Developer shall obtain the joinder of the. Association to the Storm Water Management Agreement fort the Phase 31 Plan 8.I Developer shall comply with Chapter 232, Streets and Sidewalks, and Chapter 240, Subdivision and Land Development, of the Code of Ordinances in effect on the date of this Agreement in the development of Phase 3 and Commercial Unit A of Florin Hill. Construction vehicles shall not use any accepted Borough street. 10. Developer shall schedule an inspection of the streets and alleys within Phase 1 and Phase 2 by the Borough Engineer to determine what improvements are required to the streets and alleys (including the base course, curb, curb ramp, and sidewalk) at least 45 days prior to the scheduled date for installation of the final wearing course for the streets and alleys. Developer shall provide photo documentation of all storm water management facilities within the right-of- way for each street to be dedicated to ensure all facilities are in good working condition. 11. The Borough Engineer shall provide a report identifying the repairs which must be made to the streets and alleys within Phase 1 and Phase 2 to the Borough and to the Developer. Developer shall make all repairs to the streets and alleys in Phase 1 and Phase 2 outlined by the Borough Engineer prior toi installing the final wearing course. The Borough Engineer shall inspect the repairs prior to the installation of the final wearing course. IfDeveloper does not make all required repairs before installation oft the final wearing course, no street within Florin Hill shall be accepted. 12. Developer shall submit a construction and inspection schedule to the Borough and the Borough Engineer demonstrating that Developer will achieve all milestones within this Agreement and substantially complete all improvements shown on the Recorded Florin Hill Plans, the Blocks F&M Plan, and the Phase 3 Plan within two weeks after execution oftl this Agreement. Developer shall adhere to this schedule unless the Borough, in its sole discretion, grants extensions of time or unless Developer's performance is prevented by circumstances beyond Developer's control, including but not limited to, delays caused ori resulting from acts ofGod, war, government declared emergency: resulting from pandemic or epidemic, civil unrest, terrorist attack, fireord other casualty, or inability to obtain materials or equipment when Developer demonstrates that Developer has timely ordered or attempted to procure materials or equipment which make timely performance impossible ("Force Majeure"). 13. Developer shall complete all streets and alleys within Phases 1 and 2 of Florin Hill within one year of the granting oft the conditional approval ofthel Phase 31 Plan; provided, however, that ifa condition of approval involves Developer securing permits or approvals from third parties for development of Phase 3, then the timeframe for Developer's performance of its obligations under paragraph shall be extended by the amount oft the time required for Developer to obtain such permits and/or approvals. It is the express intent oft this provision that Developer cannot delay its obligation to complete all streets and alleys within Phases 1 and 2 of Florin Hill by failing to promptly execute required documents, failing to promptly post financial security or otherwise failing to take action required to record the Phase 3 Plan. IfDeveloper requests an extension of time to complete all streets and alleys within Phases 1 and 2 of] Florin Hill, the Borough shall grant or deny such request ini its sole and unfettered discretion. 14. Developer: shall complete mass grading, installation ofu utilities, and installation ofbase coat of paving on all streets and alleys within Phase 3 prior to the completion of the streets and alleys inl Phase 1 and Phase 2. 15. All street, alley, sidewalk, curb ramps and curb construction shall comply with the requirements of the Americans with Disabilities Act ("ADA") and all regulations adopted by the United States or the Commonwealth to implement the ADA in effect on the date ofthis Agreement. Ifthe inspection of the streets within Phase 1 and Phase 2 demonstrate that the curb ramps and sidewalks do not comply with the ADA and implementing regulations, Developer shall bring such sidewalk and curb ramps into compliance with the. ADA. 16. All street and alley construction shall comply with the requirements of Pennsylvania Department ofTransportation ("PennDOT") Publication 408 and PennDOT Publication No. 72M, Standards for Roadway Construction, in effect as oft the date oft this Agreement. Developer shall not be required to remove and reinstall the base of streets and alleys which were installed prior to the date ofthis Agreement, but all repair, replacement and installation ofwearing course: shall meet such requirements. 17. Developer shall take all actions necessary to enable the Borough to accept dedication of streets within Phase 1 and Phase 2 of] Florin Hill within one year of granting oft the conditional approval ofthe Phase 31 Plan; provided, however, thati ifac condition ofa approval involves Developer securing permits or approvals from third parties for development of Phase 3, then the timeframe for Developer's performance ofi its obligations under paragraph shall be extended by the amount of the time required for Developer to obtain such permits and/or approvals. Such actions shall include, but shall not be limited to, satisfactory inspection of the completed streets by the Borough Engineer, completion of all sidewalks, curb and curb ramps along the street segment proposed for acceptance; submission of as-built plans for the streets and storm water management facilities within Phase 1 and Phase 2, submission ofle legal descriptions and centerline lengths for each street; submission ofat title search to enable thel Borough to confirm conveyance of clear title; releases of all: mortgages; traffic study for all traffic and parking limitations on each street; installation of all required signage to enforce traffic and parking regulations, and information necessary to calculate the amount of maintenance security to be posted for the streets. Developer shall reimburse the Borough for all costs associated with the acceptance ofany streets the Borough decides to accept including, but not limited to, inspection and review of as built plans, preparation of documents to convey the streets, preparation and advertising oft the ordinance to accept the streets, preparation and advertising of an ordinance to establish traffic and parking regulations, and filing and recording documents. 18. The Borough is not required to accept dedication ofany street or alley within any phase ofFlorin Hill. However, if(i) the Borough desires to accept dedication oft the streets and/or alleys, and (ii) Developer completes the streets and alleys within Phase 1 and Phase 2 as required under 7 this Agreement but does not_provide all as-built plans and other information required for acceptance of dedication in a time period to enable the Borough to meet the deadline for allocation of Liquid Fuels Taxes in 2026, then the Borough shall accept such streets and/or alleys within Florin Hill after the deadline ifDeveloper payst to1 thel Borough the amount that the Borough would have received from the Commonwealth for Liquid Fuels Taxes for the streets in] Phase 1 andl Phase 2in 2026. 19. Developer and the Borough agree that the Borough shall not accept any alley which is 20. Developer shall comply with all requirements of Mount Joy Borough Authority ("MJBA") for Phase 3 and shall provide the Borough with evidence to demonstrate compliance not eligible for Liquid Fuels Tax allocation. with MJBA requirements. 21. Developer shall comply with all conditions of thel Decisions relating to thei installation ofat traffic signal at the intersection ofl Main Street and Melhorn Drive as part ofthe development of Commercial Unit A. Developer shall, at its sole cost and expense, prepare all required studies, prepare all necessary highway occupancy permit applications and traffic signal permit applications for approval by the Borough and PennDOT within 90 days of the date of conditional approval of al land development plan for Commercial Unit A, and, ifPennDOT grants approval, install atraffic signal and associated improvements within one year oft the issuance ofthet traffic signal permit. If PennDOT determines that the intersection of Main Street and Melhorn Drive does not meet warrants when an application is made as set forth above, Developer shall, within twelve (12) months following issuance of certificates of occupancy for all buildings within Commercial Unit A, conduct aj post development traffic impact analysis ofs suchi intersection. Ifthe post development traffic impact analysis indicates that the intersection warrants a traffic signal, Developer shall prepare all necessary highway occupancy permit applications and traffic signal permit applications for approval by the Borough and PennDOT fori installation of such signal, and, ifPennDOT grants approval, install a traffic signal and associated improvements within one year of the issuance of the traffic signal permit. Ifthe post construction traffic impact analysis determines that at traffic signal is not warranted, then Developer shall have no further obligations related to this intersection. In accordance with Condition 52 of the Conditional Use Decision dated September 13, 2004, and Section 4.3.6 of the Declaration of Covenants, Easements, Restrictions and Establishment of Homeowners' Association for Florin Hill a Planned Community in] Mount Joy Borough, Lancaster County, Pennsylvania recorded at Document No. 54535141 in the Office oft the Recorder of] Deeds, the Association shall pay all costs associated with the operation of such traffic signal after its installation. 22. Developer acknowledges it is bound by all conditions of the Decisions relating to the installation ofa traffic signal at thei intersection ofMain Street and Harrisburg Avenue. Developer has provided the Borough with a cost estimate for the installation oft the traffic signal attached as Exhibit C. Developer shall pay the amount set forth in Exhibit C to the Borough at the time ofthe posting of financial security for Phase 3 for Borough use in making improvements to the Main Street corridor within five years from the date of this Agreement, it being acknowledged and agreed that the Borough will not release the Phase 3 Plan for recording until the contribution has been paid. 8 23. Developer shall file the Phase 3 Plan and all required supporting information within 30 days from the date of execution ofthis Agreement. Developer shall reference this Agreement as a note on a sheet of the Phase 3 Plan to be recorded. 24. All local streets within Phase 3 shall have a cartway of 30 feet and all alleys within 25. Developer shall diligently prosecute the Phase 3 Plan. Developer shall promptly respond to the Borough Engineer'sreview: comments. Developer shall, within 30 days oft the date ofBorough Council's decision approving the Phase 3 Plan, satisfy any reasonable and customary conditions which Borough Council imposes on approval of the Phase 3 Plan including, but not limited to, the posting of financial security for the improvements shown on the Phase 3 Plan, the posting of additional financial security to secure completion of improvements shown on the Recorded Florin Hill Plans, and the execution of required documents related to completion of Phase 3. Developer shall record the Phase 3 Plan within 30 days after satisfaction of conditions required for the release oft the Phase 3 Plan for recording. Ifany condition imposed by Borough Council involves Developer's securing additional permits or approvals from third parties for the development of Phase 3, then Developer shall be afforded additional time to satisfy such condition and record the Phase 31 Plan as long as Developer is diligently pursuing such permits and approvals and Developer provides Borough with evidence that it is diligently pursuing such permits and Phase 3 shall have a cartway of 16: feet. approvals. 26. Developer shall enter into a Storm Water Management Agreement and Declaration of Easement and al Land Development Agreement for the Phase 3 Plan in: forms generally similar to the Storm Water Management Agreements and Land Development Agreements for Phase 1 and Phase 2 ofFlorin Hill prior to the release ofthe Phase 3. Plan for recording. Such documents shall bei in ai form acceptable to the Borough Solicitor. Developer shall obtain the joinder ofl Florin Hill Neighborhood Association, Inc. to the Storm Water Management Agreement. 27. Developer shall include any changes required to storm water management facilities shown on the Recorded Florin Hill Plans and Stormwater Plans which: may bei necessary for Phase 3 of Florin Hill to meet the rate controls and volume controls of the Storm Water Management Ordinance as part of the Phase 3 Plan. Developer shall include all costs to alter storm water management facilities installed within Phase 1 and Phase 2 of Florin Hill to meet these requirements as part of the financial security forl Phase 3 ofFlorin Hill. Developer shall provide an updated as-built plan for all storm water management facilities within Florin Hill which are modified as part oft thel Phase 3 Plan prior to the release oft the financial security for such facilities. The as-built plan for storm water management facilities serving Phase 3 of Florin Hill shall demonstrate that the storm water management facilities as installed within of Phase 3 of Florin Hill and modified within Phases 1 and/or2 ofFlorin Hill meet thei rate and volume discharge limits ofthe Storm Water Management Ordinance at all points ofinterest, and shall bei ini full compliance with the approved Phase 3 Plan. If the as-built plan for any storm water management facility demonstrates any deficiencies, Developer shall take all action necessary to remedy such deficiencies and prepare another as-built plan to verify compliance. For the purpose of this Paragraph a deficiency shall be considered a deviation from the approved Phase 3 Plan which, in 9 the opinion of the Borough Engineer, materially impacts the functionality of the stormwater management facility. 28. Developer shall install the final wearing course on each street in Phase 3 and all sidewalks, curb, and curb ramps along each street within 180 days after certificates of occupancy have been issued for 90% of the units in Phase 3. If any curb or sidewalk is damaged in the construction of a dwelling after the Borough accepts dedication, Developer, the builder and the owner ofsuchi unit shall bej jointly and severally liable fort the replacement ofthe curb and sidewalk. 29. Developer shall at all times maintain an escrow of not less than $15,000 with the Borough to enable the Borough to reimburse attorneys' fees and engineering and other inspection fees in accordance with thel MPCa and Borough ordinances and resolutions. Such fees shall include, but not be limited to, the costs to meet with Developer's representatives, attend public meetings, review plans, documents, and financial securities, prepare documents and reports, record documents, inspect existing improvements, inspecti improvements to bei installed, process requests to accept dedication of streets, prepare and advertise ordinances to establish traffic and parking restrictions, and similar matters. Ifthe posted escrow falls below $10,000 Developer shall post additional escrow to replenish the fund to not less than $15,000. 30. Developer shall post increased financial security to secure completion of improvements required by the Recorded Florin Hill Plans prior to the release of the Phase 3 Plan. The amount of such financial security shall include the costs based on updating unit prices for Phase 1, Phase 2A, and Phase 2B and additional costs to make all repairs necessary to the previously installed! base course, curb, sidewalk, and storm water management: facilities. The form of such financial security shall be acceptable to the Borough Solicitor. Developer shall not be allowed to reduce such financial security until the improvements which it secures have been completed, inspected by the Brough Engineer, approved by the Borough Engineer, an as built plan has been submitted, and the Borough Engineer has reviewed and approved the as built plan. If Developer does not complete all improvements required by thel Recorded Florin Hill Plans (except as such improvements may be changed by the Phase 3 Plan) within two years of the date of this Agreement, Developer shall be in violation of the terms of this Agreement. The Borough, at its sole discretion, may draw upon the financial security posted in accordance with this Paragraph and/or may take action under Paragraphs 34 or 35 after providing a written notice and opportunity to cure period as set forth in Paragraph 34. 31. Developer shall filei thel Unit A Plan within and complete development ofUnit A within five years from the date of this Agreement. If Developer does not file the Unit A Plan and substantially complete development of site improvements within this period, any development of Commercial Unit A shall comply with all governing ordinances in effect on the date a land development plan is filed. 32. Developer shall enter into a Storm Water Management Agreement and Declaration of Easement and a Land Development Agreement for the Unit A Plan in forms generally similar to the Storm Water Management Agreements and Land Development Agreements for Phase 1 and Phase 2 ofFlorin Hill prior to the release of the Unit A Plan for recording. Developer shall obtain the joinder of] Florin Hill Neighborhood Association, Inc. to the Storm Water Management Agreement if the Florin Hill Neighborhood Association, Inc, will be responsible for the long term operation and maintenance ofany stormwater facilities located within Commercial Unit A. 33. The Land Development Agreements for the Phase 3 Plan and the Unit A Plan will require that Developer provide an updated estimate oft the costs to complete all remaining required improvements, calculated in accordance with Article V of the MPC, 18 months after the date of execution ofthel Land Development. Agreement and each 181 months thereafter. Ifany cost estimate indicates that the amount off financial security for the applicable plan which was previously posted with the Borough is less than the recalculated amount, Developer shall post additional financial security in the amount required sO that the financial security is 110% oft the cost oft the remaining improvements, in a form acceptable to the Borough Solicitor, within 60 days. Failure to provide the recalculation oft the amount oft financial security as set forth ini this Paragraph or: failure to post any required additional financial security is a violation of this Agreement which can be enforced in accordance with Paragraphs 34 and 35. 34. Developer agrees that the failure to comply with the provisions of this Agreement, including but not limited to the failure to complete (or in the case of storm water management improvements and streets, curb, ADA curb ramps, and sidewalk in Phase 1 and Phase 2, to maintain, repair, restore or upgrade) required improvements within the time periods set forth shall be considered a violation ofthis Agreement. Ifthere is a violation ofthis Agreement the Borough shall provide written notice to Developer and a 30-day opportunity to cure the violation. If Developer fails to cure such violation, the Borough may, at its option, draw upon any financial security and complete required improvements shown on the Recorded Florin Hill Plans, the Stormwater Plans, the Blocks F. & M Plan or the Phase 3 Plan, refuse to issue further permits for the construction of any dwelling unit proposed by the Blocks F & M Plan or Phase 3 Plan or any improvements proposed by the Unit A Plan, and/or refuse to issue further approvals relating to the Property. Additionally, ifthe violation relates to Developer's: failure to timely complete the streets and alleys within Phases 1 and 2 of Florin Hill as set forth in Section 14 above, then the Borough may seek a monetary penalty of $1,000 per day until the violation is cured. The Borough shall provide Florin Hill with notl less than 30 days' written notice oft the intention to proceed under this Paragraph. IfF Florin Hill cures the violation to the satisfaction of the Borough, Florin Hill shall not be subject toj penalties or remedies under this Paragraph. 35. The Borough may, in addition to the remedies prescribed herein, proceed with any action at law or in equity to bring about compliance with the Borough Storm Water Management Ordinance, the Borough Subdivision and Land Development Ordinance and this Agreement, including, but not limited to recovery of fines, penalties and attorneys' fees. 36. Developer agrees to indemnify the Borough and all of its elected and appointed officials, agents and employees (hereafter collectively referred to as the "Indemnitees") against and hold Indemnitees harmless from any and all liability, loss or damage, including attorneys' fees and costs ofinvestigation and defense, as ai result of claims, demands, costs or judgments against Indemnitees which arise as ai result of thei implementation ofthis Agreement, approval oft the Phase 31 Plan, approval of the Unit A Plan, or any other claim relating to the development of] Phase 3 or 11 Commercial Unit A of Florin Hill except as to any intentional or willful acts oft the Indemnitees. Notwithstanding the foregoing, Developer shall indemnify all Indemnitees against claims that the Borough negligently entered into or had noj power to enter this Agreement, negligently approved or had no power to approve the Phase 3 Plan, negligently approved or had no power to approve the Unit A Plan, or negligently inspected improvements or reviewed plans. 37. This Agreement shall be recorded in the Office of the Recorder of Deeds in and for Lancaster County, Pennsylvania, at the expense of Developer and shall bind Developer and its successors and assigns. 38. Time periods for Developer's performance of its obligations under this Agreement shall be extended in the event ofForce Majeure circumstances as defined in Paragraph 12 herein for only the amount of time that such Force Majeure circumstance prevented Developer from taking action. Infiltration Facility A detail's length and width need tol be consistent withi the plan and the SWM Report. The cross section of Infiltration Facility A needs to show as-built elevation information. The depth oft the infiltration facilitys stone has been revised to 1.65 feet deep. Supporting information needs to be provided on how the depth of the facility was determined and if that depth is sufficient to hold and infiltrate the 2-year required volume. The Phase 3 PSCSM Report inverts of the stone, 6" pipes and the 18" pipes in Infiltration Facility A are not consistent with the inverts of the As-Built plans. The cross section for Infiltration Facility D needs to show the as-built elevation information for the bottom and top of stone. The as-built volume calculations show a stone depth of 4.92 feet, but the detail shows a stone depth of 4 feet. Additional information needs to be provided to show consistency between the calculations and the facility dimensions to ensure the as-built available volume is greater than the design volume of 37,202 cf. Further clarification needs to be provided that the: storage provided issufficient to hold andi infiltratei the 2-years storm. Clarification needs to be provided what infiltration results were utilized for the dewatering rate for Infiltration Facility D. Vehicles which have a current license and inspection may be stored upon a premises in accordance with the requirements of the Borough Zoning Ordinance and other applicable ordinances and regulations 302.8.2. Unlicensed or uninspected vehicles. Vehicles which do not have both a current license and a current inspection may be stored within a completely enclosed structure on any premises. Unlicensed or uninspected vehicles shall not be stored outside ofa completely enclosed structure on a premises ifs such storage constitutes anuisance orifsuch vehicle: is al hazardous vehicle. Except as provided below, prior to the unenclosed storage of any unlicensed or uninspected motor vehicle on any premises, the owner of the premises shall obtain a permit from the Code Official for the storage of such vehicle. The Code Official shall determine that the motor vehicle is not al hazardous vehicle and that the proposed storage shall not constitute anuisance prior to the issuance ofaj permit. Such permit shall authorize the storage ofthe motor vehicle forap period of90 days. The owner shall have the right to appeal ac denial ofaj permit by the Code Official as provided in Section 106 herein. Storage unless such vehicles are hazardous vehicles as defined herein. 7 of an unlicensed or uninspected vehicle without obtaining a permit as required herein shall constitute: a violation of this Code. The Code Official and/or the Police Department may order the removal of an unlicensed or uninspected vehicle for which a permit has not been obtained using the procedure set forth in Section 302.8.3. Exceptions: No permit shall bei required by the operator ofar motor vehicle towing or repair establishment. Such establishments shall be permitted to store un- licensed or uninspected motor vehicles for a period ofnot more than 90 days. 302.8.3. Hazardous vehicles. No person who owns a hazardous vehicle shall park, place, deposit or permit the parking, placement or depositing of the hazardous ve- hicle on any property. No property owner shall permit any hazardous vehicle to remain on ap premises. Ifany hazardous vehicle is parked or placed upon aj premises, the Code Official and/or the Police Department shall notify the owner or occupant of the premises of the duty to remove the hazardous vehicle. The Code Official and/or the Police Department shall post upon the hazardous vehicle in a conspicu- ous place a notice directing the removal oft the hazardous vehicle within ten days. Should the vehicle not be removed, the Code Official and/or the Police Department shall serve a second notice which shall be in writing and shall provide a time limit not to exceed five days within which the hazardous vehicle has to be removed. Said notice shall be served as provided in Section 109 herein and shall additionally be posted upon the hazardous vehicle. Ift the owner oft the premises fails to remove the hazardous vehicle, the Borough may take action to abate the health and/or safety hazard resulting from the hazardous vehicle in the manner provided in Section 107.5 herein. A new Section 302.10 shall be added which shall provide as follows: 302.10. Used vehicle parts and tires. No person shall place, deposit or permit the placement or depositing of used vehicle parts ort tires outside of an enclosed structure on any property unless such used vehicle parts or tires are secured toj prevent removal and unless such used vehicle tires are wrapped or covered in a manner sufficient to prevent the accumulation of any standing water, to eliminate all breeding grounds for insects and to eliminate all areas Section 304.14, Insect screens, shall be amended by inserting April 1"and "September Section 308, Rubbish and Garbage, shall be amended by adding new Sections 308.4, No- tices of violation, and 308.5, Enforcement, which shall provide as follows: 308.4. Notices of violation. Borough Council, the Code Official or any officer or employee oft the Borough designated for this purpose is hereby authorized to give notice, by personal service, by United States mail or by posting the property, to the owner of any premises on which there exist accumulations ofr rubbish or garbage remaining in violation oft the provi- sions of this Code, directing and requiring such owner to remove such accumulations of rubbish or garbage SO as to conform to the requirements oft this Code, within five business days after the issuance of such notice. In case any person shall neglect, fail or refuse to comply with such notice, within seven business days after the issuance of such notice, which could be used as harborage for rodents or other animals. Enforcement. The Code Official or any police officer shalll be authorized to institute summary criminal proceedings against any person who fails to comply with the require- ments of this Section 308 prohibiting accumulations of rubbish or garbage and requiring proper storage and disposal of rubbish and garbage. The failure to: maintain exterior prem- ises and property and the interior of a structure free from accumulation of rubbish and garbage and/or the failure of any person to comply with the: requirements of Sections 308.2 and 308.3 ofthis Codeisav violation oft the provisions ofthis Code, whether or not Borough Council, the Code Official, or other officer or employee ofthel Borough provides thei notice set forth below. The first was for $12,000 and the second was for $80,000 which is much larger program that has the ability to benefit more people. At this time, the We did ask for any additional funding for Capital. In 2024, we ordered a replacement for our Engine E751 at a cost of1.3r million dollars and al lead time of 3 years. This is the average cost for thist type of apparatus (based on bids we received). We have been saving Capital every' year, per our plan to cover issue. also delayed a couple of projects. smaller program would to be no more than $599 per person for 20 people. this cost however, inflation increased this cost. Fire and Rescue Service . Office Hours: Monday Evenings 7:00-9:00p.m. One of the other sources fori income for us as been through State and Federal Grants. The grantwriter we use fort the Federal Grants has stated that they are limited and iti is not worth applying. Wea apply for The Department needs to replace the apparatus and station radios that are going to be obsolete by 2027. We have taken a proactive approach to spread this cost over a couple ofy years. The station will also need to replace the roof on our building due to age. We have been putting away some funds for this for several years.
