Establish Quorum/ Call to Order: The meeting was called to order at 7:10 pm with a quorum of the Guests: Tom Bell and Heather Stafford joined the meeting as a CPA firm to discuss taxation for Board members present. homeowner associations and providing audit services. Prior Meeting Minutes: November minutes approved with corrections. Financial Report: Discussion for transition from Tops to Zoho. Total amount received for collections: 204,116-reported before Zoho domain went down. The cost of expense for collections: $116,240. For month ending July 2023: Balances: Operating: $1,986,938 Delinquencies total: $1,302,261.79 Business at Hand Money Market: $484,139.27 Reserve: $1,986,938 5. A. Pool Update: Sealer is curing around the pool coping and next to deck. It should be ready for the to be open as far as getting into the spa area. Nobody can go swimming for quite a while. B. Fire Hydrant Update: Two left that need to be fixed. They are working on that they also did set up a fire hydrant scheduled. They are going through and doing all the flushing of fire hydrants That area should be open inj just a few days. and have it on an actual schedule sO that we can be tracking those things. Vehicles and Assets: Review of all vehicles, registration and insurance. D. PRP: Ken and. JT are working on a plan to flush and connect and sanitize the hydrants in that section and then tie it into Glacier at the end. They're working with the staff on doing those things and analyzing to try to make progress on that. So we were hopefully going to have a better recording and also be able to report that to homeowners to the progress anything PRP. E. Roads: Ongoing typical road repairs, preparing for winter with a large scale wood chipper, burn piles, tree root removal and road repairs at multiple locations. Quote was submitted for striping the GrandManors YOSEMITE Fairway Café parking lot and the golf parking lot for $2200. Grants for dump trucks was discussed. Twenty (20) water company road patches were completed as well as a large main break in the YLP Care update: There is no affiliation with YLOA and this should be noted in the minutes. YSPUCTax Update: Ken Harrington is working with a liaison for tax payments. Motion: President Bluhm made a motion, whereas Yosemite lakes Owners Association has operated under the conditions of being self-managed, and delegating operation and management duties to a general manager to act as an agent on behalf of the Yosemite lakes Owners Association YLOA, the association and the board of directors to exercise control and management over assets and operations, whereas the general manager is tasked with administering and or supervising the financial or common area assets, Civil Code 5380, implementing resolutions and directives of the board, implementing provisions of governing documents and administering contracts, including insurance contracts vendors, contractors, and other third party providers of goods and services, business and professional professional code 11 500 D, whereas Yosemite lakes Owners Association has operated under the conditions of employing or contracting a financial control slash financial manager to control internal financial controls to approve financial transactions prepare checks, make bank deposits control, petty cash and record transactions, I move that the general manager and the controller slash financial manager or similar will each report equally and separately to the YLOA Board of Directors. So as not to create a conflict of interest, the general manager shall not have the responsibility or authority to manage the controller financial slash financial manager similar nor will the controller slash financial manager are similar have the ability or authority to control the general manager, both positions will report separately to and directly to the YLOA Management Company Update: The board is reviewing three (3) companies and doing a cost 10. Resolutions: This is the motion whereas Yosemite lakes Owners Association is a California nonprofit mutual benefit corporation, whereas the board of directors has a duty to alliveiate assessments sufficient to perform the association's obligations under its governing documents and Civil Code 56 00 A, and the association relies upon the payment of assessments by each member in order to meet the financial obligations of association. Whereas assessments levied against the property identified below have not been paid to the association by the owner or owners their own and partial number is 093520006 and 092270010 were as of the date of the resolution the debt owed for the property has not been satisfied, whereas the association will be entitled to record a lien to pursuant to California Civil Code 5675 and associations recorded declaration of covenants, conditions and restrictions, after a pre lien demand letter is sent to all record owners of the property.
