Yard waste must be placedi in sturdy plastic bags. Each bag must not weigh more than forty (40) pounds. 1.2.4 All branches and tree trimmings are restricted to maximum diameter of three inches per branch, must not exceed four feet in length and must be securely tied in bundles not weighing more than forty (40) pounds per bundle. Alle equipment shall bear the name of Contractor and Contractor's telephone number in a clear, legible manner on each side. 1.10 Insurance 1.10.1 Contractor shall obtain and maintain throughout the term of this Agreement, at Contractor's sole cost and expense, not less than the insurance coverage set forth below: A. Worker' Compensation - (This coverage is required if Contractor employs individuals on either a full or part-time basis to perform the work! hereunder); Coverage A-Statutory Coverage B-$1,000,000. B. C. Comprehensive Automobile Liability- - (To include coverage for all owned, non-owned, leased and hired automobiles): Combined Single Limit-51,000,000. General Aggregate-51,00,000. Comprehensive General Liability Page 5of9 Contractor shall provide Customer a certificate or certificates evidencing the above insurance andi naming Customer as an additionali insured. Further, noticeofcancelation or any change in coverage under the above polices shall be given to Customer not less than thirty (30) days prior to the effective date thereof. Notwithstanding any provision herein to the contrary, lapse or termination of the coverage required byt this Agreement shall be grounds fori immediate termination of this Agreement upon written notice to Contractor. 1.11 Supervision, Office, Records 1.11.1 Supervision: Responsible representatives of Contractor shall ensure that all services defined herein are properly performed by conducting systematic inspection. 1.11.2 Office: Contractor shall establish and maintain an office with telephone service which shall be available to Customer and all residents serviced, Monday- - Friday, 8:00 a.m. to 5:00 p.m. and Saturday 8:00 a.m. to 12:00 pm (noon), exception being stated Holidays. TERMS OF AGREEMENT 2.1 Contract Term 2.1.1 The initial term of the contract shall bei in full force as defined in page 1 of Agreement. 2.1.2 Contract shall automatically renew thereafter for successive thirty-six (36) month periods, unless written notice is received not less than sixty (60) days, but not greater than onel hundred twenty (120) days prior to renewal date via certified mail, prepaid 2.1.3 Int the event that Contractor does not perform the services as detailed by thet terms and conditions of this Agreement, Customer will notify Residential Recycling and Refuse of Texas, Inc. in written form by Certified Mail, postage prepaid, of the specific area of nonperformance, Contractor shall then be given thirty (30) days from the time the notice has been received, to cure the specific area(s) ofr non-performance referenced in the notice. Ifthe area of non-performance persists beyond the Cure Period, Customer may terminate this Agreement with written notice via Certified Mail, postage prepaid, to Contractor. In the event of termination through the cure process, damages for non-performance shall bel limited to the termination of Agreement. 2.1.4 Contractor reserve the Right to cancel Contract with a sixty (60) day written notice via Certified Mail without cause and held harmless without liability. 2.1.5 Any resident account holder wishing to cancel service in the event ofa a change of residence ownership or other vacation of the property, must notify Contractor. Advance notice of cancellation is not required and Contractor will cancel service as of the date requested by resident. Contractor will also refund to resident, within 30 days, a prorated portion of any prepaid amount on the account, calculated from the date of cancellation through the end of the then-current billing cycle. postage. 2.2 Compensation 2.2.1 Each resident of Customer agrees to pay Contractor the rate defined in Agreement. 2.2.2 Each Resident willl bel billed the first of the month prior to the billing quarter. 2.2.3 Payment shall be due and collected byt the 21* of the billing month. Customer will in no way be responsible for any aspect of resident accounts other than the establishment: and management oft this Agreement fort the benefit of the residents. 2.2.9 IfCustomer is tax-exempt from State Sales Tax, Customer shall provide Contractor with a valid tax-exempt certificate. Customer is responsible for all sales tax due and payable unless a valid tax-exempt certificate is on file with Contractor. received. willapply. paper statements will receive a charge of $5 5.00 per quarter. 3.1 Price Adjustment 3.1.1 During the term of this Agreement, Contractor may experience cost increases which may occur due to incremental increases in cost of: fuel, environmental disposal fees, local, and federal taxes or additional fees resulting from government-imposed mandates, regulations or ordinances. In the event of such a cost increase, Contractor shall provide Customer with sufficient information detailing the reason for the cost increase, the amount of the cost increase and the dates when such costs increases shall become effective. Customer has the right to refuse or approve the request. 3.1.2 The rate of compensation under this Agreement shalli increase at al rate equal to the rise of the most recently published Consumer Price Indexi for Urban Garbage and Trash Collection, published byt the United States Department of Labor, Bureau of Labor Statistics (the "CPI"). No such increase shall be effective sooner than thirty (30) days following written notice (which notice shall include evidence of such rise in the CPI) to Customeri in order that Customer may adjust charges to its residents accordingly. The rise oft the CPI shall be determined by calculating the percentage increase of said index over data readily available at the time Contractor provides written notice to Customer of such increase. 4.1 Governing Law 4.1.1 This Agreement shall be construed in accordance with and shall be governed by the laws of the State of Texas. Venue shall be Montgomery County, Texas. 4.1.2 Contractor agrees to comply with all existing laws and regulations oft the United States as well: as state and local government agencies, and anyf further laws or regulations which may be enacted by same. Contractor agrees to comply with the prescribed or applicable regulations pertaining to the subject matter of this Agreement, it being expressly agreed that nothing in this Agreement shall be construedi in any manner to abridge the right of Customer to pass or enforce necessary police and health regulations fort the protection ofi its inhabitants. 5.1 Right of Assignment 6.1 Indemnity 5.1.1 This Agreement, as well as the rights hereunder, may be assigned by Contractor. ANDI EMPLOYEES FROM ANY AND ALL SUITS, ACTIONS, CLAIMS, JUDGEMENT LIABILITY, LOSSES OR DAMAGES OF ANY CHARACTER AND FROM ALLI EXPENSES INCIDENTALTO THE DEFENSE OF: SUCH SUITS, ACTIONS OR CLAIMS BASED UPON OR ARISING OUT OF ANYI INJURY, DISEASE, SICKNESS OR DEATH OF ANY PERSON OR PERSONS, OR ANY DAMAGES TO ANY PROPERTY CAUSED BY ANY ACT OF OMISSION OF CONTRACTOR ORI ITS OFFICERS, AGENTS SERVANTS, SUBCONTRACTORS, EMPLOYEES, OR ANYONE ELSE UNDER CONTRACTOR'S DIRECTION AND CONTROL AND ARISING OUT OF, OCCURRING IN CONNECTION WITH OR RESULTING FROM OR CAUSED BYTHE PERFORMANCE OR FAILURE OFTO PERFORM OR NONPERFORMANCE OF THE WORK OR SERVICE CONTEMPLATED BY THIS AGREEMENT. 7.1 Nondiscrimination 7.1.1 Contractor agrees to abide by all applicable federal and state laws with respect to non- discrimination against any person and shall not discriminate against any person in the performance of its duties hereunder, because of race, sex, age, creed, color, religion or national origin. 8.1 Enforcement 8.1.1 The service furnished hereunder to Customer andi its inhabitants shall be subject to such reasonable rules and regulations as Contractor may make from time to time, subject to the reasonable approval of Customer. 9.1 Permits 9.1.1 The Contractor, at its sole cost and expense, shall maintain throughout the term of this Agreement all permits, licenses and approvals necessary or required for Contractor to perform the work and services described herein and shall provide evidence thereof upon request from Customer. 10.1 Independent Contractor 10.1.1 Contractor shall perform all work and services herein described as an independent contractor and not as an officer, agent, servant or employee of Customer. Contractor shall have exclusive control of and the exclusive right to control the details oft the services and work performed hereunder and all persons performing the same and nothing herein shalll be construed: as creating ap partnership or joint venture between Customer and Contractor. 11.1 Amendment 11.1.1 This Agreement may be amended only by written amendment executed by Customer and Contractor 12.1 Savings 12.1.1 In the event any term of this Agreement: shall be determined by a court of competent jurisdiction to be invalid or unenforceable, this Agreement shall, to the extent reasonably possible, remaini int full force and effect as to the balance ofi its provisions as ifsuchinvalid or unenforceable provision were not a part hereof.
