The total cost of the equipment to be purchased with this grant is $10,168.64. The grant requires a 100% match by the County to grant funds awarded. If approved, we would match the funds out of the Emergency Services Unit line item from the District Attorney's Office budget or with funds from the Investigative Fund. The deadline to apply for this grant is 3/4/24. B. Facilities & Operations 1. Approval of a three-year (4/1/24 - 3/31/27) renewal Planned Service Agreement with Johnson Controls for fire alarm testing and inspection plus system labor/panel parts; wet/dry sprinkler inspection; fire pump inspection and hood inspection and cleaning, int the amount of $20,865/year, with authorization for the Chairman to sign. 2. Approval of a three-year (4/1/24 - 3/31/27) renewal Planned Service Agreement with Johnson Controls for fire alarm inspection for the Cranberry Magistrate Office in the amount of $395/year, with authorization for the Chairman to sign. 3. Approval of a Proposal from All Lines Technology for the purchase of two Liebert Units for the Information Technology Room ini the amount of $106,000, with authorization for the Chairman to sign. Human Services 1. Approval to reappoint Shirley Warburton to the MH/EIID Advisory Board for the three-year term 4/1/24- - 3/31/27. D. Human Services - Area Agency on Aging 1. Approval to appoint three new Advisory Board members for the term 3/1/24-6/30/27 as follows: a. Carol Arthur b. David Pinson C. Maggie Souzer 2. Approval of a Contract with DON Services, Inc. for the term 3/1/24 6/30/25 for personal care services. There are no County funds involved; payment will be made out of the Aging Block Grant. The rate is the same as all Personal Care Service 3. Approval of the 2024 -2 2028 Local Area Plan. The Advisory Board approved this plan on 2/20/24; the PA Department of Aging has also approved. Providers - $27.60/hour. E. Parks and Recreation 1. Ratification of a Pricing for Payment Services Contract with MSB. The service fee for debit card transactions processed through RecDesk will increase from 1.79% to 2.19%. In addition, all credit card transactions processed through RecDesk will not 2. Approval to enter into an. Administrative Agreement with Connoquenessing Borough for a DCNR grant in the amount of $196,600 total project cost ($98,300 DCNR and $98,300 Borough) for replacement and redevelopment of the Borough Park playground area that will include a nature-themed playground. 3. Approval to enter into an Administrative Agreement with Harmony Borough fora DCNR grant in the amount of $81,200 total project cost ($55,600 DCNR and $25,600 Borough) for replacement and redevelopment of the Harmony Borough Municipal 4. Approval to enter into an Agreement with BlueScope Construction, Inc. through Sourcewell purchasing program in the amount of $110,491 for excavation work for the restroom project in Alameda Park. This includes excavation work for five restrooms and removal of an existing restroom and site utilities, with authorization for be subject to the $1.00 minimum. Building Old Schoolhouse playground area. the Chairman to sign, pending Solicitor approval. F. Planning - Bridges G. Planning - CDBG 1. Approval of the 2024 HRG Fee Schedule for Engineering Services. 1. Approval to add one additional area to the Marion Township sewer project. This is Oakwood Lane, where 10 homes are located close to the current system just off Boyers Road. The materials are according to the contract line item prices. The additional grinder pumps are included. However, there was a slight increase in the cost. The total increase was still lower than the cost to put the pumps back out to bid. The total amount of the change order is $155,254.50. This change order 2. Approval of change orders for time extensions (each is a total extension of 57 days) includes a time extension until 5/31/24. for the Marion Township Sewer Project as follows: a. Bison Excavating - sewer plant until 5/31/24. b. Right Electric - sewer plant electrical until 5/31/24. 3. Approval of an Amendment of a Contract for Engineering Services with EADS Group for the lateral part of the sewer project. This amendment will allow for EADS Group to put together the design/bid specs and oversee a full-time inspection of the lateral part of the sewer project. The hope is to get this out to bid within the next couple of months and get it underway and finished by the end of 2024. The total increase in the cost will not exceed $150,000. They estimate a cost of roughly $1,500 per household. This will be funded using the 2020 CDBG Competitive Funds where we have enough to support this amendment. 1. PUBLIC COMMENT ON AGENDA ITEMS No public comment was made. APPROVAL OF MINUTES Chairman Osche called for a motion to approve the January 31, 2024 Public Meeting minutes. Commissioner Boozel made the motion; seconded by Commissioner Geyer. The motion carried unanimously. PROCLAMATIONS AND PRESENTATION Zelienople Rotary Club 100th Anniversary 1 FINANCE REPORT None OLD BUSINESS None BOARD OF ELECTIONS A. Chantell McCurdy requested approval of the amended Butler County Ballot Curing Policy. Commissioner Boozel made the motion; seconded by Commissioner Geyer. The motion carried unanimously. B. Chantell McCurdy announced a change of polling place for Middlesex Township 3. Once an appropriate location is secured, she will return to the public meeting for approval. NEW BUSINESS A. Emergency Services 1. Steve Bicehouse requested approval to apply for the Radiation Emergency Response Fund Grant in the amount of $6,977. This is a non-matching grant used to enhance response to Commissioner Geyer made the motion; seconded by Commissioner Boozel. The motion carried 2. Steve Bicehouse requested ratification of a Letter of Intent to apply for the BRIC (Building Resilient Infrastructure and Communities) Program Grant, with authorization for the Chairman to sign. This is a 25% match grant used to update our County Hazard Mitigation Plan. Itis a competitive grant with awards announced at a later date. Commissioner Boozel made the motion; seconded by Commissioner Geyer. The motion carried 3. Steve Bicehouse gave a brief update on the EMS RFP process. He noted that Allegheny Health Network (AHN) submitted a proposal to establish an Advanced Life Support (ALS) Unit in the northern part oft the County (most likely North Washington area) at no cost to the County. Chairman Osche expressed that there is no action required on the part oft the County for AHN to establish the Advanced Life Support service ini the northern part of the 4. Steve Bicehouse requested authorization for County staff to proceed with negotiations with Independence Health System/Butler Ambulance for a potential contract to provide staffing support to EMS providers. If successful, the negotiated contract will be presented to the Board of Commissioners at a future public meeting for their consideration. On behalf of the Ag Land Preservation Board, Sheryl Kelly requested approval of Nicklas King McConahy of Cranberry Township as an appraiser to work with the Butler County Agricultural Land Preservation Board with a Letter of Engagement for each jobt to be signed by Mark Gordon. The Preservation Board has approved working with this firm upon approval by the Board of Commissioners. Each appraisal request willl bei individually approved by the Preservation Board on an as needed basis, each costing approximately $1,800- $2,200. As required by the easement purchase process, this firm will complete appraisals meeting all state requirements to help determine easement offers to farm owners who have been chosen Commissioner Geyer made the motion; seconded by Commissioner Boozel. The grant is in the amount of $337,000of federal dollars for the period 8/1/22 - 7/31/24 to fund the purchase of two Tek 84 Intercept Model Body Scanners with Thermal Scanner, with authorization for the Chairman to sign. Records which relate to litigation or the settlement of claims arising out oft the performance oft this Agreement, or costs and expenses ofthis Agreement as to which exception has been taken by the auditors shall be retained by the Provider until such litigation, claims, or exceptions have been disposed of. C. Int the event that the representative of the. Area Agency on Aging, Secretary of Aging, the Auditor General or any ofl his duly authorized representatives or Federal Auditors determines that the audit ofthe amount reimbursed under the Agreement as transportation will be made at a place other than the office ofthe Provider, the Provider agrees to deliver, with the reimbursement voucher covering such charges or as may be otherwise specified within two years after reimbursement of charges covered by any such voucher, documentary evidence in support oft transportation costs as maybe required by the auditors. d. Except for documentary evidence delivered pursuant to subparagraph (c) above, and the records described in subparagraph (b) above, the Provider may, in fulfillment ofhis obligation to retain his records, as required, may substitute authentic reproductions of such records, after the expiration oft two years following the last day oft the month ofreimbursement to the Provider oft the invoice or voucher to which such records relate, unless a shorter period is authorized by the. AAOA or the Commonwealth with the concurrence oft the isi required by applicable statute, except that: from the date of any resulting final settlement. Auditors. 7. Copyrights: Provider relinquishes any and all copyrights and/or privileges pursuant to data developed under this Agreement. Provider shall exert all reasonable effort to advise the Agency at the time of delivery of data furnished under this Agreement ofall invasions of the right to privacy contained therein. The Provider shall defend any suit or proceeding brought against the Agency, Commonwealth and/or the County of] Butler on account of any alleged infringement of any copyright arising out ofthe performance oft this Agreement, including all work, services, materials, reports, studies and computer programs provided by the Provider. This is upon the condition that the Agency, the Commonwealth and/or the County of Butler shall provide prompt notification in writing ofs such suit or proceeding, full right, authorization and opportunity to conduct the defense thereof, and full information and all reasonable cooperation for the defense of the same. As principles of governmental or public law are involved, the Agency, the Commonwealth and/or the County of Butler may participate in the defense ofa any such action. The Provider shall pay all damages and costs, including reasonable attorey's fees awarded therein against the Agency, the Commonwealth and/or the County ofButler at the Provider's written request, it shall beat the Provider's expense, but the responsibility ofs such expense shall be only that within the Provider's written authorization. Ifany oft the materials, reports, studies, or computer programs provided by the Provider are in such suit or proceeding held to constitute infringement and the use or publication thereofi is enjoined, the Provider shall, at his own expense and at his option, either procure thé right to publish or continue use of such infringing materials, reports, studies, or computer programs, replace them with non-infringing items, or sO modify them sO that they are no longer infringing. The obligations ofthe Provider under this paragraph continue without time 8. The Provider expressly agrees to comply with the Contract Compliance Regulations of the Pennsylvania Human Relations Commission (161 Pa. Code, Chapter 49), Title VI of the Civil Rights Act ofl 1964, as amended, the Pennsylvania Human Relations Act. as amended (43 Pa. 951, et seq.). Executive Order No. 11246, as amended by Executive Order No. 11375 and Executive Directive no.1984-1 (issued by the Governor, February 16, 1984), sO that during the term ofthis Agreement, Provider agrees as a. The Provider covenants that it presently has no interest and shall not acquire any interest, direct or indirect, which would conflict in any manner or degree with the performance ofi its services hereunder. The provider further covenants that in the performance ofthis Agreement, it shall not knowingly employ any person having such interest. Provider further certifies that no member ofthe Board ofthe Provider or any ofi its officers or directors have such an adverse interest. 12 24. The Provider warrants that no person or selling agency has been employed or retained tos solicit or secure this Agreement upon an agreement or understanding for a commission, percentage, brokerage, or contingent fee (excepting bona fide established commercial or selling agencies maintained by the Provider for the purpose ofs securing business). For breach or violation oft this warranty, the Commonwealth shall have the right to annul this Agreement without liability or, in its discretion, to deduct from the consideration otherwise due under the Agreement, or otherwise recover, the full amount of such commission, percentage, brokerage or contingent fee. 25. Inc carrying out this Agreement, the Provider shall minimize pollution and shall strictly comply with all applicable environmental laws and regulations. (Clean Streams Law, Act ofJune 22, 1937, P.L. 1987, as amended and the Pennsylvania Solid Waste Management Act, Act ofJuly 31, 1968, P.L. 788; and the Water Obstructions Act, Act 26. Any written commitment or representation oft the Provider made within the scope of this Agreement shall be binding upon the Provider and shall be incorporated into this 27. Except for those subcontractors specifically authorized' by this Contract, Provider shall not enter into subcontracts for any ofthe work contemplated under this Agreement without obtaining prior written approval ofthe Agency, which shall be attached to the original Agreement, and subject to such conditions and provisions as the Agency may deem necessary; provided, however, that notwithstanding the foregoing, unless otherwise provided herein, such prior written approval shall not be required for the purchase by Provider of articles, supplies, equipment, and services which are both necessary for or merely incidental to the performance oft the work required under this Agreement; and provided, further, that no provision ofthis clause and no such approval by the Agency ofany subcontract shall be deemed in any event in any manner to provide for the incurrence ofany obligation oft the Agency in addition to the 28. The Provider shall not assign any interest in the Agreement and shall not transfer any interest in the same (whether by assignment or novation), without the prior written approval of the Agency thereto, which shall be attached to the original Agreement, and subject to such conditions and provisions as the Agency may deem necessary. No such approval by the Agency ofany assignment. shall be deemed in any event or in any manner to provide for the incurrence ofa any obligation of the. Agency in addition to the total agreed-upon price; provided, however, that claims for compensation due to become due the Provider from the Commonwealth under this Agreement may be assigned to al bank, trust company, or other financial institution without such approval. Funds awarded by the Agreement shall not be used to hold meetings, conferences, training sessions or other gatherings at any facility such as a country club, lodge, or other private club which excludes or restricts membership ofindividuals on account or race, color, religion, national origin, ancestry, sex, or handicap. The Department agrees to delegate to the. Area Agency on Aging the authority to determine and re- determine the eligibility of persons requesting a Title XX funded service or ofaj person on whose behalft the service is requested. The Area Agency on Aging certifies that all services and other activities for the elderly funded through the terms and conditions of this Agreement arei in full compliance with the Three Year Plan, previously submitted tot the Department by the. Area Agency on Aging, and currently in effect. 31. This Agreement constitutes the entire Agreement between the Provider and the Agency with respect to the subject matter hereof and there is no other or further written or oral agreements with respect hereto. No variation or modification ofthis Agreement and no waiver ofits provisions shall be valid unless in writing and signed by the duly authorized officers ofthe Agency and the Provider. Except that, as this Agreement is subject to the provisions ofall pertinent Federal, State, and local laws and regulations and all amendments made thereto, definitions ofs service, eligibility ofr recipients of service and other limitations on1 the purchase of the services established in this Agreement are subject to modification by amendment to Federal, State and local laws 32. Any term or other provision of this Agreement to the contrary notwithstanding, the Agency exclusively and expressly reserves the right to summarily cancel this Agreement, or renewal, thereof upon thirty (30) days' written notice to the Provider. In the event the Provider fails to fully comply with the terms and conditions hereof the Agency may also terminate this Agreement upon five (5) days' written notice ofi its intention to do sO. In any event of termination, all finished or unfinished documents, data, studies, photographs and reports, or other materials prepared by the Provider under this Agreement shall, at the option oft the Department and/or the Agency, become its property, and the Provider shall be entitled to receive just ande equitable compensation for any satisfactory work completed on such documents and other 33. The contract may be extended for multiple years at the sole discretion ofthe Butler County Commissioners. BCAAOA and the service provider may decide to simply add an addendum to the original contract. Based on 2022 estimates from the Penn State Data Center, of the! 56,173 residents aged 60 and older 3,665 (6.52%), are living below the poverty line. Many older adults are struggling with rising! health care and housing costs, insufficient nutrition, access to transportation and declining savings, especially those 85 and older. Older seniors are more vuinerable to financial risk, in that they are more likely to have lower earnings, exhaust retirement assets, and incur greater medical costs. Fortunately, Butler County has a strong networkof community support, including Human Services, faith-based organizations, and nonprofit agencies to dffers support when needed. For older adults living independently in the community, living alone can addistress and challenges that individuals residing with a spouse or other family member often do not face Issues regarding social isolation have become especially apparent for this group during and following the COVID-19 pandemic. Based on the U.S. Census 2022, 5-year estimates, approximately 12.7% of Butier County residents live alone. Residents aged 65 and older make up 5.2% of that population. Ombudsman staff and trained volunteers investigate and assist to resolve concerns related to residents' rights and care provided in licensed long-term care facilities and commiynitysettings. Ombudsman staff and volunteers assisted 120 residents ofl long-tern caret facilities. Protective Services houses specially trained caseworkers who investigate reports of older persons at risk ofa abuse, neglect, exploitation, or abandonment who are unable to adequately protect themselves due to declining cognitive or physical capability. This service is available 24/7. Received 906 Reports of Need. Conducted 632 investigations ofe elder abuse. Seven senior centers located throughout the County are at focal point in the community for older adults toj joini in av wide variety of programs and activities, including opportunities for recreation, education, socialization, and nutritious meals. The percentage of the population of those 60 and older has increased slightly over the last several years. This increase in population, combined with current flat funding, creates a dificult situation for the aging system. These factors will require a shift in! how services for older adults are provided and funded. Community Outreach & Needs Assessment The Butler County Area Agency on Aging (BCAAOA) began assessing the needs oft the communityi in August 2023. Both internal and external stakeholder options were. sought afterduring the three-month assessment period. It was our intention to reach out1 to as many different stakeholders as possible to get ac clear picture of what our community looked like and what was needed by the population we: serve. One individual with low vision/blindness, expressed concern about insufficient lighting in buildings, and difficulty safely navigating the city of Butierandi indoor spaces, such as grocery stores. 2. Address social needs ofi isolated individuals 32.9% of survey respondents reported feelings of social isolation Social isolation was discussed in 9 out of 141 focus groups Social isolation concerns were largely related to the COVID-19 pandemic and loneliness due to self-isolating. Concern was also voiced for older adults who are homebound and lack connection to their communities and programming, resulting ini al lack of knowledge regarding available resources. Participants discussed the need for more opportunities to engage with peers and programs and stay physically active, which comegemddwin)esdhole, access. 3. Create an environment where diversity, equity andi inclusion'are prioritized 80.4% of respondents feel respected as they age in the Butler County community Equity and inclusion were discussed in: 10 out of 141 focus groups Discussion focused on access to community prograns, andi issues regarding inclusion of the senior and disabled communities and barriers to attend these events, such as cost, time of day, ability to navigate location, and safety 4. Relating to older-adult sppcificbuildings, participants voiced concern abouti insufficient housing options, specifically long waitlists to Page 19 get into buildings. For homeowners, a commonitopid that arose pertained to finding trustworthy companies, contractors and indiyiduals to complete home repairs and assist with other household tasks, sch assnow removal and yardwork, which was paired with numerous suggestipns fort the establishment ofa centralized resource where older adults can refert to find vetted assistance On the topic of maintaining independence, participants expressed concerns about obtaining affordable in-home assistance with tasks that enablet them to continue to age inp place, such as cleaning, grocery delivery, outdoor options. Maintaining independence was discussed in 13 out of 14 focus groups maintenance, other household chores. 5. Continue to grow and develop the caregiver support program 54% of survey respondents reported not having a plani in plaçe to address aging decline Care needs of both care receivers and caregivers was discussed in 12 out of1 141 focus and future care needs groups On the topic of caregiving, participants expressed concerns regarding navigating care needs ofi family members, specifically related toal lack of understanding of available options for both subsidized and unsubsidized care programs, and institutional and community-ased care options. Participants also voiced concerns regarding the lack ofavailable professionacaregivers; and the growing needs of the unpaid care force. Quality Management Several unmet needs requiring additional services and support emerged from the data examined. Needs included: Transportation Discussed in 14 of14 focus groups Major transportation concerns are related to the lack df avajlable in and out-of-county transportation and on demand transportation to medical appointments. Many participants expressed frustration with long wait-times/delayed arrivals and pick-ups that are too soon before an appointment for the BARTisharéd ride service. Another concern related to the operating time of BART, with the last'ride being mid-afternoon, it can be challenging fori individuals to arrange transportation, for appointments that occur later in the day. Additionally, another challenge of the BARTsystem was thati it is only operational in specific areas of the county on specific days, Which can be an issue when certain medical providers are only available on certain,days/without: any available transportation option. Discussed in 14of141 focus groups Health Care: The general theme related to health care centered on affordability. Common concerns related to obtaining costly equipment, supplies and tréatments, such as dental Page 110 procedures and hearing aids, not covered byi insurancé. Article 3 Owner's Services and Responsibilities 3.1 Duty to Cooperate. 3.1.1 Owner shall, throughout the performance of the Work, cooperate with Design-Builder and perform its responsibilities, obligations and services in at timely manner to facilitate Design-Builder's timely and efficient performance of the Work and sO as not to delay or interfere with Design- 3.1.2 Owner shall provide timely reviews and approvals of interim design submissions and Construction Documents consistent with the turnaround times set forth in Design-Builder's 3.1.3 Owner shall give Design-Builder timely notice of any Work that Owner notices to be Builder's performance ofi its obligations under the Contract Documents. schedule. defective or not in compliance with the Contract Documents. 3.2 Furnishing of Services and Information. 3.2.1 Unless expressly stated to the contrary in the Contract Documents, Owner shall provide, at its own cost and expense, for Design-Builder's information and use the following, all of which Design-Builder is entitled to rely upon in performing the Work: 3.2.1.1 Surveys describing the property, boundaries, topography and reference points for 3.2.1.2 Geotechnical studies describing subsurface conditions, and other surveys 3.2.1.3 Temporary and permanent easements, zoning and other requirements and encumbrances affecting land use, or necessary to permit the proper design and construction of the Project and enable Design-Builder to perform the Work; use during construction, including existing service and utility lines; describing other latent or concealed physical conditions at the Site; 3.2.1.4 A legal description of the Site; 3.2.1.5 To the extent available, record drawings of any existing structures ati the Site; and 3.2.1.6 To the extent available, environmental studies, reports and impact statements describing the environmental conditions, including Hazardous Conditions, in existence at 3.2.2 Owner is responsible for securing and executing all necessary agreements with adjacent land or property owners that are necessary to enable Design-Builder to perform the Work. Owner is further responsible for all costs, including attorneys' fees, incurred in securing these necessary the Site. agreements. DBIA Document No. 535 02 2010 Design-Build Institute of America Page 7 Standard Form of General Conditions of Contract Between Owner and Design-Builder DBIA5 535- Sourcewell PENNSYLVANIA Contracts Only 04/2023 government entities with jurisdiction over the Project or Site. 4.1.2 Upon receiving notice of the presence of suspected Hazardous Conditions, Owner shall take the necessary measures required to ensure that the Hazardous Conditions are remediated or rendered harmless. Such necessary measures shalli include Owner retaining qualified independent experts to () ascertain whether Hazardous Conditions have actually been encountered, and, ifthey have been encountered, () prescribe the remedial measures that Owner must take either to remove the Hazardous Conditions or render the Hazardous Conditions harmless. 4.1.3 Design-Builder shall be obligated to resume Work at the affected area of the Project only after Owner's expert provides it with written certification that (i) the Hazardous Conditions have been removed or rendered harmless and (i) all necessary approvals have been obtained from all government and quasi-government entities having jurisdiction over the Project or Site. 4.1.4 Design-Builder will be entitled, in accordance with these General Conditions of Contract, to an adjustment in its Contract Price and/or Contract Time(s) to the extent Design-Builder's cost and/or time of performance have been adversely impacted by the presence of Hazardous 4.1.5 To the fullest extent permitted by law, Owner shall indemnify, defend and hold harmless Design-Builder, Design Consultants, Subcontractors, anyone employed directly or indirectly by any oft them, and their officers, directors, employees and agents, from and against any and all claims, losses, damages, liabilities and expenses, including attorneys' fees and expenses, arising out ofor resulting from the presence, removal or remediation of Hazardous Conditions at the Site. 4.1.6 Notwithstanding the preceding provisions oft this Section 4.1, Owner is not responsible for Hazardous Conditions introduced to the Site by Design-Builder, Subcontractors or anyone for whose acts they may be liable. To the fullest extent permitted by law, Design-Builder shall indemnify, defend and hold harmless Ownera and Owner's officers, directors, employees and agents from and against all claims, losses, damages, liabilities and expenses, including attorneys' fees and expenses, arising out of or resulting from those Hazardous Conditions introduced to the Site by Design-Builder, Subcontractors or anyone for whose acts they may be liable. Conditions. 4.2 Differing Site Conditions. 4.2.1 Concealed or latent physical conditions or subsurface conditions at the Site that () materially differ from the conditions indicated in the Contract Documents or (i) are of an unusual nature, differing materially from the conditions ordinarily encountered and generally recognized as inherent in the Work are collectively referred to herein as "Differing Site Conditions." If Design- Builder ençounters al Differing Site Condition, Design-Builder will be entitled to an adjustment in the Contract Price and/or Contract Time(s) to the extent Design-Builder's cost and/or time of 4.2.2 Upon encountering a Differing Site Condition, Design-Builder shall provide prompt written notice to Owner of such condition, which notice shall not be later than fourteen (14) days after such condition has been encountered. Design-Builder shall, to the extent reasonably possible, provide such notice before the Differing Site Condition has been substantially disturbed or altered. performance are adversely impacted by the Differing Site Condition. Article 5 Insurance and Bonds 5.1 Design-Builder's Insurance Requirements. 5.1.1 Design-Builder is responsible for procuring and maintaining the insurance for the coverage DBIAI Document No. 535 0 2010 Design-Build Institute of Ameriça Page 9 Standard Form of General Conditions of Contract Between Owner and Design-Builder DBIA! 535- Sourcewell PENNSYLVANIA Contracts Only 04/2023 5.3.2 Unless the Contract Documents provide otherwise, Owner shall procure and maintain boiler and machinery insurance that will include the interests of Owner, Design-Builder, Design Consultants, and Subcontractors of any tier. The Owner is responsible for the payment of any 5.3.3 Prior to Design-Builder commencing any Work, Owner shall provide Design-Builder with certificates evidencing that () all Owner's insurance obligations required by the Contract Documents are in fullf force andi in effect and will remain in effect untill Design-Builder has completed all of the Work and has received final payment from Owner and () no insurance coverage will be canceled, renewal refused, or materially changed unless at least thirty (30) days prior written notice is given to Design-Builder. Owner's property insurance shall not lapse or be canceled if Owner occupies a portion of the Work pursuant to Section 6.6.3 hereof. Owner shall provide Design- Builderwith the necessary endorsements from the insurance company prior to occupying aj portion 5.3.4 Any loss covered under Owner's property insurance shall be adjusted with Owner and Design-Builder and made payable to both of them as trustees for the insureds as their interests may appear, subject to any applicable mortgage clause. Alli insurance proceeds received as a result ofa any loss willl be placed in a separate account and distributed in accordance with such agreement as thei interested parties may reach. Any disagreement concerning the distribution of any proceeds 5.3.5 Owner and Design-Builder waive against each other and Owner's separate contractors, Design Consultants, Subcontractors, agents and employees of each and all of them, all damages covered by property insurance provided herein, except such rights as they may have to the proceeds of such insurance. Design-Builder and Owner shall, where appropriate, require similar waivers ofs subrogation: from Owner's separate contractors, Design Consultants and Subcontractors and shall require each of them to include similar waivers in their contracts. These waivers of subrogation shall not contain any restriction or limitation that willi impair the full and complete extent of its applicability to any person or entity unless agreed to in writing prior to the execution of this deductibles under the insurance required by this Section 5.3.2. of the Work. will be resolved in accordance with Article 10 hereof. Agreement. 5.4 Bonds. 5.4.1 IfOwner requires Design-Builder to obtain performance and labor and material payment bonds, the amount, form and other conditions of such security shall be as set forth in the 5.4.2 All bonds furnished by Design-Builder shall be in a form satisfactory to Owner. The surety shall be a company qualified and registered to conduct business in the state in which the Project is Agreement. located. Article 6 Payment 6.1 Schedule of Values. 6.1.1 Unless required by the Owner upon execution of this Agreement, within ten (10) days of execution of the Agreement, Design-Builder shall submit for Owner's review and approval a schedule of values for all of the Work. The Schedule of Values will () subdivide the Work into its respective parts, (ii) include values for all items comprising the Work and (ii) serve as thel basis for 6.1.2 The Owner will timely review and approve the schedule of values sO as not to delay the submission of the Design-Builders first application for payment. The Owner and Design-Builder monthly progress payments made to Design-Builder throughout the' Work. DBIAI Document No. 535 02010 Design-Build Institute of America Page 11 Standard Form of General Conditions of Contract Between Owner and Design-Builder DBIA 535 Sourcewell PENNSYLVANIA Contracts Only 04/2023 and Subcontractors to pay those parties with whom they have contracted. Design-Builder will indemnify and defend Owner against any claims for payment and mechanic's liens as set forth in Section 7.3 hereof. 6.6 Substantial Completion. 6.6.1 Design-Bullder shall notify Owner when it believes the Work, or to the extent permitted in the Contract Documents, a portion oft the Work, is Substantially Complete. Within five (5) days of Owner's receipt of Design-Builder's notice, Owner and Design-Builder willj jointly inspect such' Work tov verify that it is Substantially Complete in accordance with the requirements of the Contract Documents. Ifsuch Work is Substantially Complete, Owner shall prepare andi issue a Certificate of Substantial Completion that will set forth () the date of Substantial Completion of the Work or portion thereof, () the remaining items of Work that have to be completed before final payment, (ii) provisions (to the extent not already provided ini the Contract Documents) establishing Owner's and Design-Builder's responsibility for the Project's security, maintenance, utilities and insurance pending final payment, and (iv) an acknowledgment that warranties commence to run on the date of Substantial Completion, except as may otherwise be noted in the Certificate of Substantial 6.6.2 Upon Substantial Completion of the entire Work or, if applicable, any portion of the Work, Owner shall release to Design-Builder all retained amounts relating, as applicable, to the entire Work or completed portion of the Work, less an amount equal to the reasonable value of all remaining or incomplete items of Work as noted in the Certificate of Substantial Completion. 6.6.3 Owner, at its option, may use a portion of the Work which has been determined to be Substantially Complete, provided, however, that ()ac Certificate of Substantial Completion has been issued for the portion of Work addressing the items set forth in Section 6.6.1 above, (i) Design- Builder and Owner have obtained the consent of their sureties and insurers, and to the extent applicable, the appropriate government authorities having jurisdiction over the Project, and (ii) Owner and Design-Builder agree that Owner's use or occupancy will not interfere with Design- Completion. Builder's completion of the remaining Work. 6.7 Final Payment. 6.7.1 After receipt of a Final Application for Payment from Design-Builder, Owner shall make final payment by the time required in the Agreement, provided that Design-Builder has achieved 6.7.2 At the time of submission ofi its Final Application for Payment, Design-Builder shall provide Final Completion. the following information: 6.7.2.1 An affidavit that there are no claims, obligations or liens outstanding or unsatisfied for labor, services, material, equipment, taxes or other items performed, furnished ori incurred for ori in connection with the Workv which willi in any way affect Owner's 6.7.2.2 A general release executed by Design-Builder waiving, upon receipt of final payment by Design-Builder, all claims, except those claims previously made in writing to interests; Owner and remaining unsettled at the time of final payment; 6.7.2.3 Consent of Design-Builder's surety, ifa any, to final payment; 6.7.2.4 All operating manuals, warranties and other deliverables required by the 6.7.2.5 Certificates ofi insurance confirming that required coverages will remain in effect Contract Documents; and consistent with the requirements of the Contract Documents. DBIAI Document No. 535 02010Design-Buid Institute of America Page 13 Standard Form of General Conditions of Contract Between Owner and Design-Builder DBIA 535 Sourcewell PENNSYLVANIA Contracts Only 04/2023 necessary to obtain such exemption, upon which Design-Builder may rely. 7.3 Payment Claim Indemnification. 7.3.1 Provided that Owner is not in breach of its contractual obligation to make payments to Design-Bullder fort the Work, Design-Builder shall indemnify, defend and hold harmless Ownert from any claims or mechanic's liens brought against Owner or against the Project as a result of the failure of! Design-Builder, ori those for whose actsi itis responsible, to pay fora any services, materials, labor, equipment, taxes or other items or obligations furnished or incurred for or in connection with the Work. Within three (3) days of receiving written notice from Owner that such a claim or mechanic's lien has been filed, Design-Builder shall commence to take the steps necessary to discharge said claim or lien, including, if necessary, the furnishing of a mechanic's lien bond. If Design-Builder fails to do so, Owner will have the right to discharge the claim or lien and hold Design-Builder liable for costs and expenses incurred, including attorneys' fees. 7.4 Design-Builders General Indemnification. 7.4.1 Design-Builder, to the fullest extent permitted by law, shall indemnify, hold harmless and defend Owner, its officers, directors, and employees from and against claims, losses, damages, liabilities, including attorneys' fees and expenses, for bodily injury, sickness or death, and property damage or destruction (other than to the Work itself) to the extent resulting from the negligent acts or omissions of Design-Builder, Design Consultants, Subcontractors, anyone employed directly or 7.4.2 Ifan employee of Design-Builder, Design Consultants, Subcontractors, anyone employed directly or indirectly by any of them or anyone for whose acts any of them may bel liable has a claim against Owner, its officers, directors, employees, or agents, Design-Builders indemnity obligation set forth in Section 7.4.1 above shall not be limited by any limitation on the amount of damages, compensation or benefits payable by or for Design-Builder, Design Consultants, Subcontractors, ord other entity under any employee benefit acts, including workers' compensation or disability acts. 7.5.1 Owner, to the fullest extent permitted by law, shall indemnify, hold harmless and defend Design-Builder and any of Design-Builders officers, directors, and employees, from and against claims, losses, damages, liabilities, including attorneys' fees and expenses, for bodily injury, sickness or death, and property damage or destruction (other than to the Work itself) to the extent resulting from the negligent acts or omissions of Owner's separate contractors or anyone for whose indirectly by any of them or anyone for whose acts any of them may be liable. 7.5 Owner's General Indemnification. acts any of them may be liable. Article 8 Time 8.1 Obligation to Achieve the Contract Times. 8.1.1 Design-Bullder agrees that it will commence performance of the Work and achieve the Contract Time(s) in accordance with Article 5 of the Agreement. 8.2 Delays to the Work. 8.2.1 Neither Design-Builder nor Owner shall be liable to the other for damages nor shall the Agreement be terminated nor al breach of the Agreement be deemed to have occurred because of any failure to perform caused by a' "Force Majeure". Sourcewell PENNSYLVANIA Contracts Only 04/2023 9.4 Contract Price. Adjustments. 9.4.1 The increase or decrease in Contract Price resulting from a change in the Work shall be determined by one or more oft the following methods: 9.4.1.1 Unit prices set forth in the Agreement or as subsequently agreed to between the 9.4.1.2 A mutually accepted lump sum, properly itemized and supported by sufficient 9.4.1.3 Costs, fees and any other markups seti forth in the Agreement; or parties; substantiating data to permit evaluation by Owner; 9.4.1.4 Ifani increase or decrease cannot be agreed to as set forth ini items 9.4.1.1 through 9.4.1.3 above and Owner issues a' Work Change Directive, the cost oft the change of the Work shall be determined by the reasonable expense and savings in the performance of the Work resulting from the change, including a reasonable overhead and profit, as may 9.4.2 If unit prices are set forth in the Contract Documents or are subsequently agreed to by the parties, but application of such unit prices will cause substantial inequity to Owner or Design-Builder because of differences in the character or quantity of such unit items as originally contemplated, 9.4.3 Ifc Owner and Design-Builder disagree upon whether Design-Builder is entitled to be paid for any services required by Owner, ori ifthere are any other disagreements over the scope of Work or proposed changes to the Work, Owner and Design-Builder shall resolve the disagreement pursuant to Article 10 hereof. As part of the negotiation process, Design-Builder shalli furnish Owner with ag good faith estimate of the costs to perform the disputed services in accordance with Owner's interpretations. If the parties are unable to agree and Owner expects Design-Builder to perform the services in accordance with Owner's interpretations, Design-Builder shall proceed to perform the disputed services, conditioned upon Owner issuing a written order to Design-Builder () directing Design-Builder to proceed and (i) specifying Owner's interpretation of the services that are to be performed. Ift this occurs, Design-Builder shall be entitled to submit in its Applications for Payment an amount equal to fifty percent (50%) of its reasonable estimated direct cost to perform the services, and Owner agrees to pay such amounts, with the express understanding that () such payment by Owner does not prejudice Owner's right to argue that it has no responsibility to pay for such services and () receipt of such payment by Design-Builder does not prejudice Design- Builder's right to seek full payment of the disputed services if Owner's order is deemed to be a be set forth in the Agreement. such unit prices shall be equitably adjusted. change to the Work. 9.5 Emergencies. 9.5.1 Ina any emergency affecting the safety of persons and/or property, Design-Builder shall act, at its discretion, to prevent threatened damage, injury or loss. Any change in the Contract Price and/or Contract Time(s) on account of emergency work shall be determined as provided in this Article 9. Article 10 Contract Adjustments and Disputes 10.1 Requests for Contract Adjustments and Relief. 10.1.1 Ife either Design-Builder or Owner believes that it is entitled to relief against the other for any event arising out of or related to the Work or Project, such party shall provide written notice to DBIA Document No. 535 02010 Design-Build Institute of America Page 17 Standard Form of General Conditions of Contract Between Owner and Design-Builder DBIA 535- Sourcewell PENNSYLVANIA Contracts Only 04/2023 provisions in all contracts they execute with other parties in connection with the Project to require 10.3.4 The prevailing party in any arbitration, or any other final, binding dispute proceeding upon which the parties may agree, shall be entitled to recover from the other party reasonable attorneys' such joinder or consolidation. fees and expenses incurred by the prevailing party. 10.4 Duty to Continue Performance. 10.4.1 Unless provided to the contrary in the Contract Documents, Design-Builder shall continue to perform the Work and Owner shall continue to satisfy its payment obligations to Design-Builder, pending the final resolution of any dispute or disagreement between Design-Builder and Owner. 10.5.1 NOTWITHSTANDING ANYTHING HEREIN TO THE CONTRARY (EXCEPT AS SET FORTH IN SECTION 10.5.2 BELOW), NEITHER DESIGN-BUILDER NOR OWNER SHALL BE LIABLE TO THE OTHER FOR ANY CONSEQUENTIAL LOSSES OR DAMAGES, WHETHER ARISING IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, INCLUDING BUT NOT LIMITEDTOL LOSSES OF USE, PROFITS, BUSINESS, 10.5.2 The consequential damages limitation set forth in Section 10.5.1 above is not intended to affect the payment of liquidated damages or lost early completion bonus, if any, set forth in Article 5ofthe Agreement, which both parties recognize has been established, inj part, to reimburse Owner orr reward Design-Builder for some damages that might otherwise be deemed to be consequential, 10.5 CONSEQUENTIAL DAMAGES. REPUTATION OR FINANCING. Article 11 Stop Work and Termination for Cause 11.1 Owner's Right to Stop Work. 11.1.1 Owner may, without cause and for its convenience, order Design-Builder in writing to stop and suspend the' Work. Such suspension shall note exceed sixty (60) consecutive days or aggregate 11.1.2 Design-Builder is entitled to seek an adjustment of the Contract Price and/or Contract Time(s) ifi its cost or time to perform the Work has been adversely impacted by any suspension of more than ninety (90) days during the duration of the Project. stoppage of the Work by Owner. 11.2 Owner's Right to Perform and Terminate for Cause. 11.2.1 If Design-Builder persistently fails to (1) provide a sufficient number of skilled workers, (i) supply the materials required by the Contract Documents, (ii) comply with applicable Legal Requirements, (iv) timely pay, without cause, Design Consultants or Subcontractors, (v) prosecute the Work with promptness and diligence to ensure that the Work is completed by the Contract Time(s), as such times may be adjusted, or (vi) perform material obligations under the Contract Documents, then Owner, in addition to any other rights and remedies provided in the Contract Documents or by law, shall have the rights set forth in Sections 11.2.2 and 11.2.3 below. 11.2.2 Upon the occurrence of an event set forth in Section 11.2.1 above, Owner may provide written notice to Design-Builder thati iti intends to terminate the. Agreement unless the problem cited is cured, or commenced to be cured, within seven (7) days of Design-Builder's receipt of such notice. If Design-Builder fails to cure, or reasonably commence to cure, such problem, then Owner may give a second written notice to Design-Builder of its intent to terminate within an additional DBIA Document No. 535 020100 Design-Build Institute of America Page 19 Standard Form of General Conditions of Contract Between Owner and Design-Builder DBIA5 535- Sourcewell PENNSYLVANIA Contracts Only 04/2023 approvals that are Owner's responsibility underi the Contract Documents which resulti in the Work being stopped for sixty (60) consecutive days, or more than ninety (90) days during the duration of the Project, even though Owner has not ordered Design-Builder in writing 11.4.1.3 Owner's failure to cure the problems set forth in Section 11.3.1 above after 11.4.2 Upon the occurrence of an event set forth in Section 11.4.1 above, Design-Builder may provide written notice to Owner that iti intends tot terminate the Agreement unless the problem cited is cured, or commenced to be cured, within seven (7) days of Owner's receipt of such notice. If Owner fails to cure, or reasonably commence to cure, such problem, then Design-Builder may give as second written notice to Owner of its intent to terminate within an additional seven (7) day period. IfOwner, within such second seven (7) day period, fails to cure, or reasonably commence to cure, such problem, then Design-Builder may declare the Agreement terminated for default by providing written notice to Owner of such declaration. Ins such case, Design-Builder shall be entitled to recover in the same manner as if Owner had terminated the Agreement for its convenience under Article 8 tos stop and suspend the Work pursuant to Section 11.1.1 hereof. Design-Builder has stopped the Work. oft the Agreement. 11.5 Bankruptcy of Owner or Design-Builder. 11.5.1 If either Owner or Design-Bullder institutes or has instituted against it a case under the United States Bankruptcy Code (such party being referred to as the "Bankrupt Party"), such event may impair or frustrate the Bankrupt Party's ability to perform its obligations under the Contract Documents. Accordingly, should such event occur: 11.5.1.1 The Bankrupt Party, its trustee or other successor, shall furnish, upon request of the non-Bankrupt Party, adequate assurance oft the ability oft the Bankrupt Party to perform all future material obligations under the Contract Documents, which assurances shall be provided within ten (10) days after receiving notice of the request; and 11.5.1.2 The Bankrupt Party shall file an appropriate action within the bankruptcy court to seek assumption or rejection of the Agreement within sixty (60) days of the institution of the bankruptcy filing and shall diligently prosecute such action. Ifthe Bankrupt Party fails to comply with its foregoing obligations, the non-Bankrupt Party shall be entitledi to request the bankruptcy court to reject the Agreement, declare the Agreementt terminated and pursue any other recourse available to the non-Bankrupt Party under this Article 11. 11.5.2 The rights and remedies under Section 11.5.1 above shall not be deemed tol limit the ability of the non-Bankrupt Party to seek any other rights and remedies provided by the Contract Documents or by law, including its ability to seek relief from any automatic stays under the United States Bankruptcy Code or the right of Design-Builder to stop Work under any applicable provision oft these General Conditions of Contract. Article 12 Electronic Data 12.1 Electronic Data. 12.1.1 The parties recognize that Contract Documents, including drawings, specifications and three-dimensional modeling (such as Building Information Models) and other' Work Product may be transmitted among Owner, Design-Builder: and others in electronic media as an alternative to paper hard copies (collectively "Electronic Data"). The receiving party agrees to maintain the confidentiality of the Confidential Information and agrees to use the Confidential Information solely in connection with the Project. 13.2 Assignment. 13.2.1 Neither Design-Bullder nor Owner shall, without the written consent of the other assign, transfer or sublet any portion or part of the Work or the obligations required by the Contract Documents. 13.3 Successorship. 13.3.1 Design-Builder and Owner intend that the provisions of the Contract Documents are binding upon the parties, their employees, agents, heirs, successors and assigns. 13.4 Governing Law. 13.4.1 The Agreement and all Contract Documents shall be governed by the laws oft the place of the Project, without giving effect to its conflict of law principles. 13.5 Severability. 13.5.1 If any provision or any part of a provision of the Contract Documents shall be finally determined to be superseded, invalid, illegal, or otherwise unenforceable pursuant to any applicable Legal Requirements, such determination shall noti impair or otherwise affect the validity, legality, or enforceability of the remaining provision or parts of the provision of the Contract Documents, which shall remain ini full force and effect asi ift the unenforceable provision or part were deleted. 13.6 No Waiver. 13.6.1 The failure of either Design-Builder or Owner to insist, in any one or more instances, on the performance of any of the obligations required by the other under the Contract Documents shall not be construed as a waiver or relinquishment of such obligation or right with respect to future performance. 13.7 Headings. 13.7.1 The headings used in these General Conditions of Contract, or any other Contract Document, are for ease of reference only and shall not in any way be construed to limit or alter the meaning of any provision. 13.8 Notice. 13.8.1 Whenever the Contract Documents require that notice bey provided toi the other party, notice will be deemed to have been validly given () if delivered in person to the individual intended to receive such notice, (ii) four (4) days after being sent by registered or certified mail, postage prepaid tot the address indicated in the Agreement, or (ii) ift transmitted by facsimile, by thet time stated in a machine generated confirmation that notice was received at the facsimile number of the intended recipient. 13.9. The total amount of the change order is $155,254.50. Sampling had to be completed, and testing data compiled to allow for proper completion of DEP disposal forms. Approximately 6 weeks elapsed, with forms being returned and submitted to the disposal site for final approval on November 7, 2023. An additional 10 days elapsed, with approval being returned to IPC and Bison on November 20, 2023. Work to remove sludge was begun on November 27, 2023, and has continued to current date. With severely limited disposal site availability, the volume ofs sludge able to be removed each day was limited to approx. 11 ton, with an estimated total of5 5501 ton ofsludge to be Int the 10 weeks elapsed from initial request of sludge removal and DEP forms to commencement ofthe work, the greater Marion Township area received approx. 5.5" of precipitation* and few days below freezing.
