DEVELOPMENT AUTHORITY OF FULTON COUNTY SPECIAL MEETING HELD ON FRIDAY, MARCH: 28, 2014. AT2 2:00 P.M. INT THE 4"FLOOR CONFERENCE ROOM FULTON COUNTY GOVERNMENT CENTER BUILDING MINUTES Present were the following Members ofthe Authority: Mr. Robert J. Shaw - Chairman Dr. John E. Maupin, Jr. - Vice Chairman Dr. Samuel D.J Jolley, Jr. - Secretary Mr. Walter Metze - Treasurer Dr. Michael Bell -) Board Member Also present were Mr. Maceo Rogers, President, Dr. C. Clayton Powell, Executive Director, Ms. Sandra Z. Zayac and Senator Leroy Johnson, attorneys for the Authority. The meeting was called to order by Chairman Shaw. INVOCATION: Dr. Jolley gave the invocation. RECOGNITION OF VISITORS: None. OLD BUSINESS: Supplemental Final Bond Resolution for Georgia Tech Facilities, Inc. ("GAT Tech"). Ms. Caryl Smith ofHunton & Williams LLP and Mr. Jim Pierce ofGA Tech appeared in connection with the request for a supplemental final bond resolution for the issuance of $56,830,000 in tax-exempt and $19,015,000 in taxable bonds. The pricing oft the bonds was a success with 75%1 being tax-exempt and 25%1 taxable. The combined interest rate was 4.16%, which is allowing GA Tech ai reduced annual debt service payment for the projects. Upon questions from the Authority, Ms. Smith explained that the taxable component facilitated some additional research capabilities that are excluded from the rules for tax-exempt bonds. Upon ai motion made by Dr. Maupin, which was seconded by both Dr. Jolley and Dr. Bell, the Authority unanimously approved the supplemental final bond resolution for GA Tech. NEXT MEETING: Chairman Shaw announced that the next meeting will be a Special Meeting to be held on April 7, 2014 at 2:00 p.m. in the 4th floor conference room, room 4056 and a Regular Meeting to be held on April 22, 2014 at 2:00 p.m. in the 4th floor conference room, room 4056.
