Cunningham, Town Clerk 3 NORTH CAROLINA GASTON COUNTY LEASE AGREEMENT THISLEASE, AGREEMENT entered into this day of 2019,by and between Lessor, the Town ofCramerton, ai municipal corporation organized and existing under the laws ofthe State ofNorth Carolina, hereinafter referred to as "Cramerton," and Lessee, the Cramerton Historical Society, a not-for-profit corporation organized and existing under the laws of the State of North Carolina, hereinafter referred to as "CHS"; WITNESSETH: WHEREAS, the Board of Commissioners of the Town of Cramerton recognize and wish to support the preservation of historical artifacts and the oral and written history of the Town of Cramerton for the benefit oft the public; and WHEREAS, CHS is a not-for-profit corporation formed for the purpose of compiling, preserving and promoting the history oft the Town ofCramerton and educating the general public;and WHEREAS, Cramerton and CHS wish to work together to establish a museum that will serve as an educational and informational center focused on the history of the Town of Cramerton for the benefit oft the general public; and WHEREFORE, Cramerton agrees to lease to CHS an agreed upon portion of the Cramerton Community Center located at [ADDRESS] (the "Building") for use as a history museum which portion of property is described on Exhibit" "A" attached hereto (the "Premises"); WHEREAS, the parties have agreed to the terms of said Lease and wish to confirm those NOW, THEREFORE, for and in consideration of the covenants and conditions set forth 1. The initial term of this Lease shall be for a period oft three (3): years beginning on the Agreement will automatically extend for additional one (1)year terms unless terminated by either party terms by executing this Lease Agreement. herein, the parties agree as follows: jstday of 2020 and continuing until Midnight on the 30h day of 2023. This Lease upon ninety (90) days written notice to the non-terminating party. 2. Rental. The rental for the Premises shall be in the sum of $1.00 (One Dollar andno/100) per year, which said amount shall be payable for the first year upon execution oft this Lease Agreement and each and every year thereafter on or before the anniversary ofthei initial payment ("Annual Rental"). CHS shall also pay $1200 per year as a Common Area Maintenance Fee ("CAMFee"). The Annual Rental and CAM Fee shall be referred to hereinafter as "Base Rent". 3. Useofp Premises. It is understood and agreed that the Premises shall be used by CHS asa museum oft the history of the Town of Cramerton and for uses reasonably related to the operation ofa museum but for no other purpose or purposes. 4. Condition ofl Premises. The Premises described above are being leased in an "as is/where is" condition. Cramerton makes no warranties regarding the condition oft the Premises, including, but not limited to, the utility lines located upon said Premises and the heating and air conditioning, plumbing and electrical apparatus. CHS has fully inspected the building and is familiar with its current condition and accepts the same ini its current condition. CHS covenants that it will surrender the premises at the end of the term and any renewal option thereofin as good condition as the same now exists, save and except for the natural wear incident to the use and occupancy oft the premises as a museum. 7. CommonAreas A. For purposes oft this Lease "Common Areas" shall mean areas, improvements, space, equipment and special services in or at the Complex provided by Landlord for the common orj joint use and benefit oft tenants, customers, and other invitees, including, driveways, parking areas, entrances and exits, truck service ways, loading docks, pedestrian walk-ways, stairs, ramps, sidewalks, restrooms, hallways, lobbies, elevators and trash or rubbish areas. B. Provided Tenant is not in default under this Lease, Tenant shall be entitled to use, in common with others entitled thereto, the Common Areas inside the Building designated on Attachment Al hereto and labeled restroom, hallway, foyer, and kitchen from time to time by Landlord, subject however to the terms and conditions oft this Lease and to the rules and regulations for the use thereof fas may be prescribed from time to time by Landlord. Ifthe size or configuration oft the Common Areas is diminished or altered, Landlord shall not be liable to Tenant therefore, nor shall Tenant be entitled to any compensation or diminution or abatement of Adjusted Monthly Base Rent, nor shall diminution or alteration oft the Common Areas be considered a constructive or actual eviction. 8. Liability insurance coverage shall be ini the sum of no less than $1,000,000.00 (One Million Dollars) for personal injury or death for each occurrence. CHS shall also maintain contents and personal property insurance for all artifacts, equipment, furniture, fixtures and other personal property located on theLeased agents, and invitees to comply with the rules and regulations attached hereto as Exhibit] B. reason upon 90 days written notices to the non-terminating party. Premises and belonging to CHS. CHS shall provide Cramerton with certificates ofinsurance evidencing continuous coverage of the levels ofinsurance described above for the duration oft this lease agreement. Such certificates of insurance shall be forwarded to the Town Clerk at the beginning of each policy year. Cramerton shall, at its sole cost and expense, carry and maintain fire and extended insurance coverage covering the premises and the portion oft the premises leased to CHS for loss or damage by fire and wind damage together with other coverage for risks commonly included in "extended coverage policies." 13. Indemnity, CHS hereby agrees to indemnify and save. harmless Cramerton from and against all claims,) judgments, costs, expenses, including reasonable attorney fees, which arise in any manner from or out ofthis Agreement as ai result ofthe acts or omissions of CHS ini its occupancy and use oft the demised premises. 14. Amendment of Agreement. This agreement may be amended at any time by thej parties. All amendments must be in writing and approved by the governing boards of both parties before they shall. 15. EntirelyofAgreement, Nooral agreement shall occur and this written agreement andi its written amendments alone shall constitute and represent the basis oft the relationship between the parties tot this agreement. All attachments to this agreement are incorporated by reference herein as iff fully stated. Nothing herein shall affect the terms or performance of the existing mutual aid agreements between the police departments of the twot towns. 16. Invalidity. Should any portion of this Agreement be determined to be unlawful ori invalid, 17. Representations sand Warranties. CHS represents and warrants that ()itis a non-profit corporation duly formed and existing under the laws ofthe State ofNorth Carolina and has the full power and authority to enter into and perform this Agreement, (ii) the execution, delivery and the parties agreet tot take all actions necessary to continue with a valid agreement. 6 performance oft this Agreement have been duly authorized by all necessary action on the part ofCHS, (iii) this Agreement has been duly executed and delivered on behalf of CHS and is the valid and binding obligation ofCHS enforceable against CHS in accordance with its terms, and (iv) entering into and performance by CHS ofthis Agreement will not breach or violate the organizational documents of CHS or any provision of any indenture, mortgage, lien, lease, material agreement, order,judgment, or decree Executed as oft the day and year first above written pursuant to authority duly given by the tov which CHS is a party or by which its assets or properties are bound. The motion Public Comment: Richard Atkinson spokeregafding informâtion presented last year to Mayor Cauthen and Commissioner Helms about thèplacement of a'historical plaza behind the sign located in the Centennial Center. This information, was then presented to the Board. This led to the discussion about the Senor.enterabout partitioning off the front area. Mr. Atkinson stated he presented a plan forthe front space ofthe Senior Center at the March Board ofCommissioners meeting with a hudg.la2so0,asso0. Thescope was expanded by the Board for the rest of the bulding. None ofthis gave them a museum and he was surprised that it was not in the packet. Herèceived an email from Eric Smallwood about the glass partition asking when was it going to be deliyered to the site for coordination ofinstallation with the contractor. Mr. Atkinson stated he received quotes on the'glass and provided this information to the contractor. Ted Reece, 306 Lakewood Road, stated he currently has a lot ofstuffi in hisl house in boxes and he needs to get them out of his house. He distributed a printout of an article regarding the Lineberger's Fish Fry that started over near the. Abernathy's house. He thanked everyone for what they have done for the town and stated that the historical society does not have the money for the museum upfits. Town of Cramerton- September 19, 2019-Pagel 1 11 Jeff Ramsey, 3011 Dodsworth Drive, stated there is $7,100 in the historical society account. The first phase of the museum cost will be about $10,000 to include display cases and picture frames with a total cost between $25,000 and $35,000. He thanked the Board for their commitment. Chris Leazer, 600 Maymont Road, thanked the Board for what they do. He said that there was talk that the town would help with the costs for a place for the museum sO their money could be Emily Leazer, 600 Maymont Road, stated her support of the museum and this would provide a place for the elementary students to go and visit. She asked the Board to support the museum. Mayor Cauthen stated everyone is committed to this cause'and has committed $145,000 to the Closed Session N.C.G.S. 143-318.11(a)(3) Consultivith the attornèy to protect the attorney- client privilege. Helix RI Placement: Presentations and discussion with potential sites for placement of the Hélix R sculpture. Discussion was held-regarding possible site locations for the placementoft the Helix R sculpture. CaroMont Health is no longer a site option. Commissionèr, Abernathy stated herpreference for the artwork to be placed at the Riverside Park trail loop area-as it'isfairly secluded but would be accessible. Çommissioners Neeley,and Ricestâted their preference for placement of the artwork at Central Park. Commissioner Rice Was not in approval of placing this artwork in the Woodlawn Avenue Circle due to the size of the artwork and this being a residential area., Hes stated placement ofthe artwork near the high school roundabout is too close totheother existing artwork. He thinks placement of the artwork in the Centennial Centèr.Would conflict with the Veterans Memorial. He stated he likes Riverside Park, Central Park, and the Goat IslandLakewood greenway area. The Board discussed the Cramerton MiddleSghool option and the possibility of a future roundabout. Mayor Pro Tem Koutsoupias stated he would like to see additional information about thel New Hope Road Corridor and also the Central Park location with a more definitivearea of placement. Commissioner Rice stated he remembered seeing another roundabout as part of the future plans for the Market Street improvements. Mayor Cauthen spoke about the availability of parking at Riverside Park, Central Park, and Goat Island. Commissioner Helms stated he liked the Cramerton Middle School area and also the greenway trailhead as options. Mayor Cauthen asked about possible issues with flooding and the effect on this sculpture. The Town Manager stated he was not aware ofany problems that might occur that would affect the integrity ofthes sculpture. Mayor Pro Tem Koutsoupias stated he would like to see how the sculpture could connect with Town ofCramerton- September 19, 2019-Page 2 12 the new greenway trailhead. The Board discussed parking in various areas. Commissioner. Helms liked the Cramerton Middle School asa al location for thes sculpture as part oft the gateway due to visibility. He liked the greenway trailhead in Lakewood. Commissioner Rice asked Mr. Smallwood about the challenges for these areas. Mr. Smallwood stated there is limited parking at Central Park and it is a residential area with] possiblei issues with flooding at the Riversider trail loop. Cramerton Middle School would be a good location. Mr. Pugh said the school board would need to be contacted as this is not town owned property. Commissioner Abernathy stated there are five to six homes in the Lakewood area near thei trailhead. She stated the artwork for the high school was commissioned fort thei town and shei feels we are trying to make this donated artwork fit. TheTown Manager commented on the possibility that this donated: artwork might not fit into the possible design of otherpiecés that may be considered for this area in the future. Mayor Cauthen recommended that someone speak to Cramerton Middle School about availability for plaçement oft theartwork. Gary Fankhauser could also be contacted and give us his opinion about the artworkin regards to scale. and size and possible alternate locations. Action Item: Consider approval of consultants for on-call stormwater services. There were eight respondents to the RFQ for on-call stormwater service. Four were chosen for consideration by the review committee. Staff recommends approval of HDR, Inc., WithersRavenel, Labella, and Mattern and Craig. Commissioner. Abernathy askedi ifthis item was in the budget for this service. The Town Manager statedyes. A motion was made by Commissioner Rice to approve the selécted consultants for on-call stormwater services. Themotion was seconded by Commissioner. Abernathy 1. Greenways and Trails Naning Philosophy, Mr. Smallwood provided information and name offerings for the proposed Goat Island greenway. The Board discussed the variousproposed names. Commissioner Rice liked the trail name of RiverLink. CommisiongyAbematly thanked Mr. Smallwood for a good job and liked the proposed names that wouldhaye an historical connection. MfPughstated the gréenway willl be opened oncel NCDOT gives the okay. Mr. Smallwood, stated the contractor still has to install bollards and that will be done tomorrow. Aribbon cutting ceremony will be planned fora later date. Mr. Smallwood stated he has ordered rules and guideline signage. ThéBoard members agreed to the name RiverLink. Naming of other trails 1. Discussion of_September (5, 2019 Board of Commissioners Minutes. Commissioner Abernathy statedshe would like to discuss some changes to the proposed minutès. The Town Clerk was instructed to listen to the recording and prepare verbatim minutesre regarding dialogueinr reference toi the Cramerton Historical Society. The Board agreed to table the September 5, Commissioner Abernathy and approved by all. ii. Stormwater On-Call Services Consultant Selection and approved by all. Parks and Recreation andconnectors, can be addressedata al laterdate. d. Board bfCommisioners 2019 minutes untilthe next meeting. Big Board: A'chânge order forreplacing floor joists in the upstairs kitchen of the Community Center is needed priort to the contractor moving forward. This expense is covered under the contingency. Staff récommends approval of the change order sO construction may continue. Additional charge for work is $5,854. The upstairs kitchen floor was damaged by aroofleak. The contractor has placed a temporary wall and nailed one of the joists together. The floor will need tobej jacked up four to six inches and therottenj joists buddied nailed together. Amotion Was made by Commissioner Abernathy to approve the change order for replacement of floor joists in the upstairs kitchen floor of the Community Center. The motion was seconded by Commissioner Commissioner Rice advised the Board that the letter that was sent to the Masonic Lodgei in August was recently read at their monthly meeting and they are willing to schedule a meeting with us. Town of Cramerton- September 19,2019- Page4 14 Commissioner Rice stated he would be willing toi facilitate this with Masonic Lodge member Brad Commissioner Abernathy asked ift there had been any follow up from the last Board meeting to dialogue with the historical society regarding the issue of the glass wall and to reconcile the gap in communication. The Town Manager stated staff has looked at what needed to be done and is looking at options with the contractor for the full-blown glass partition and other options. A meeting with the Cramerton Historical Society will be scheduled to discuss the options and have the Board come to ai full decision at the next meeting for aj possible budget amendment on October The Planning Director stated the last item for the new greenway is waiting on the bollards to be The Planning Director advised the Board oft the text amendment that was part oftonight's consent agenda setting aj public hearing to discuss changingc conditional use rezonings to conditionalzoning was from discussions held with MT Land regarding the conditional zoningprocess. MTLand is working on the conditions they want to submit and a draft should be presented in a few weeks.
