AGREEMENT THIS AGREEMENT, made this day of 2018, by and between HANOVER TOWINSHIP, a second class township of Northampton County, Pennsylvania, with an address at 3630 Jacksonville Road, Bethlehem, Pennsylvania, 18017 ("Township") and AUSTIN G. BARTHOLOMEW AND KRISTIN E. FABEY, adult individuals residing at 4731 Janet Lane, Bethlehem Hanover Township, Northampton County, Pennsylvania, 18017 ("Owners"). RECITALS A. Owners propose to install a fence (the "Structure") on the property located at 4731 Janet Lane, Bethlehem, Pennsylvania also know as tax parcel number M6NW2 122 0214 (the Premises"). B. A plot plan of the Premises and the proposed location of the Structure is attached as Exhibit"A". C. The proposed Structure will encroach into the twenty (20) foot Township Easement located in the rear yard and in the ten (10) foot Easements located in the side yards of the Premises (the Easements"). D. In order to place the Structure within the Easements, the Owners need the permission of the Township. The Township is willing to consent to the placement of the Structure in the Easements, upon satisfaction by Owners of the conditions set forth herein. NOW, THEREFORE, for and in consideration of the mutual promises and covenants contained herein, AND INTENDING TO BE LEGALLY BOUND, the parties hereto agree as follows: 1. The Township hereby agrees to consent to the placement oft the Structure in the Easements oft the Premises upon the satisfaction oft the conditions set forth below. 3. Thej parties hereto acknowledge that the' Township retains discretion to require the removal of the Structure, in whole or in part, from the Easements if, in the sole opinion of the' Township, the structure interferes with drainage on the Premises or on the Property ofs surrounding landowners. 8. This Agreement shall run with the land and shall be binding upon the Owners, theirl heirs, successors, executors, administrators and assigns, and shall inure to the benefit oft the Township. 9. Int the event that Owner fails to complete the Punch List Items within the time period specified in Section 3, the Township may, after written notice to owner ofi its intention to do sO and provide the Owner 15 additional business days to complete the' 'Punch List Items', declare Owner in default and use the escrow to complete the Punch List Items. 5. All of the aforesaid obligations of Owner are hereby undertaken at Owner's sole cost and expense, and Owner agrees to hold harmless and indemnify the Township from any and all costs, expenses, claims and damages incurred by the Township because of the Owner's failure to complete the Punch List Items. 6. Nothing herein contained shall diminish the rights of the Township under any law ora agreement insofar as they affect the Plan. 8. The parties hereto agree that the rule of contract law in the event of an ambiguity or problem of construction, the same will be resolved against the drafter of the instrument being construed, is hereby waived. 9. This Agreement contains the entire understanding between and among the parties and supersedes any priorunderstandings and agreements among them respecting the subject matter oft this Agreement. 10. The parties hereto covenant, warrant and represent to each other good faith, reasonable cooperation, due diligence and honesty in fact in the performance of all obligations of the parties pursuant to this Agreement. All promises and covenants are mutual and dependent. 12. Failure of either party at any time to require performance of any provision oft this Agreement shall not limit the party's right to enforce the provision, nor shall any waiver of any breach of any provision be a waiver of any succeeding breach of any provision or a waiver oft the provision itself for any other provision. 13. Except as otherwise provided within this Agreement, neither party hereto may transfer or assign this Agreement without the prior written consent oft the other party. 14. This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania. 15. In the event that a suit or action is brought by any party under this Agreement to enforce any ofi its terms, or in any appeal therefrom, it is agreed that the prevailing party shall be entitled to reasonable attoreys' fees to be fixed by the trial court, and/or appellate court. 16.
