OFCAR A City of Cambridge Special Called Meeting, Meeting Minutes Council Chambers - 305 Gay Street June 27, 2024, 6PM Notice to Citizens: The City Commissioners are conducting city business in person. The commission meetings are open to the public unless otherwise allowed by law. The purpose of the meeting of the Commissioners of Cambridge on June 27, 2024, is to hold a closed Session pursuant to Md. Code Ann., General Provisions $3-305(b)0) and (8) to obtain legal advice from, and consult with, Special Counsel regarding pending litigation. Accordingly, the majority of the meeting will be in closed session. Public portions of this meeting will be televised on' Town Hall Streams.com Council Present: Mayor Stephen Rideout Commissioner Laurel Atkiss Commissioner Jameson Harrington Commissioner Sputty Cephas Commissioner Brian Roche Acting City Manager David. Deutsch Assistant City Manager Brandon Hesson Special Counsel Tim Maloney Commissioner. Lajan Cephas, Commission President (Virtual) Also Present: Agenda Mayor Rideout opened the special called meeting stating that Commission President Lajan Cephas would be joining virtually, later in the meeting. Mayor Rideout proceeded with the meeting. Mayor Ridcout stated that this closed session is in reference to Md. Code Ann. 3-305(b)(7) and (8) to obtain legal advice from, and consult with, the Special Counsel Commissioner Sputty Cephas made a motion to add Md. Code Ann., General Provisions 3-305(b)(1); to discuss personnel matters affecting specific individuals over whom the City Motion made by Commissioner Atkiss to hold a closed session Md. Code Ann 3-305(b)(7) and (8) to obtain legal advice from, and consult with, the Special Counsel regarding pending litigation and second by Commissioner Sputty Cephas. Approve 4-0 vote. Commission President Lajan Cephas was not present virtually, yet. Council went into closed session at 6:11 p.m. Council came out of closed session at 7:24 p.m. Mayor Rideout reported that there were two matters that were discussed in closed session. Council received legal advice from Special Counsel regarding CWDI and also discussed a personnel matter. Mayor Rideout stated that Council was in agreement and would ask for them to cast a vote in public. Regarding Yacht Maintenance, the direction for Mr. Maloney is to complete the property transfer agreement subject to there being an escrow agreement for funds to be placed for infrastructure with the agreement of City and CWDI at some point in the future. Additionally, to complete the lot line agreement, Commissioner Atkiss, Commissioner Lajan Cephas, Commissioner Harrington, Commissioner Sputty Cephas, and Commissioner Roche voted yes. Approve 5-0 vote. Another issue was the hotel non-disclosure agreement that was proposed. The document is ini its final draft and Mr. Maloney was directed to complete that draft. Once completed, Mr. Maloney will send it to the Commissioners for a final vote of approvai. Mayor Rideout emphasized that this is not the final approval. It is simply that the Commissioners agree with it being finalized with CWDI Counsel and brought back to the Commissioners to vote yay or nay. The vote by the Commissioners regarding that issue were Commissioner Atkiss, Commissioner Harrington, Commissioner Sputty Cephas, Commissioner Roche and Commissioner Lajan Cephas voted yay.
