REGULAR MEETING OF BOARD OF DIRECTORS OF CANTON ECONOMIC DEVELOPMENT CORPORATION (CEDC) 5:30 P.M., TUESDAY, February 22, 2022 CANTON CITY HALL, COUNCIL ROOM 201 N. BUFFALO STREET, CANTON, TEXAS MINUTES The Board of Directors of the Canton Economic Development Corporation (CEDC) attended a regular meeting at the above-mentioned date and time. CEDC board members present included: President Kevin Deibert, 2nd Vice President Joe Zoubi, Corley Ragle, DeAnne Callan and ex-officio Lonny Cluck. Not in attendance were 1st Vice President Rhita Koches, Gary Hatfield, Larry Morgan, ex-officio member Lou Ann Everett. CEDC Staff attending was Executive Director Stacy Crossley Marketing Coordinator Austin Melton and Director of Operations Peter Lamont. 1. Call to Order and Announce a Quorum - President Kevin Deibert called the meeting to order and announced a quorum present at 5:45 pm 5:50pm Lonny Cluck entered meeting 2. Invocation = Given by Kevin Deibert 3. Pledge of Allegiance - Led by Kevin Deibert 4. Declarations Regarding Conflicts of Interest - None 5. Public Comments - None CONSENT AGENDA 6. - Consider Action Regarding Minutes of December 16, 2022 & December 28, 2022 & January 25, 2022, Meeting - DeAnne Callan made a motion to approve the December 16, 2022 & December 28, 2022 & January 25, 2022, Meetings, 2021 minutes as presented. Joe Zoubi. All voted in favor and the motion passed. 7. Consider Action Regarding December 2021 & January 2022 Financial Statements = Ms. Crossley gave report for both listed financial statements = Joe Zoubi made a motion to approve the December 2021 & January 2022 financials as presented. Corley Ragle seconded the motion, and all voted in favor and the motion passed ITEMS FOR INDIVIDUAL CONSIDERATION 8. East Rising LLC, Ryan Sumner Presentation - Mr. Ryan Sumner presented to the board a power point presentation which included a request for more funding to help with the requirements of sprinkling the building and need for an elevator. He asked for the tax rebates for 2021 and explained that due to COVID and limited supply chain he has been unable to meet his benchmarks. 9. Consider Selection of Honoree for the Economic Impact Award to be Presented at the Canton Texas Chamber of Commerce Community Awards Gala The board discussed several options for the selection of Economic Impact Award, and they unanimously agreed on Yesterland Farms as the recipient this year. Corley Ragle made the motion to select Yesterland Farms as the recipient and Joe Zoubi seconded 10. Discuss and Consider Appointments to the Canton Economic Development Corporation's Board of Directors - Ms. Crossley presented to the board that Larry Morgan is willing to continue his seat on the board for another term of2 years, she also presented two applications, Thomas Beckham of Van Zandt Abstract and Justin Richards with Pitts Realty. Joe Zoubi made a motion to approve the re- appointment ofLarry Morgan and the appointment of both Thomas Beckham and Justin Richards, all who will have terms expiring in March of 2024. DeAnne Callan second the motion 11. Updates and Community Announcements - Peter Lamont reported to the board on the water/sewer plant project and updated the council of possible considerations of adjustments to the zoning regulations on lot sizes for housing in the Canton city limits. 12. Canton Visitors Bureau and First Monday Marketing Report and Consider Any Action Related Thereto - Austin Melton reported to the board on the slow February First Monday, with the weather playing a big roll in the lower number of attendances. 13. Canton Main Street Reports and Consider Any Action Related Thereto - Stacy the motion with all voting in favor, the motion passed. and all voted in favor and the motion passed. Crossley reported to the board on the following: A Downtown Projects downtowner of the year Block program B. Main Street Events The Main Street board chose Janise Brown with Billie Rose Floral as the March board meeting will be officer and committee elections Board is reviewing the design color palette and finishing the Adopt-A- 2022 Event scheduled has been made with the City-Wide Spring Cleanup starting off the year on the 14th, Dinner on Main Street will be held on the Ms. Crossley updated the board on the car accident on 64 and the New owners for the old One. Awesome Shirt Building, Thomas Beckham New tenant in the old UT building - Expressions Med Spa Latham Bakery will be open until 7pm after March 1st 19th and the Farmers Market will open on April 23rd. CEDC Business / Administration - We are still interviewing for a Main Street Managerl CEDC assistant, We are considering re-certifying for the Certified Retirement Community, the CVB will be actively working with hotels to retrieve data on events, The annual audit will be present in April, and we are currently working on the HOT Tax collections. C. Local Development Activity- Ms. Crossley reported that the Sundown Dance Hall has been purchased. Reports for CO's that have been issued: Pet Guy at 1346 S. Buffalo, Dragon's Smoke on 1536 S. Buffalo Suite 102, Assurance Glass & Mirror -680 W. Dallas Street suite 100, D6 Supplement at 300 S. Main Street suite 200, Sabor Del Cielo Snack Shop at 1536 S. Buffalo Suite 100, Burnett Trail Apartments has a temp COO on specific apartments they still have some fire alarm systems to finish. CO's applications have been made for Kyonekko Hibachi & Sushi at 501 E. Dallas. New Commercial Project currently working are: 303' WI Dallas (Old Billie Rose Building)- permit for electrical upgrade, electrician said thinks going to be office building 134 W Dallas (Serendipity)- permit to repair windows and framing, 30176 Hwy 64 Suite 200- (Smokehouse 64)- remodel proceeding, 237 S Trade Days Blvd Suite 1 (Old ETMC Building)- remodel in progress for believe Med Spa but no paperwork confirmation on that, 2211 N Trade Days Blvd (Trade Days Donuts)- getting closer to opening. New Residential permits issued: When necessary and warranted, a closed or executive session will follow pursuant to the provision of the Texas Open Meetings Act, Chapter 551 of the Texas Government Code, Sections 551.071, 551.072, 551.074 and 551.087. 15. Executive Session: The Board entered in to executive session at 7:06 pm A. Section 551.087 - to deliberate commercial or financial information the CEDC has received from a business prospect, and to deliberate the offer of a financial or other incentive to business prospects, including East Rising LLC, Kaufman Development LLC, Bluegreen Development Project, Mo Snoubar/Moe's Pizza Inc, downtown building renovation projects, and retention, expansion, and recruitment ofcommercial, industrial, retail, hospitality, sports, and family entertainment prospects. 16. Return to Open Session and Consider Action, if any, on Items Discussed in Executive Session - The board returned to open session at 7:42 pm 501,503, 505 Elm and 1836, 1856, 1868, 1869 Meadowview. 17.
