V 8 8 2 CityofRockingham, North Carolina = Notice ofPublic Hearing Financing for Downtown Community College Building The City Council of the City of Rockingham, North Carolina, will hold a public hearing on Tuesday, June 12, 2018, at 7:30 p.m. (or as soon thereafter as the matter may be heard). The purpose of the hearing is to take public comment concerning a proposed financing contract, under which the City would borrow approximately $6,100,000 to pay for the acquisition, construction and equipping of a community college building. Thel hearing will be held in the Council's usual meeting room, Rockingham City Hall, 514 Rockingham Road, Rockingham, North Carolina. The proposed financing would be secured by a lien on the proposed new building (and its associated land), as well as the City's promise to repay the financing, but there would be no recourse against the City or its property (other than the pledged building and the associated land) if there were a default on the financing. All interested persons will be heard. The City's plans are subject to change based on the comments received at the public hearing and thé City Council's subsequent discussion and consideration. The City's entering into the financing is subject to obtaining approval from the North Carolina Local Government Commission. City of Rockingham has previously determined to carry out the acquisition and construction of a new downtown community college building. The City is carrying out this project in cooperation with Richmond County and Richmond Community College. The United States Department of Agriculture has offered to provide project financing to the City on an attractive long-term, flexible, low-interest basis. The City Council desires to finance this project by the use of an installment financing, as authorized under Section 160A-20 of the North Carolina General Statutes. Under the guidelines of the North Carolina Local Government Commission, this governing body must make certain findings of fact to support the City's application for the LGC's approval of the City's financing arrangements. THEREFORE, BE IT RESOLVED by the City Council of the City of Rockingham, North Carolina, that the City makes a preliminary determination to finance approximately $6,100,000 to pay capital costs of the proposed new downtown community college building. The City Council will determine the final amount to be financed by a later resolution. The final amount financed may be slightly lower or slightly higher than $6,100,000. Some oft the financing proceeds may represent reimbursement to the City for prior expenditures on project costs, and some proceeds may be used to pay financing expenses ort to provide any appropriate reserves. This project and its financing are the culmination of years of planning and cooperation between the City, the County and the College. The project will be an economic development benefit for the City and its residents. (2) The proposed installment financing is preferable to a bond issue for the same purposes. This financing is for a discrete facility, and is therefore particularly suitable for installment financing. The City has no meaningful abilityt toi issue non-voted general obligation bonds for this project. This project will produce no revenues that could be used to support a self-liquidating financing. The City expects that in the current interest rate environment for municipal securities there would be no material difference in the overall financing costs between general obligation bonds and installment financings fort this project, especially given the attractivel long-term financing package offered by USDA, which is also more flexible in its prepayment terms than traditional general obligations bonds would be. (3) The estimated sums to fall due under the proposed financing contract areadequate and note excessive for the proposed purpose. The City will closelyreview proposed financing rates against market rates with guidance from the LGC. All amounts financed will reflect either approved contracts or previous actual expenditures. (4) As confirmed by the City's Finance Officer, () the City's debt management procedures and policies are sound and in compliance with law, and (ii) the Cityi is not in default under any ofits debt service obligations. (5) The City expects that it will be able to pay its loan obligations for the project without an increase in City taxes. The City expects that the terms of the construction financingandl long-term financing from USDA will allow the Citytor repay the financing within current resources. Given the expected benefits to the City and the community from this building, the City Council in any event believes that the expected costs to the City will be reasonable under all the circumstances. 12 (6) The City Attorney is of the opinion that the proposed project is authorized by law and is a purpose for which public funds of the City may be expended pursuant to the Constitution and laws ofNorth Carolina. BE ITFURTHER. RESOLVED as follows: (a) The Cityi intends that the: adoption ofthis resolution will be a declaration ofthe( City's official intenti toi reimburse projectexpenditures: from financingproceeds.
